Resolution City Hall 3500 Pan American Drive Miami, FL 33133 www.miamigov.com File Number: 12-01075 Final Action Date: A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), AUTHORIZING THE CITY MANAGER TO EXECUTE A REVOCABLE LICENSE AGREEMENT ("AGREEMENT"), IN SUBSTANTIALLY THE ATTACHED FORM, BETWEEN THE CITY OF MIAMI ("CITY") AND THE NATIONAL JOURNALISTS' ASSOCIATION OF CUBA IN EXILE, INC., A FLORIDA NON-PROFIT CORPORATION ("LICENSEE"), FOR THE USE OF APPROXIMATELY 520.5 SQUARE FEET OF CITY -OWNED PROPERTY LOCATED AT 970 SOUTHWEST 1ST STREET, OFFICES 400-401, MIAMI, FLORIDA, FOR THE PURPOSE OF PROVIDING OFFICE SPACE FOR THE UNIFICATION OF CUBAN JOURNALISTS LIVING IN EXILE, COMMENCING FROM THE EFFECTIVE DATE, WITH THE LICENSEE TO PAYA MONTHLY USE FEE TO THE CITY OF TWO HUNDRED SIXTY-EIGHT DOLLARS AND 06/100 ($268.06), PLUS STATE OF FLORIDA USE TAX (IF APPLICABLE), WITH ADDITIONAL TERMS AND CONDITIONS AS MORE PARTICULARLY SET FORTH IN SAID AGREEMENT. WHEREAS, the City of Miami ("City") owns that certain property, and the improvements thereon, located at 970 Southwest 1st Street, Miami, Florida ("Property"), part of the Manuel Artime Theatre and Building Complex; and WHEREAS, the organizational purpose of the National Journalists' Association of Cuba in Exile, Inc., a Florida Non-profit Corporation ("Licensee"), is to provide unification of Cuban journalists living in exile through community activities; and WHEREAS, the City provided a Revocable License Agreement ("Agreement") to the Licensee .on August 1, 2000, for the occupancy and use of 428.60 square feet of office space located at the Property; and WHEREAS, on February 14, 2008, the Miami City Commission adopted Resolution No. 08-0070, authorizing the City Manager to, among other things, set the price per square foot charged to new licenses occupying space at the 900 building to $13.50 per square foot and at the 970 building to $15.00 per square foot, providing a 25% discount to non-profit organiztions; and WHEREAS, the City amended the Agreement with the Licensee to reflect the language adopted by the Miami City Commission pursuant to Resolution No. 08-0070; and WHEREAS,_ Licensee has expressed an interest in moving to a new office, with elevator access, which is located at the Property, Offices 400-401, totaling 520.5 square feet in size; and WHEREAS, the Licensee has requested that it be charged $6.18 per square foot for the new office space; and WHEREAS, the City grants the Licensee an exception to occupy the office located at the City of Miami Page 1 of 2 File Id: 12-01075 (Version: 1) Printed On: 10/3/2012 File Number: 12-01075 Property, Offices 400-401, at a rate of $6.18 per square foot, plus State of Florida Use Tax (if applicable), with additional terms and conditions as set forth in the Agreement; NOW THEREFORE; BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as fully set forth in this Section. Section 2. The City Manager is authorized {1} to execute an Agreement, in substantially the attached form, between the City and the Licensee, for the use of approximately 520.5 square feet of City -owned property located at the Property, Offices 400-401, for the purpose of providing office space for the unification of Cuban journalists living in exile, commencing from the effective date, with the Licensee to pay a monthly use fee to the City of Two Hundred Sixty -Eight Dollars and 06/100 ($268.06), plus State of Florida Use Tax (if applicable), with additional terms and conditions as more particularly set forth in said Agreement. Section 3. This Resolution shall become effective immediately upon its adoption and signature of the Mayor.{2} APPROVED AS TO FORM AND CORRECTNESS: JULIE O. BR CITY ATTORNEY Footnotes: {1} The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code provisions. {2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective immediately upon override of the veto by the City Commission.
