Customer shall pay Vidacare Corporation ("Vidacare") the invoiced price in U.S. dollars for each shipment of Products accepted by Customer within forty-five (45) days of receipt of an invoice and authorized inspection and acceptance of goods/services and pursuant to Section 218.74, Florida Statutes and other applicable law. Prices are FOB Destination, inside delivery, with all delivery costs and charges included in the price. Any applicable federal state or local taxes will appear as an additional item on the invoice. Vidacare agrees to keep prices fixed as set forth in the Price List delivered to Customer concurrent with this agreement for a period of thirteen (13) months, through December 31, 2013. 2. Packing. Shipping, Delivery. The disposable Products and Drivers shall be packed and shipped by Vidacare. Customer will pay all freight, insurance, logistics, and other shipping expenses in accordance with Vidacare's shipping policy, in addition to shipping charges for all expedited deliveries. The delivery dates and locations stated in the applicable purchase order are estimates only. Vidacare guarantees no delivery dates. 3. Risk of Loss. Vidacare is responsible for title and risk of loss of or damage to the Products and Drivers, regardless of cause, until they are delivered to the Customer. Vidacare must file all claims for damages directly with the carrier. 4. Manufacturer's Warranty, Disclaimer: and Limitation of Remedy and Damages. Except as expressly modified herein above, the terms of Vidacare's warranty, disclaimer of all other warranties and limitation of remedy and damages shall be as set forth in Vidacare's Instructions for Use supplied with the Products. 5. Force Majeure. Except for Customer's payment obligations, neither party shall be liable to the other party for delays or failures to perform under the Agreement to the extent that any such delays or failures result from any cause beyond the reasonable control of the party affected by a force majeure event. 6. Venue. Customer hereby submits to the jurisdiction of, and waives any venue objection against, the Superior Court of the State of Texas, Bexar County, or the United States District Court for the Western District of Texas, in any litigation arising out of this Agreement. 7. Compliance with Laws. Notwithstanding any provision of this Agreement, the parties represent and warrant that they will not violate any applicable laws, rules, or regulations, including, but not limited to, those relating to Medicare, Medicaid, or similar state programs, for the provision of health care or medical services. The Parties shall modify this Agreement to the extent necessary to comply with all such laws, rules, and regulations including, without limitation, the applicable Food and Drug Administration (FDA) regulations, 42 U.S.C. § 1320a-7b (b) (Federal Anti -Kickback Law) and 42 U.S.C. § 1320d - d-8 (HiPAA). Customer represents and warrants that it is not excluded from participation or are not otherwise ineligible to participate in a federal healthcare program or in any other government payment program, and shall immediately notify Vidacare in the event of such exclusion or ineligibility. Each party agrees and acknowledges that no part of the payments or financial arrangements herein are intended to be, directly or indirectly, an inducement or remuneration for the referral of patients, goods or services. 8. Notices. All notices and other communications required or permitted under this Agreement must be in writing and will be deemed received if (a) on the same day, when delivered personally, (b) on the next business day, when sent by commercial ovemight courier, or (d) after three business days, when sent by registered or certified mail, retum receipt requested, postage prepaid. All communications must be sent to the receiving party's initial address set forth below or to such other address that the receiving party may have provided for purpose of notice by notice as provided in this section. 9. Integration. This agreement, together with all master agreements, invoices, purchase orders, and the exhibits and attachments thereto constitute the entire agreement and understanding of the parties with respect to the subject matter hereof ("Agreement") and supersedes all other prior written and oral agreements, proposals and understandings between the parties relative to the subject matter hereof. •To the extent any purchase order or invoice is inconsistent with the terms of this Agreement, this Agreement will control. No changes to this Agreement will be made or be binding upon either party unless made in writing and signed by each party. By signing this Agreement, Vidacare and Customer represents that each has the authority to bind its respective party to this Agreement.
