Purpose of Item:
A Resolution of the City. of Miami Commission, with attachment(s), authorizing the City Manager to execute a
Revocable License Agreement ("Agreement"), in substantially the attached form, between the City of Miami
("City") and Grove Key Marina, LLC, ("Licensee"), for the use of City -owned real property and improvements
located at 3385 Pan American Drive, Miami, Florida ("Property"), for the purpose of operating an existing
marina and an existing outdoor casual restaurant with the Licensee to pay to the City the greater of a
minimum monthly use fee of Forty-three Thousand Fifty Dollars ($43,050.00), plus State of Florida Use Tax, if
applicable, or a percentage of gross sales, with additional terms and conditions, as more particularly set forth
in said Agreement.

Subject: Revocable License Agreement with Grove Key Marina, LLC for the occupancy of City of Miami -owned
property located at 3385 Pan American Drive, Miami, Florida
Background Information:
The City of Miami ("City") owns certain property and improvements located at 3385 Pan American Drive, Miami,
Florida ("Property"). On May 10, 2012, the City Commission ("Commission") adopted Resolution 12-0199
authorizing the City Manager to execute a Revocable License Agreement with Grove Key Marina, Inc. for the
temporary use of the Property while the City issued a competitive solicitation process to select an operator who
would use and occupy the Property on a long-term basis.
The City undertook said competitive solicitation process but upon City Commission review of the results, it did
not make a selection. The Revocable License Agreement will terminate on December 31, 2012. As such, the City
desires to enter into a new Revocable License Agreement ("Agreement") with Grove Key Marina, LLC
("Licensee") to continue uninterrupted revenue to the City, uninterrupted service to the patrons of the
waterfront marine facility and uninterrupted service to the patrons of the fueling services.
Under the terms of the Agreement the Licensee shall pay to the City the greater of a minimum monthly use fee
of Forty-three Fifty Dollars ($43,050.00), plus State of Florida Use Tax (if applicable), or a percentage of gross
sales. Further terms include, but are not limited to, the Licensee continuing to remit to the City a monthly
payment totaling Twelve Thousand Two Hundred Dollars ($12,200.00), which the City shall continue to place in
an escrow account and transmit to Miami -Dade County for current year ad valorem taxes due on the Property;
and, the City's use of certain enumerated equipment for a definite period of time after the Agreement's
revocation, termination or expiration; and, additional terms and conditions as more particularly set forth in said
Agreement.
