A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO EXECUTE A REVOCABLE LICENSE
AGREEMENT ("AGREEMENT"), IN SUBSTANTIALLY THE ATTACHED FORM,
BETWEEN THE CITY OF MIAMI ("CITY") AND ST. STEPHEN'S EPISCOPAL
CHURCH, INC., A FLORIDA NON-PROFIT CORPORATION ("LICENSEE"), FOR
THE USE OF CITY -OWNED PROPERTY LOCATED AT 2820 MCFARLAND ROAD,
MIAMI, FLORIDA, FOR THE PURPOSE OF PROVIDING SPACE TO PROVIDE
PHYSICAL FITNESS PROGRAMS, COMMENCING FROM THE EFFECTIVE DATE,
FORA TERM OF TEN (10) YEARS, WITH THE LICENSEE TO PAY A USE FEE TO
THE CITY OF ONE DOLLAR ($1.00), PLUS STATE OF FLORIDA USE TAX (IF
APPLICABLE), PER YEAR, WITH ADDITIONAL TERMS AND CONDITIONS AS
MORE PARTICULARLY SET FORTH IN SAID AGREEMENT.
WHEREAS, the City of Miami, Florida ("City") owns that certain property, and the
improvements thereon, located at 2820 McFarland Road, Miami, Florida ("Property"); and
WHEREAS, St. Stephen's Episcopal Church, Inc. ("Licensee") is interested in making
non -substantial improvements totaling no more than $500,000 to portions of the Property; and
WHEREAS, the Licensee is interested in using portions of the Property to provide physical
fitness programs to qualifying elementary school children; and
WHEREAS, the City and the Licensee desire to enter into a Revocable License Agreement
("Agreement") for the Licensee's use of portions of the Property;
NOW THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted
by reference and incorporated as fully set forth in this Section.
Section 2. The City Manager is authorized{1 } to execute an Agreement, in substantially the
attached form, between the City and the Licensee, for the use of City -owned Property, for the
purpose of providing space to provide physical fitness programs, commencing from the effective date,
for a term of ten (10) years, with the Licensee to pay a Use Fee to the City of One Dollar ($1.00), plus
State of Florida Use Tax (if applicable), per year, with additional terms and conditions as more
particularly set forth in said Agreement. -
Section 3. This Resolution shall become effective immediately upon its adoption and signature
of the Mayor. {2}

{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City
Charter and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission.
