Subject: License and Use Agreement with the Miami Art Museum for the use and occupancy of Florida
Department of Transportation ("FDOT")-owned property identified as Parcel No. RWMS 3991
Purpose of Item:
A Resolution of the Miami City Commission, with attachments, authorizing the City Manager to execute a
License and Use Agreement ("Use Agreement"); in substantially the attached form, with the Miami Art
Museum of Dade County Association, Inc. ("MAM") for the use of State of Florida Department of
Transportation ("FDOT") Parcel No. RWMS 3991, located on the south side of the MacArthur Causeway Ramp
between Biscayne Bay and Biscayne Boulevard, Miami, Florida, for the public purposes consistent with the
Museum Park Master Plan, with all terms and conditions as more particularly set forth in said Use Ag reement.
Background Information:
The City of Miami ("City") has negotiated a License and Use Agreement ("Use Agreement") with the Miami Art
Museum ("MAM") for the use of FDOT-owned property located on the south side of the MacArthur Causeway
Ramp between Biscayne Bay and Biscayne Boulevard, Miami, Florida ("Property"). FDOT has negotiated with
the City a thirty (30) year Lease Agreement and Addendum to Lease Agreement ("Lease") to allow for
landscaping, directional signage and access by the public to the public bay walk. The City plans to allow MAM
to use the Property to install a sculpture garden and project art video onto the fapade of the art museum
building from the Property. FDOT has stipulated that any changes or additions to the improvements will
require additional prior approval in writing by the District Secretary for District Six. The term of the Use
Agreement shall be co -terminated with the FDOT Lease and automatically renew as and to the extent the
term of the FDOT Lease is renewed. If the FDOT Lease terminates or expires, then the Agreement shall
automatically terminate or expire simultaneously with the FDOT Lease.
