NO.: 1-395-1(35)3 STATE ROAD NO.: 836/1-395 COUNTY.: Miami -Dade PARCEL NO.: OF FLORIDA DEPARTMENT OF TRANSPORTATION, (hereinafter called the Lessor), and 444 SW Second Avenue, 3rd Floor, Miami, Florida 33130 3991 , by and between the STATE The City of Miami (hereinafter called the Lessee.) WITNESSETH: In consideration of the mutual covenants contained herein, the parties agree as follows: 1. Property and Term. Lessor does hereby lease unto Lessee the property described in Exhibit "A", attached and made a part hereof, for a term of See Addendum beginning and ending This Lease may be renewed for an additional See Addendum term at Lessee's option, subject to the rent adjustment as provided in Paragraph 3 below. Lessee shall provide Lessor See Addendum days advanced written notice of its exercise of the renewal option. If Lessee holds over and remains in possession of the property after the expiration of the term specified in this Lease, or any renewals of such term, Lessee's tenancy shall be considered a tenancy at sufferance, subject to the same terms and conditions as herein contained in this Lease. This Lease is subject to all utilities in place and to the maintenance thereof as well as any other covenants, easements, or restrictions of record. This Lease shall be construed as a lease of only the interest, if any, of Lessor, and no warranty of title shall be deemed to be.given herewith. 2. Use. The leased property shall be used solely for the purpose of See Addendum If the property is used for any other purpose, Lessor shall have the option of immediately terminating this Lease. Lessee shall not permit any use of the, property in any manner that would obstruct or interfere with any transportation facilities. Lessee will further use and occupy the leased property in a careful and proper manner, and not commit any waste thereon. Lessee will not cause, or allow to be caused, any nuisance or objectionable activity of any nature on the property. Lessee will not use or occupy said property for any unlawful purpose and will, at Lessee's sole cost and expense, conform to and obey any present or future ordinances and/or rules, regulations, requirements, and orders of governmental authorities or agencies respecting the use and occupation of the leased property. Any activities in any way involving hazardous materials or substances of any kind whatsoever, either as those terms may be defined under any state or federal laws or regulations, or as those terms are understood in common usage, are specifically prohibited. The use of petroleum products, pollutants, and other hazardous materials on the leased property is prohibited. Lessee shall be held responsible for the performance of and payment for any environmental remediation that may be necessary, as determined by the Lessor, within the leased property. If any contamination either spread to or was released onto adjoining property as a result of Lessee's use of the leased property, the Lessee shall be held similarly responsible. The Lessee shall indemnify, defend, and hold harmless the Lessor from any claim, loss, damage, costs, charge, or expense arising out of any such contamination: 3. Rent. Lessee shall pay to Lessor as rent, on or before the first day of each rent payment period, the sum of One dollar ($1.00) plus applicable tax, for each year of the term. If this Lease is terminated prior to the end of any rent payment period, the unearned portion of any rent payment; less any other amounts that may be owed to Lessor, shall be refunded to Lessee. Lessee shall pay any and all state, county, city, and local taxes that may be due during the term hereof, including any real property taxes. Lessor reserves the right to review and adjust the rental fee biennually and at renewal to reflect market conditions. Any installment of rent not received within ten (10) days after the date due shall bear interest at the highest rate allowed by law from the due date thereof, per Section 55.03(1), Florida Statutes. This provision shall not obligate Lessor to accept late rent payments or provide Lessee a grace period. V/I--yam (7 - a.S-C%U. 0 a o 575-060-33 RIGHT OF WAY OGC - 06/09 4. Improvements. No structures or improvements of any kind shall be placed upon the property without the prior written approval of the District Secretary for District Six of Lessor. Any such structures or improvements shall be constructed in a good and workmanlike manner at Lessee's sole cost and expense. Subject to any landlord lien, any structures or improvements constructed by Lessee shall be removed by Lessee, at Lessee's sole cost and expense, by midnight on the day of termination of this Lease and the leased property restored as nearly as practical to its condition at the time this Lease is executed. Portable or temporary advertising signs are prohibited. Lessee shall perform, at the sole expense of Lessee, all work required in the preparation of the leased property for occupancy by Lessee, in the absence of any special provision herein contained to the contrary; and Lessee does hereby accept the leased property as now being in fit and tenantable condition for all purposes of Lessee. Lessor reserves the right to inspect the property and to require whatever adjustment to structures or improvements as Lessor, in its sole discretion, deems necessary. Any adjustments shall be done at Lessee's sole cost and expense. 5. Maintenance. Lessee shall keep and maintain the leased property and any building or other structure, now or hereafter erected thereon, in good and safe condition and repair at Lessee's own expense during the existence of this Lease, and shall keep the same free and clear of any and all grass, weeds, brush, and debris of any kind, so as to prevent the same from becoming dangerous, inflammable, or objectionable. Lessor shall have no duty to inspect or maintain any of the leased property or buildings, and other structures thereon, during the term of this Lease; however, Lessor shall have the right, upon twenty-four (24) hours notice to Lessee, to enter the leased property for purposes of inspection, including conducting an environmental assessment. Such assessment may include: surveying; sampling of building materials, soil, and groundwater; monitoring well installations; soil excavation; groundwater remediation; emergency asbestos abatement; operation and maintenance inspections; and, any other actions which may be reasonable and necessary. Lessor's right of entry shall not obligate inspection of the property by Lessor, nor shall it relieve the Lessee of its duty to maintain the leased property. In the event of emergency due to a release or suspected release of hazardous waste on the property, Lessor shall have the right of immediate inspection, and the right, but not the obligation, to engage in remedial action, without notice, the sole cost and expense of which shall be the responsibility of the Lessee. 6. Indemnification. (select applicable paragraph) © Lessee is a Governmental Agency To the extent provided by law, Lessee shall indemnify, defend, and hold harmless the Lessor and all of its officers, agents, and employees from any claim, loss, damage, cost, charge, or expense arising out of any act, error, omission, or negligent act by Lessee, its agents, or employees, during the performance of the Lease, except that neither Lessee, its officers, agents, or employees will be liable under this paragraph for any claim, loss, damage, cost, charge, or expense arising out of any act, error, omission, or negligent act by the Lessor or any of its officers, agents, or employees during the performance of the Lease. When the Lessor receives a notice of claim for damages that may have been caused by the Lessee, the Lessor will immediately forward the claim to the Lessee. Lessee and the Lessor will evaluate the claim and report their findings to each other within fourteen (14) working days and will jointly discuss options in defending the claim. After reviewing the claim, the Lessor will determine whether to require the participation of Lessee in the defense of the claim or to require that Lessee defend the Lessor in such claim as described in this section. The Lessor's failure to promptly notify Lessee of a claim shall not act as a waiver of any right herein to require the participation in or defense of the claim by Lessee. The Lessor and Lessee will each pay its own expenses for the evaluation, settlement negotiations, and trial, if any. 0 Lessee is not a Governmental Agency Lessee shall indemnify, defend, save, and hold harmless Lessor, its agent, officers, and employees, from any losses, fines, penalties, costs, damages, claims, demands, suits, and liabilities of any nature, including attorney's fees, (including regulatory and appellate fees), arising out of or because of any acts, action, neglect, or omission by Lessee, or due to any accident, happening, or occurance on the leased property or arising in any manner from the exercise or attempted exercise of Lessee's rights hereunder whether the same regards person or property of any nature whatsoever, regardless of the apportionment of negligence, unless due to the sole negligence of Lessor. Lessee's obligation to indemnify, defend and pay for the defenses or at Lessor's option, to participate, and to associate with the Lessor in the defense and trial of any claim and any related settlement negotiations, shall be triggered by the Lessor's notice of claim for indemnification to Lessee. Lessee's inability to evaluate liability or its evaluation of liability shall not excuse -Lessee's duty to defend and indemnify within seven days after such notice by the Lessor is given by registered mail. Only an adjudication or judgement after the highest appeal is exhausted specifically finding the Lessor solely negligent shall excuse performance of this provision by Lessee. Lessee shall pay all costs and fees related to this obligation and its enforcement by Lessor. Lessor's failure to notify Lessee of claim shall not release Lessee of the above duty to defend. 575-060-33 RIGHT OF WAY OGG - 08/09 7. Insurance. Lessee at its expense, shall maintain at all times during the term of this Lease, public liability insurance protecting Lessor and Lessee against any and all claims for injury and damage to persons and property, and for the loss of life or property occurring in, on, or about the property arising out of the act, negligence, omission, nonfeasance, or malfeasance of Lessee, its employees, agents, contractors, customers, licensees, and invitees. Such insurance shall be carried in a minimum amount of not less than See Addendum ($ 0.00 ) for bodily injury or death to any one person or any number of persons in any one occurrence and not less than See Addendum ($ 0.00 for property damage, or a combined coverage of not less than See Addendum ($ 0.00 ). All such policies shall be issued by companies licensed to do business in the State of Florida and all such policies shall contain a provision whereby the same cannot be canceled or modified unless Lessor is given at least sixty (60) days prior written notice of such cancellation or modification. Lessee shall provide Lessor certificates showing such insurance to be in place and showing Lessor as additional insured under the policies. If self -insured or under a risk management program, Lessee represents that such minimum coverage for liability will be provided for the leased property. Lessor may require the amount of any public liability insurance to be' maintained by Lessee be increased so that the amount thereof adequately protects Lessor's interest. Lessee further agrees that it shall during the full term of this Lease and at its own expense keep the leased property and any improvements thereon fully insured against loss or damage by fire and other casualty. Lessee also agrees that it shall during the full term •of this Lease and at its own expense keep the contents and personal property located on the leased property fully insured against loss or damage by fire or other casualty and does hereby release and waive on behalf of itself and its insurer, by subrogation or otherwise, all claims against Lessor arising out of any fire or other casualty whether or not such fire or other casualty shall have resulted in whole or in part from the negligence of the Lessor. 8. Eminent Domain. Lessee acknowledges and agrees that its relationship with Lessor under this Lease is one of landlord and tenant and no other relationship either expressed or implied shall be deemed to apply to the parties under this Lease. Termination of this Lease for any cause shall not be deemed a taking under any eminent domain or other law so as to entitle Lessee to compensation for any interest suffered or lost as a result of termination of this Lease, including any residual interest in the Lease, or any other facts or circumstances arising out of or in connection with this Lease. Lessee hereby waives and relinquishes any legal rights and monetary claims which it might have for full compensation, or damages of any sort, including special damages, severance damages, removal costs, or loss of business profits, resulting from Lessee's loss of occupancy of the leased property, or any such rights, claims, or damages flowing from adjacent properties owned or leased by Lessee as a result of Lessee's loss of occupancy of the leased property. Lessee also hereby waives and relinquishes any legal rights and monetary claims which it might have for full compensation, or damages of any sort as set out above, as a result of Lessee's loss of occupancy of the leased property, when any or all adjacent properties owned or leased by Lessee are taken by eminent domain proceedings or sold under the threat thereof. This waiver and relinquishment applies whether this Lease is still in existence on the date of taking or sale; or has been terminated prior thereto. 9. Miscellaneous. a. This Lease may be terminated by Lessor immediately, without prior notice, upon default by Lessee hereunder, and may be terminated by either party, without cause upon See Addend ( ) days prior written notice to the other party. b. In addition to, or in lieu of, the terms and conditions contained herein, the provisions of any Addendum of even date herewith which is identified to be a part hereof is hereby incorporated herein and made a part hereof by this reference. In the event of any conflict between the terms and conditions hereof and the provisions of the Addendum(s), the provisions of the Addendum(s) shall control, unless the provisions thereof are prohibited by law. c. Lessee acknowledges that it has reviewed this Lease, is familiar with its terms, and has had adequate opportunity to review this Lease with legal counsel of Lessee's choosing. Lessee has entered into thts Lease freely and voluntarily. This Lease contains the complete understanding of the parties with respect to the subject matter hereof. All prior understandings and agreements, oral or written, heretofore made between the parties and/or between Lessee and the previous owner of the leased property and landlord of Lessee are merged in this Lease, which alone, fully and completely expresses the agreement between Lessee and Lessor with respect to the subject matter hereof. No modification, waiver, or amendment of this Lease or any of its conditions or provisions shall be binding upon Lessor or Lessee unless in writing and signed by both parties. d. Lessee shall not sublet the property or any part thereof, nor assign this Lease, without the prior consent in writing of the Lessor; this Lease is being executed by Lessor upon the credit and reputation of Lessee. Acceptance by Lessor of rental from a third party shall not be considered as an assignment or sublease, nor shall it be deemed as constituting consent of Lessor to such an assignment or sublease. 575-060-33 RIGHT OF WAY OGC - 08/09 e. Lessee shall be solely responsible for all bills for electricity, lighting, power, gas, water, telephone, and telegraph services, or any other utility or service used on the property. f. This Lease shall be governed by the laws of the State of Florida, and any applicable laws of the United States of America. g. No.: County: Parcel No.: 2515031 1-395-1(35)3 836/1-395 Miami -Dade RW MS 3991 This Agreement (the "Addendum") made this _ day of , 2012, is an Addendum to that certain Lease Agreement between THE CITY OF MIAMI ("Lessee") and the STATE OF FLORIDA DEPARTMENT OF TRANSPORTATION ("FDOT" or "Lessor") dated the day of 2012 (the "Lease"). In addition to the provisions contained in the Lease, the following terms and conditions shall be deemed to be a part thereof pursuant to Paragraph 9(b) of the Lease. Where the terms of this Addendum conflict with the provisions of the original Lease, this Addendum shall control. References to Sections in this Addendum correspond to and modify the various Sections of the Lease. SECTION 1: PROPERTY AND TERM Lessor does hereby lease unto Lessee the property described in Exhibit A attached hereto and made apart hereof, for a term of thirty (30) years beginning _ , 2012 and ending , 2042. This Lease shall be deemed automatically renewed for two (2) additional thirty (30) year terms and one (1) additional nine (9) year term, unless Lessee provides Lessor ninety (90) days advanced written notice of its election not to exercise each renewal option prior to the expiration of each term (30, 60, 90 years). SECTION 2: USE AND OCCUPANCY The leased area will be used for public purposes consistent with the Museum Park Master Plan, such as construction staging for the Miami Art Museum, landscaping, directional signage and access by the public to the public Baywalk, subject to the limitations set forth in Section 4 of the Lease (as modified hereby). The leased property shall not be utilized for code required features, including, but not limited to, building access.and setbacks. This Lease is subject to the portion of the Metromover Omni Extension located within the leased area by prior authorization of the Metromover Stage I Completion Omni and Brickell Extensions Master Airspace Agreement between Miami Dade County Florida and the State of Florida Department of Transportation, dated 7th of February 1991, as shown in Exhibit C attached hereto. Page 1 of 9 Florida Department of Transportation ADDENDUM TO LEASE AGREEMENT Lessor reserves the right of access at all times across the leased property to inspect, maintain and repair/replace Interstate 1-395 and/or MacArthur Causeway/A1A as necessary. This requirement includes fifteen (15) feet of clear access along the south side of the MacArthur Causeway Bridge, as shown on the accompanying sketch attached hereto as Exhibit D. Notwithstanding anything in Section 2 of the Lease to the contrary, Lessee shall not be responsible for the remediation of any environmental condition existing on the leased property as of the date hereof, except and only to the extent that any such condition was caused or exacerbated by Lessee and/or its successors, assigns, employees, contractors, licensees, agents, invitees and guests, and shall have no obligation to indemnify the Lessor with respect to any such environmental condition. Lessee, however, shall be responsible if any contamination spreads to, or is released onto, adjoining property as a result of Lessee's use of the leased property. Access to the submerged land shown to the east of the seawall on Exhibit A and Exhibit B attached hereto shall be limited only for purposes of maintenance and inspection in accordance with Section 5 of the Lease (as modified hereby), and said area shall not be used for any other purposes. SECTION 3: RENT The following sentences of Section 3 of the Lease are hereby deleted: "Lessor reserves the right to review and adjust the rental fee biennually and at renewal to reflect market conditions. Any installment of rent not received within ten (10) days after the due date shall bear interest at the highest rate allowed by law from the due date thereof, per Section 55.03(1), Florida Statutes. This provision shall not obligate Lessor to accept late rent payments or provide Lessee a grace period." SECTION 4: IMPROVEMENTS No permanent structures or buildings will be allowed in the leased property. Lessee has requested that Lessor approve the initial improvements and landscaping to be installed in the leased property, which are shown on the site plan submitted by Lessee and attached hereto as Exhibit B. All plans for such initial improvements shall be submitted in detail to Lessor for the prior written approval of the District Secretary for District Six in •accordance with Section 4 of the Lease (as modified hereby). Any changes or additions to the plans for such initial improvements will also require prior approval in writing by the District Secretary for District Six. Lessee has requested and Lessor has authorized the installation of video projection equipment within the leased property as part of the initial Page 2of9 Florida Department of Transportation ADDENDUM TO LEASE AGREEMENT improvements, as shown in site plan drawing A-001 submitted to Lessor, for the purpose of projecting art video onto the facade of the art museum building on the parcel of land owned by Lessee and located adjacent to the leased property. The art video content, Sleepwalkers, by Doug Aitken, has been reviewed and approved by Lessor for this purpose. Any changes or additions to the approved video projection equipment or video content shall require the prior approval in writing by the District Secretary for District Six pursuant to the approval process set forth herein, provided that the District Secretary's review and approval (i) of video content is limited to public safety concerns and distraction to motorists, and (ii) shall not be required for modifications or replacements to the video production equipment so long as the resulting system is comparable in size, type and purpose to the prior system. No advertising of any kind is authorized either on the approved video equipment and/or within the leased property without the prior approval in writing of the District Secretary for District Six. With respect to any request by Lessee for changes to the video projection of art under Section 4 of the Lease (as modified hereby): a. Lessee shall submit Lessee's request in writing to Lessor, in accordance with the notice provisions in Section 9(f), not less than ninety (90) days prior to installation of the proposed change; b. Lessor shall have a period of forty-five (45) days following the date of receipt of Lessee's request to review and approve the proposed request or object to same, provided that Lessor shall provide a reasonable basis for its objections (if any); c. If Lessor fails to respond to Lessee's request within said 45-day review period, Lessee's request to the proposed change to the video projection of art shall be deemed approved; and d. The parties shall work together in good faith to expedite the review process and resolve any pending issues related thereto. With respect to any other request by Lessee for changes or additions to the improvements within the leased property (i.e. requests for changes unrelated to the video projection of art, which is expressly addressed above), Lessee shall submit Lessee's request to Lessor in writing in accordance with the notice provisions hereof, and Lessor shall process such request in an expeditious manner and work in good faith to resolve any pending issues related thereto. To the extent any proposed improvements to the leased property consist of art (whether it be video, sculpture or any other form of art), Lessor agrees that it will not, under any circumstances, exercise its review and approval rights hereunder to..censo.r th.e_cnntent_of...such praposecLimprav_ements Page 3 of 9 Florida Department of Transportation ADDENDUM TO LEASE AGREEMENT Any changes to improvements placed in the Leased property which have not been given prior written approval (or are not deemed approved under a specific provision hereof) by the District Secretary for District Six or another authorized representative of FDOT may be considered a default of the provisions of the Lease. Notwithstanding any provision in the Lease (as modified hereby) to the contrary, any changes or additions to not more than fifteen percent (15%) of the landscape improvements within the leased property which are not material and are comparable in type and size to improvements previously approved by Lessor hereunder, shall not require the approval of Lessor or the District Secretary for District Six. For purposes of this provision, landscape improvements shall be limited to plants, trees, shrubbery, flowers and irrigation systems. All improvements shall be constructed in a good and workmanlike manner at Lessee's sole cost and expense. Improvements should not interfere with existing drainage and utilities in the right of way. Lessor reserves the right -to inspect the improvements within the leased property at any reasonable time during the construction thereof, and to require changes and modifications to such improvements, but only if and to the extent that such improvements do not comply with the plans shown in Exhibit B approved by Lessor in accordance with the terms of the Lease (as amended hereby and as further amended from time to time with written FDOT approval). Lessee shall implement such requests for changes or modifications promptly, at Lessee's sole cost and expense, upon notification by Lessor's authorized representative. Any improvements constructed by Lessee shall be removed by the Lessee, at Lessee's sole cost and expense, by midnight on the day of termination of the Lease and the leased property shall be restored as nearly as practical to its condition at the time the Lessee began occupation of the leased property, reasonable wear and tear excepted. All improvements and any refuse, contamination or other diminution of the property, occurring during the term of this Lease by reason of Lessee's use of the leased property shall be removed or rectified at FDOT's request, in accordance with applicable laws. Any stormwater drainage structures placed in the leased property shall be constructed in such a way that, if the leased property is needed for transportation purposes and the Lease is terminated,. Lessee's adjacent parcel of land upon which the art museum building is located will not require the leased property for stormwater drainage management. Following a termination of the Lease, such stormwater drainage structures located within the leased property shall not be removed and/or capped unless and until the stormwater runoff from the leased property has been accommodated through other proper means. If, following a termination of the Lease, Lessor's use of the leased property will require modifications to the drainage system on the leased property, Lessee and Lessor wiII-work-together-in-good faith-to-implen°rent-such-modifications- 9-the-event-that Lessor shall require that the stormwater drainage structures' placed in the lease Page 4 of 9 Florida Department of Transportation ADDENDUM TO LEASE AGREEMENT property be capped 'and/or removed, the same shall be done at the sole cost and expense of Lessee. SECTION 5: MAINTENANCE With respect to the seawall depicted in Exhibit A and Exhibit B attached hereto, Lessee's maintenance responsibilities shall be limited to painting and litter removal only; provided, however, that Lessee shall secure access and timely notify Lessor if the condition of the seawall is unsafe for the use of the leased area as contemplated in this Lease. The parties agree that Lessee shall not be responsible for any maintenance or repair requirements of the seawall that other governmental entities may impose. SECTION 6: INDEMNIFICATION The parties acknowledge and agree that Lessee's indemnification obligations under this Lease are subject to all limitations and restrictions applicable to governmental entities, including, specifically, Section 768.28, Florida Statutes. SECTION 7: INSURANCE Lessee is self insured in accordance with, and subject to the limitations set forth in Section 768.28, Florida Statutes. Lessor accepts Lessee's insurance coverage and agrees it satisfies the requirements of Section 7 of the Lease. SECTION 9: MISCELLANEOUS a. This Lease may be terminated by Lessor upon one hundred eighty (180) days prior written notice in the event the leased property is needed for a transportation project. Said determination of necessity shall be within the sole discretion of FDOT, through the District Secretary for District Six. Lessor shall endeavor to provide Lessee with written notice of Lessor's intention to terminate this Lease under this provision not less than three hundred sixty five (365) days prior to the anticipated termination date; however, Lessor's failure to provide such additional advance written notice shall not constitute a default under this Lease. b. Should any or all of the leased property be needed for routine maintenance and/or repair on any adjacent FDOT facilities, ninety (90) days prior written notice will be provided. If FDOT requires use of any portion or all of the leased property for routine maintenance and/or repair on a temporary basis under this provision, then FDOT shall be entitled to such portion of the leased property on the terms and conditions set forth herein; however, FDOT agrees to work-with-Lessee,-in-gvod faith and-at-no-excre-nse-tomFDOT; to-frnd-mainfienance and/or repair solutions that would allow the continued use, to the maximum extent possible, of the leased property, in partial or total, under this Lease, for the Page 5of9 Florida Department of Transportation ADDENDUM TO LEASE AGREEMENT purposes provided herein, while the routine maintenance and/or repair operations are conducted. c. Lessor and Lessee agree that in the event emergency repairs are needed for any portion of 1-395, the MacArthur Causeway Bridge or any adjacent FDOT - facility, any portion or all of the leased area may be used for emergency staging without formal prior written notice, in the sole discretion of FDOT; however, FDOT will notify Lessee of such emergency use as soon as reasonably possible. d. This Lease may be terminated within ninety (90) days following Lessor's delivery to Lessee of written notice of Lessee's default hereunder provided that Lessee does not cure such default within said ninety (90) day period; however, if such default is curable but cannot be cured within ninety (90) days, then Lessee shall have an additional reasonable period of time to cure such default, not to exceed an additional ninety (90) days ("Cure Period"). e. Lessor and Lessee agree that in the event the leased property ceases to be used for the use identified in Section 2 of the Lease (as modified hereby), such failure shall be treated as a default, and, if such default is not cured within the Cure Period, this Lease shall be deemed terminated. f. No ingress/egress will be allowed from the leased area directly to 1-395 or SR A1A/MacArthur Causeway, except for temporary access for construction approved by separate permit issued by FDOT. h. Lessee shall require any general contractor, major subcontractor, or contractor performing work on the leased premises to maintain at all times the insurance coverage outlined in Exhibit E attached hereto and made part hereof. Lessor reserves the right to amend the foregoing policy limit amounts to the policy limit amounts from time to time required by the FDOT Standard Specifications for Road and Bridge Construction Manual, or as otherwise required by law, or as otherwise may be reasonably required by Lessor. Lessee shall require Lessor to be named as additional insured, and shall provide Lessor with a copy of the insurance certificate. Lessee will require any general contractor or major subcontractor using the leased property to agree to the following indemnification provision, which shall be included either in the signed and executed contract between the Lessee and such contractor or a separate agreement: "The contractor [insert proper name of contractor)] ("Contractor"), agrees to promptly indemnify, defend, save and hold harmless FDOT, and its officers, agents and employees, from and against all demands, claims, suits, judgments, liabilities, damages, fines, fees, penalties, costs, and expenses, (including without limitation reasonable attorneys' fees and costs) (collectively, "liabilities") of any nature or kind whatsoever caused by, or arising out of or related to the use of the leased area by the Contractor. The term "liabilities" shall specifically include, without limitation, any act, action, neglect or omission by the Contractor, its officers, agents, employees or representatives in any way pertaining to the use --oft ►e--leased—area—by Contraeter; howeever; the —foregoing --indemnification shall not extend to any liabilities asserted against or suffered by FDOT or its officers, agents or employees which are due to the sole negligence or willful Page 7of9 Florida Department of Transportation ADDENDUM TO LEASE AGREEMENT misconduct of FDOT or its officers, agents or employees. The Contractor shall notify FDOT in writing promptly upon becoming aware of such liabilities. The Contractor's inability to evaluate liability, or its evaluation of liability, shall not excuse performance of the provisions of this paragraph. This indemnification provision shall survive the termination of this Contract/Agreement. The insurance coverage and limits required in this Contract/Agreement (or any separate agreement between the parties) may or may not be adequate to protect FDOT from the liabilities indemnified hereunder and such insurance coverage shall not be deemed a limitation on the Contractor's liability with respect to the indemnities granted to FDOT hereunder." All references to the District Secretary for District Six shall mean and refer to the individual holding such position and title with FDOT from time to time (or his/her designee). If FDOT should at any time eliminate the position of District Secretary for District Six, then the references in the Lease and this Addendum to the District Secretary shall be deemed to mean and refer to the officer or employee of FDOT charged with responsibilities comparable to the responsibilities of the District Secretary as of the date of this Addendum (or his/her designee). Department of Transportation, Federal Highway Administration (FHWA); and WHEREAS, COUNTY and DEPARTMENT desire to set forth the process for submittal of PROJECT related drawings.•and specifications by COUNTY to DEPARTMENT for approval; and - WHEREAS, the.COUNTY is desirous of obtaining certain zeal property and interest in real property including, permanent nonassignable aerial easements ,for the elevated portions and permanent nonassignable surface easements for at -grade portions of the PROJECT where METROMOVER facilities run along, cross over, under, or are located in the median of DEPARTMENT controlled streets and highways, as designated conceptually and for general informational purposes only on the maps and ciorum p a�.heda.he.teto_as Exhibit "A"; and WHEREAS, the parties to this AGREEMENT contemplate a series of conveyances of real property or interest in real property and desire to establish the process, terms and conditions of said conveyances in this AGREEMENT; and . WHEREAS, the DEPARTMENT is desirous of obtaining a more functional utilization of the right-of-way of its Interstate and other federally . and state funded highways in METROPOLITAN DADE COUNTY; and WHEREAS, the DEPARTMENT is desirous that said highway right-of-way should make a greater contribution toward creating a safer, more healthy and attractive urban environment; and WHEREAS, Florida Law requires the DEPARTMENT, in developing comprehensive plans, to take into account the joint use of • transportation corridors and.major transportation facilities for alternate transportation and community uses; and WHEREAS, Florida Law provides that, under certain conditions, DEPARTMENT may sell, lease, or convey in the name of the.State, any land, buildings, or other'property, real or personal; and WHEREAS, the United States Department of Transportation, Federal Highway Administration requires any public agency desiring to use. airspace above right-of-way of a highway on a Federal -Aid System to enter into an airspace agreement providing for adherence to all policy requirements in the applicable directive, where such are appropriate to the intended use; and . WHEREAS, DEPARTMENT and COUNTY have previously entered into a Master Airspace Agreement for the METROMOVER Stage I. Downtown ' " Component of Metrorail phase, dated May 3, 1983, which is by this reference made a part hereof. NOW THEREFORE, in consideration of the covenants, promises, understandings and agreements made by each party to the other as set forth herein, the parties hereto do mutually agree as follows: SECTION I GENERAL DEPARTMENT and COUNTY agree to the process described herein related 'to conveyance and utilization of required, property or interest in real property as generally depicted in Exhibit "A" attached hereto and made a part hereof including, but not necessarily limited to, permanent aerial, surface and subsurface easements with rights as described in Section IV of this AGREEMENT and to the process related to plan and specification approval, subject to FHWA concurrence, where applicable,--as—described—in Sec:tiun V csf—this AGREEMENT and to the general design for the use of the airspace., including any facilities to__be._cons.tructed .and._suchmaps,...plans. or -sketches_as. are.. -necessary to set out pertinent features in relation to. the highway facility which are contained in Exhibit "A" attached hereto and made a part hereof. 2 It is understood and agreed that Exhibit "A" is conceptual in nature and will be followed by more definitive maps, plans and sketches, right-of-way maps and corresponding metes and bounds legal descriptions submitted to DEPARTMENT and FHWA as the final design process progresses. The aforementioned metes and bounds description of the surface area together with appropriate plans or cross sections clearly defining the vertical use limits, will be furnished as a three dimensional description of the easement envelopes. SECTION II DEFINITIONS AND ABBREVIATIONS For the purpose of this AGREEMENT, the following terms shall have the meaning set forth hereinafter:. 1) The Federal Highway Administration of the U. S. Department of Transportation shall hereinafter be referred to as FHWA. 2) The words "Contact Officer" denotes the person designated by each of the parties to be the person to whom all correspondence, notices, submissions for approval from the other party pertaining to this AGREEMENT shall be directed, and initial contact made relating to problems or matters under this AGREEMENT. The Contact Officer for the DEPARTMENT shall be the District Secretary of the Sixth District, or should. the districts be changed in the future by law, the District Secretary or his successor having responsibility for the state highway network in Metropolitan Dade County at the time. The Contact Officer for the""COUN:TY mill'-ybe'"the ._,COUNTY''.Man'a'ger;or." his legal successor having responsibility for Transportation Projects. 3) The PROJECT consists of those METROMOVER facilities and appurtenances which the COUNTY proposes to construct, operate and maintain to improve public mass transportation within Metropolitan Dade. County ..: 4) METROMOVER facilities are defined as any or all property, real or personal, structures, fixtures and improvements located thereon owned or controlled by the COUNTY including, but not limited to, guideway structures, roadbed, tracks, signals and power systems, bridge, stations and any equipment, apparatus or structures appurtenant thereto or associated therewith. SECTION III DEPARTMENT-FHWA REQUIREMENTS I-t- is—un-dersto-od" t1i6i .ome--ot the—pTopert —ton'trolled by DEPARTMENT to be encumbered by aerial, surface, or subsurface easementswas .acquired as right -.of -.way in connection with various 3 Federal -Aid Highway Program projects under the guidelines of FHWA. While not a party to this AGREEMENT, the FHWA has authority to prescribe policies relating to management of airspace on Federal -Aid Highway Program systems for non highway purposes. These policies are contained in Section 3, Chapter 4, Volume 7, Federal -Aid Highway Program Manual of FHWA, as amended. Because of funding by FHWA, DEPARTMENT must obtain the concurrence of the FHWA at various times onmany issues involved in the entering into and implementation of this AGREEMENT. The COUNTY acquiesces, agrees and understands that, where discretion is allowed the DEPARTMENT under this AGREEMENT, its actions for the most part • must have FHWA concurrence. It is understood that particularly with respect to any change in the limited access characteristic of interstate highways, FHWA concurrence would be required by the FHWA Administrator. • It is understood and agreed that COUNTY will adhere to the applicable prescribed policies 'as contained in the aforementioned part of the Federal -Aid Highway Program Manual, the provisions of which shall also apply to DEPARTMENT controlled right-of-way not on the Federal -Aid Highway Program system where FHWA•concurrence is not required, and more specifically set forth as follows: 1) Metropolitan Dade County, Florida, is the party responsible for developing and operating the airspace. 2) Metropolitan Dade County, Florida, proposes to use the airspace for the construction, operation and maintenance of a METROMOVER facility together with appropriate appurtenant and ancillary facilities. 3)- In general, the METROMOVER will consist of an elevated. guideway system together with appurtenant supporting structures and station facilities. The general design for the use of the space, including any facilities to be constructed, and such maps, plans, or sketches as are necessary to set out pertinent features in relation to the highway facility are contained in Exhibit "A". 4) A detailed three dimensional description of the space to be used, metes and bounds description of the surface areas together with appropriate plans or cross sections clearly defining the vertical use limits, shown generally and conceptually in Exhibit "A" will be provided to FDOT and FHWA at the time a. request is made for conveyance of' the real property or interest in real property. 5) Any change in the design of a facility described in paragraph 3 above shall receive prior approval by the DEPARTMENT subject to concurrence by the FHWA, 6) Any intended change in the authorized use of airspace shall receive prior approval by the DEPARTMENT subject to conc.urr.enee,_by the_EHWA_ 7) It is understood and agreed that the airspace shall not be transferred assigned, conveyed, or leased to another party without prior DEPARTMENT approval subject to concurrence by FHWA. In the event that 4 the airspace is transferred., assigned, conveyed or leased by COUNTY to other parties, with approval and concurrence as aforementioned, the transferee, assignee, grantee or lessee shall be bound by all of the provisions of this AGREEMENT and this AGREEMENT shall be attached to and made a part of the appropriate documents. 8) 'It is understood and agreed that the AGREEMENT will be revocable in the event that once constructed, the airspace facility ceases to be used or is abandoned as evidence by no_ operations or maintenance for a period of six consecutive months. In the event the AGREEMENT is revoked under this provision.and the DEPARTMENT deems it necessary to request the removal of the facility occupying the airspace, the removal shall be accomplished by COUNTY in a manner prescribed by DEPARTMENT at no cost to DEPARTMENT or FHWA. .9) It is understood and agreed that the AGREEMENT may be revoked if any portion of Section III of the AGREEMENT is violated and after. written notice of such noncompliance has been given, violation is not corrected within the time provided in said notice which shall not be less than thirty (30) days.. Further, that in the event the AGREEMENT is revoked and the DEPARTMENT deems it necessary to request the removal of the facility occupying the airspace, the removal shall be accomplished by COUNTY in a manner prescribed abyt ntohcoDEP st o��eTgHWalor1theg recognized DEPARTMENT. and accepted industry standards 10) COUNTY does hereby agree' to indemnify and save the DEPARTMENT and FHWA harmless, to the extent of the monetary limitations included within Florida Statutes, Section 768.28, from any and all claims, lia,bility.,..losses and causes of actions which may arise out of this AGREEMENT, or be attributable to any design`.:. or-constructon regardless of whether DEPARTMENT has granted a variance from its. standards and. criteria, or which may arise out of the activities on the easements conveyed; however, neither the COUNTY nor any of it agents will be liable under this section for damages arising out of injury or damages to persons or property directly caused or resulting from the sole negligence of the DEPARTMENT or any of its officers, agents or employees. COUNTY shall maintain comprehensive general liability insurance in the amount of 5 million dollars, including bodily injury and property damage liability coverage for all COUNTY construction operations performed at the locations described in this AGREEMENT. During the' operational phase of_COUNTY transit system, the COUNTY will have a comprehensive program -of protection for liabilities arising out of accidents resulting in bodily injury and property damage. The COUNTY should obtain DEPARTMENT concurrence with hthe progra m sitart-up e operations. The provisions of this paragraph P pertaining to coverage do not in any way modify or limit the COUNTY's obligations to indemnify the DEPARTMENT and FHWA, nor be cause to supersede other insurance agreements. 11-) DEPARTMENT-r—for—irqelf_and FHWA, retains the right to d by access over, under, across and through the property en aer-ial..and surface easements and to enter the METROMOVER facilities for purposes of providing maintenance, inspection or reconstruct -ion of 5 the highway facilities herein involved or the inspection of the easement area as to the use to which it is being put. DEPARTMENT, for itself and FHWA covenants that it will be reasonable in the exercise of such rights and will not unnecessarily cross the encumbered - - --- property for such aforementioned purposes; provided, however, .that,. recognizing certain dangerous and hazardous characteristics of COUNTY's facilities and COUNTY's right to protect the transit structures, DEPARTMENT, for itself and FHWA, shall not exercise its rights as aforementioned within ten (10) feet horizontally and below and twelve (12) feet vertically above top of running surface elevation of any METROMOVER facility structure or appurtenance without first giving COUNTY written notice 15 calendar days in advance of its intent to enter the easement or facility and provided that DEPARTMENT adheres to the regularly established procedures implemented by COUNTY for entry in or upon its facilities.. 12) If during METROMOVER construction or operations, emergency.. work within the property covered by this AGREEMENT becomes necessary to maintain safe roadway operations of the State Highway System, the DEPARTMENT shall verbally notify the COUNTY of the existing condition(s) followed .by notice in writing. If the COUNTY fails to institute emergency work and/or measures to correct the above condition(s) to the satisfaction of the DEPARTMENT, the DEPARTMENT shall, upon a second verbal notice to the COUNTY, followed by notice in writing, have the right to perform required emergency work and/or measures, including those delaying and/or stopping METROMOVER construction and/or operations. COUNTY does hereby agree to save DEPARTMENT harmless to the extent of obligations monetary or ot'herw-zse, result rig f om` anv aatabi s oken' pursuant to thzs' paag-rapn, including but not limited to contractors down time, loss of funding, loss of revenue. If the DEPARTMENT performs' emergenty.workand/or measures due to or induced by METROMOVER construction or operations, the COUNTY shall be required to reimburse the DEPARTMENT for all reasonable costs incurred thereby. 13) It is understood and agreed that METROMOVER facilities will be maintained so as to assure that the structures.and the area within the highway right-of-way boundaries will be kept in good condition, both as to safety and appearance, and that such maintenance will be accomplished in a mannez so as to cause no -unreasonable interference with highway use. In the event that COUNTY fails in its maintenance obligations, DEPARTMENT shall notify COUNTY in writing ofthe failure, and specify the corrective action to be taken. COUNTY shall have sixty (60) days to correct the failure. If the COUNTY fails to perform the corrective action, DEPARTMENT may enter the premises to perform such work charging the COUNTY with the reasonable cost thereof; provided, however, that recognizing certain dangerous and hazardous characteristics of COUNTY's facilities and COUNTY's right to protect the METROMOVER structures, DEPARTMENT for itself-and-FHWA -shall -not e-xer--c-se-its-rights as aforementioned -within 6 /C� ten (10) feet horizontally and -below and twelve (12) feet vertically above top of running surface of any METROMOVER facility, structure .or appurtenance without first having given COUNTY written notice 15 calendar days in advance of its_intent to enter the easement or facility and provided DEPARTMENT adheres to the regular procedures established by COUNTY for entry in or upon its facilities. At the time COUNTY requests conveyances of property or interests in property in accordance with Section IV of this AGREEMENT, COUNTY shall specify maintenance responsibilities. In those areas where COUNTY is granted surface rights, COUNTY will maintain the surface area. In areas where DEPARTMENT retains surface rights, DEPARTMENT will maintain the surface area. • • In those areas where COUNTY maintains surface areas, COUNTY shall submit to DEPARTMENT an initial written request for authorization to occupy DEPARTMENT controlled right-of-way for such maintenance together with a traffic maintenance plan. Thereafter, written authorizations from DEPARTMENT will not be required, but only advance notification of DEPARTMENT Contact Officer. Traffic maintenance plans approved by the DEPARTMENT will be required, however, where COUNTY maintenance cause interference with traffic utilization of DEPARTMENT's right-of-way, such as the closure of traffic lanes. 14) The following provisions for non-discrimination are applicable: (a) The COUNTY or its personal representatives, successors in interest, and-essigns,•zs:a partof the.: consideration hereof, does hereby covenant and agree that in the event facilities are constructed, • maintained, al)r otherwise operated on the property which••is the -subject. • of this AGREEMENT for the accommodation of the traveling public or business users of any Federal -Aid Highway (such as eating, sleeping, • rest, recreation, and vehicle servicing), he (she or it) will not discriminate on the grounds of race, color, sex, or national origin against such travelling public or highway users in their access to and use of the facilities and services so constructed, maintained or otherwise operated, and that any successor in interest, assignee, licensee or permitee shall maintain and -operate such facilities and services in compliance with all other requirements imposed pursuant to Title 1.5, Code of Federal Regulations, Commerce and Foreign Trade, Subtitle A, Office of the Secretary of Commerce, Part 8 (15CFR, PART 8), and as said regulations may be amended. (b) The COUNTY or its personal representative, successors in interest, 'and assigns, as a part of the consideration hereof, does hereby covenant and agree that (1) no person, on the grounds of race, color; sex, or national origin shall be excluded from participation in, be denied the benefits of, or be otherwise subjected to discrimination in the use of said facilities, (2) that in connection with the construction of any improvements on said lands and the furnishing of services thereon, no discrimination shall be p-raetic-ed--in-.the_se-1,ect-i-on.-of emal•oyees-and-.contractors„._.by contractors in the selection and retention of first -tier subcontractors, and by second -tier subcontractors, (3) that such discrimination shall not be practiced against the public in their access to and use of the facilities and services provided for public accommodations (such as eating, sleeping, rest, recreation, and vehicle servicing) constructed or operated on, over, or under the space of the right-of-way, and (4) that any lessee and any sub -lessee shall use the premises in compliance with all other requirements imposed pursuant to Title 15, Code of Federal Regulations, Commerce and Foreign Trade, Subtitle A, Office of the Secretary' of Commerce, Part 8 (15 CFR, Part 8) and as said regulations may be amended. (c) In the event of breach of any of the above non-discrimination covenants, the DEPARTMENT shall consider same as a violation of the AGREEMENT to be handled in accordance with (Section III, 9). 15) Use of airspace beneath the established gradeline of the highway shall provide sufficient vertical and horizontal clearances for the construction, operation, maintenance, ventilation, and safety of the highway facility. 16) The proposed use of airspace above the established gradeline of the highway shall not, at any point between two points established 15 feet beyond the two outer edges of the geometric section (highway ' prism) of the highway, extend below'a horizontal plane which is at least 16 feet 6 inches above the gradeline of the highway, or the minimum vertical clearance plus 4 inches exceptas necessary for columns, foundations or other support structures, as approved by the DEPARTMENT. Where control and directional signs needed for the highway are to be installed beneath an overhead structure, vertical clearance will be at least 20.feet from the gradeline.of the highway to the lowest point of the soffit of the overhead structure. Exceptions to the lateral limits set forth above, may be considered on an individual basis when justified by the DEPARTMENT,with= FHWA-concur-rence, -, i 7-) Piers, columns 'or any other portion of the PROTECT` Structures— ._ shall not be erected in location which will interfere with visibility or reduce sight distance or in any other way interfere with the safety and free flow of traffic on the highway facility, except as authorized by DEPARTMENT with concurrence by FHWA. 18) The structural supports for the PROJECT facilities shall be located to clear all horizontal and vertical dimensions established by the DEPARTMENT. Supports shall be clear of the shoulder or safety walks of the outer roadways. However, supports may be located in the median or outer separation when the_DEPARTMENT determines and the FHWA concurs that such medians and outer separations are of. sufficient • width: All'supports are to be back of or flush with the face of any wall at the same location. Supports shall be adequately protected by means acceptable to the DEPARTMENT and the FHWA`. No supports shall be located in the ramp gores, or in a position so as to interfere with the signing necessary for the proper use of the ramps except as specifically authorized by DEPARTMENT with concurrence by FHWA. 19) The use of airspace shall not result in either highway or non-•h ghway—users---being—unduly--exposed—to—haza-rdous--corrdit-ions because of highway location, design, maintenance and operation features. 11 20) Appropriate safety precautions and features necessary to minimize the possibility of injury to users of either the, highway facility or airspace due to traffic accidents occurring on the highway or accidents resulting from non -highway use shall be provided. Such precautions should include, but not be limited to: consideration of .protective barriers or continuous guardrail with impact attenuation proper to prevent penetration by heavy vehicles; installation of fire hydrants.; drainage arrangements adequate to.safely handle accidentally released hazardous liquids; warning signs., reflectors, and lights; speed controls; and, where deemed necessary, limitations on the use of the highway facility by vehicles carrying hazardous materials. Airspace facilities shall not be approved for construction over or under the highways, unless the plans therefor contain adequate provisions, acceptable to the DEPARTMENT and the FHWA, for evacuation of the structures or facilities in case of a major accident endangering the occupants of such structures or facilities. 21) The METROMOVER facilities shall be fire resistant in accordance with the South Florida Building Code. Such facilities shall not be used for the manufacture or storage of flammable, explosives, or hazardous material or for any occupation which is deemed by the DEPARTMENT or the FHWA to be a hazard to highway or nonhighway users, 22) No structure or structures built over a highway facility shall occupy more length of the highway than will permit adequate natural ventilation of the enclosed section of the highway for the conditions at the location, assuming a volume of traffic equal to capacity. Each ..such covered .ienth-sha-1L..be,:. preceded and.,.f.o,l1owed ..by uncovered_. lengths of highway that will safely allow natural ventilation. The DEPARTMENT.shall determine such lengths.for. each particular case, subject to FHWA concurrence. Exceptions may be considered when complete tunnel ventilation is provided. Unless tunnel ventilation is provided, structures over highway shall be so designed and constructed as to facilitate natural ventilation of the highway. To this end, the underside and any supports for such structures shall have smooth and easily cleanable surfaces. Supports for such structures shall leave as much open space on the sides of the highway as feasible. Such space shall be appropriately graded when deemed necessary or desirable by the DEPARTMENT. • 23) The design, occupancy, and use of any structure over or under a highway facility shall be such that neither the use, safety, appearance, nor the enjoyment of the highway will be adversely affected by fumes, vapors, odors, drippings, droppings, or discharge of any kind therefrom. 24) On -premise signs, displays, or devices for METROMOVER facilities may be erected on structures occupying highway airspace, but shall be restricted to those indicating ownership and type of nxi=pxemd se�arti�r{t�e.s_.and.,.s.h.a11 _he subject to regulation bar the DEPARTMENT and the FHWA with respect to number, size, location and design. 9 25) Construction of any structure above or below a highway facility shall not require any temporary or permanent change in alignment or profile of an existing highway without prior approval by the DEPARTMENT and the FHWA. 26) Where either the DEPARTMENT or the FHWA is of the opinion that the proposed use of airspace requires changes in or additions to existing highway facilities for the proper operation and maintenance of the highway, such facilities as are —directly attributable to the PROJECT shall be provided without cost to DEPARTMENT orFHWA. There may be exception to this policy when the proposed use is for highway related or other public or quasi-public.use which would assist in integrating the highway into the local environment and enhance other publicly supported programs. This provision is not intended to expand existing limitations upon expenditures from the highway trust fund, nor is it intended to conflict with the provisions of Volume 7, Chapter 7, Section 8, of the Federal -Aid Highway Program Manual, relating to joint development of highway corridors and multiple use of roadway properties. Additionally, there may be exceptions to this policy where DEPARTMENT, with FHWA concurrence, and COUNTY mutually agree that Federal Highway Funds are to be utilized. 27) Proposed airspace facilities shall be designed and constructed in a manner which will permit access to the highway facility for the purpose of inspection, maintenance, and reconstruction when necessary. 28) COUNTY's use of airspace shall be in conformity with the provisions of current appropriate Federal Aviation Administration Regulations. "" SECTION IV REAL ESTATE CONVEYANCES It is contemplated that COUNTY and DEPARTMENT will enter into a 'series of conveyances pertaining to the real estate requirements for the project. In order to achieve an expeditious and efficient processing of real estate transactions the parties hereto agree to the following procedure: 1) Within 20 days of receipt by the COUNT/ of authorization to. acquire from the Board of County Commissioners, COUNTY will forward to the DEPARTMENT.-Contaet Officer, six (6) sets of the appropriate right-of-way drawings depicting estates and areas to be acquired, legal description, and easement definitions together with a request to acquire the described property., 2) Within 30 days after receipt of the COUNTY's acquisition request, DEPARTMENT, unless it has notified COUNTY of the possible delay and identified a new conveyance date, shall convey the required real property o i1rteLests in property subject only to the —rights of third parti-es lawfully occupying DEPARTMENT property and not in conflict with the COUNTY -use and ---occupancy of the--pr-operty, by. Permanent Easement, at no charge to COUNTY. 10 3) Aerial, surface and subsurface easements shall include the rights as generally described hereinafter: a). COUNTY may have the right of unobstructed and unimpaired use, consistent with other provisions of the AGREEMENT, of the aerial and surface easements for the purpose of construction, operation and maintenance of the PROJECT including all appurtenant facilities therefor, such as, by way of example and not limitation, supports, guideways, underground or surface utilities serving the METROMOVER system and maintenance access roads, provided that the METROMOVER elevated guideway structures will be designed and constructed in accordance with Section III of this AGREEMENT and will be.no less than 16 feet 6 inches above existing grade (minimum clearance distance) at locations where the transit guideway structures cross over existing . roads. It is understood that COUNTY shall have the right to the use of the ground surface area directly below the aerial structure for use as contractor's work area during construction provided, however, that. the COUNTY's Transportation Coordinator shall submit traffic maintenance plans and schedules to DEPARTMENT for approval in accordance: with the provisions of SECTION V, 1 of this AGREEMENT. b) DEPARTMENT shall retain the right to use and develop the property encumbered by the easement provided, however, that DEPARTMENT shall not, nor allow others to: (i) Place any structures within ten (10) feet horizontally and below, twelve (12) feet vertically above top of running surface elevation of any METROMOVER facility without COUNTY's prior wr:i:ttetrauthorization. -In-the-even,-however; that if it is necessary to support highway or traffic related overhead signs.and/..r traffic •. signal heads from METROMOVER facilities, or it is necessary to .utilize DEPARTMENT controlled right-of-way encumbered by easements for public utility facilities, DEPARTMENT will submit such proposal together with appropriate plans and specifications to COUNTY Contact Officer for review and approval. Within thirty (30) days COUNTY will review and respond unless DEPARTMENT is otherwise notified. COUNTY reserves right to inspect construction to insure the integrity of transit facilities. It is understood that the purpose of this provision is not to place total and final control of other nontransit property in COUNTY, but rather to insure protection of METROMOVER facilities. (ii) Locate, store, or permit to be located or stored upon the property encumbered by the easement any flammables, explosives or materials of like nature. Develo.p...the :property in_.such a manner as to lessen or interfere with the lateral and subjacent support of COUNTY METROMOVER facilities. (iv) Interfere with COUNTY's use of its rights, including specifically the COUNTY's right to access for maintenance and inspection activities related to the METROMOVER facilities. SECTION V DEPARTMENT APPROVALS AND FHWA CONCURRENCE IF APPLICABLE 1) COUNTY, through its Contract Officer, shall secure approval of PROJECT plans and specifications and traffic maintenance plans and schedules by the DEPARTMENT with FHWA concurrence, if applicable, prior to contract award of each individual construction contract unit. Such approval by DEPARTMENT, with FHWA concurrence as appropriate, shall constitute authorization to COUNTY to proceed with advertisement and construction. 2) During the design process, COUNTY shall submit coordination or approval packages in all areas where the METROMOVER is jointly using DEPARTMENT right-of-way..., These packages shall comply with documentation requirements of Exhibit "B". SECTION VI UTILITIES In the event that COUNTY must install utility facilities solely to serve the METROMOVER facilities within the property encumbered by the permanent aerial easement, then COUNTY shall follow DEPARTMENT'S established..,policy.and„,,procedures,,ror,securing an appropriate utility permit. ht is understood that the purpose of this provision is to further ensure timely, efficient review of proposed utility facility 'installation to'prec'1¢de present or future conflict situations;. -It -is - understood and agreed that COUNTY shall be responsible at its expense for relocation of utilities in conflict with METROMOVER facilities or for damage caused to utility facilities regardless of whether or not utility is on DEPARTMENT right-of-way by appropriate authorization. SECTION VII REVERSION In the event that COUNTY does not commence construction of any portion of said PROJECT by June 1, 1991, or in .the event that once constructed tfie"METROMOVER facilities cease to be used, op are abandoned as evidenced by no operations ° maintenance ignableraerial orsix surface�ive months, all areas conveyed by permanent nonass easement under this AGREEMENT will revert to DEPARTMENT. In the event of such reversion, DEPARTMENT shall have the authority to perform necessary maintenance to protect the interests of DEPARTMENT and FHWA, and such costs related thereto shall be assessed to and paid for by COUNTY.
