Purpose of Item:
A Resolution of the Miami City Commission, with attachment(s), calling for a referendum special
municipal election to be held on November 6, 2012, for the purpose of submitting to the qualified
electors of the City of Miami, for their approval or disapproval, the execution of a lease agreement
between the City of Miami ("City") and CHLN, Inc. for the renovation, management and operation of
the indoor/outdoor restaurant located at 51 Chart House Drive, Miami, FL. 33133, for an initial period
of twenty (20) years, with two (2) five-year renewal terms, subject to CHLN, Inc. paying to the City
the greater of a minimum annual rent of $340,000 payable on a monthly basis or a percentage rent,
with terms and conditions more particularly set forth in the agreement; conditions as the City may
require; designating and appointing the City Clerk as the official representative of the City
Commission with respect to the use of voter registration books and records; further, directing the City
Clerk to cause a certified copy of the herein resolution to be delivered to the supervisor of elections of
Miami -Dade County, Florida, not less than 45 days prior to the date of such referendtun special
election.

Subject: Acceptance of the Referendum Ballot Language for the Indoor/Outdoor Restaurant RFP
No. 11-12-024. for 51 Chart House Drive. Miami FL. 33133
• Background Information:
On March 16, 2012, the City Administration issued Request for Proposals (RFP) No. 11-12-024 to
solicit bidders for the lease, •renovation, management and operation of this Property as an
Indoor/Outdoor Restaurant, with a floating dock. As required by the City's Code, this RFP was
advertised and issued. A total of one (1) proposal was received and deemed responsive in accord with
the RFP's terms and conditions. The Selection Committee appointed by the City Manager met on
June 20 and 22, 2012 for the review and evaluation of the proposals and, based on the RFP's
requirements, recommended that the City Manager negotiate and execute a Lease Agreement
("Lease") with the top ranked company, CHLN, Inc. ("Successful Proposer"). The term of the Lease
is for an initial period of twenty (20) years, with two (2) five (5) year renewal tens. Rent payments
shall include the payment of the greater of a minimum annual base rent of $340,000.00 payable on a
monthly basis or percentage rent. The size of the lease area is 1.34 acres of upland and 0.47 acres of
submerged lands.
As per the City Charter, leases of waterfront property require approval by City residents at a
referendum. The RFP does not confer any contractual rights upon said Proposer unless and until there
has been a favorable vote by the electorate as required by City Charter Section 29-C and the proposed
Lease has been executed by the City of Miami. Pursuant to the RPF issued for this Property, the
Selected Proposer is required to pay for the costs related to presenting the proposed lease of the
Property as a referencltun item. W__._
