BOARD OF DIRECTORS
ROLES AND RESPONSIBILITIES
The Trust Board of Directors of the Adrienne Arsht Center for the Performing Arts of Miami -Dade
County has a broad portfolio of responsibilities, including fiduciary, governance, planning, policy setting,
leadership development and advancement activities.
Specific Board responsibilities include the following:
• To appoint and support the President and CEO.
• To approve, support, communicate, and maximize the mission of Adrienne Arsht Center.
• To serve as an advocate and ambassador for the Adrienne Arsht Center.
• To attend Board meetings, serve on a committee and/or as an individual advisor.
• To help identify and recruit new Board and Council of Trustees members to the Adrienne Arsht
Center.
• To review periodically and approve the strategic and long-range plans of the Adrienne Arsht
Center.
• To review regularly and approve the financial operations of the Adrienne Arsht Center to ensure
its financial solvency.
• To provide necessary resources through the budget for fund-raising and institutional growth.
• To make the Adrienne Arsht Center a significant philanthropic priority.
• To understand, participate in and support the fund-raising program generally, on behalf of the
corporation and/or foundation from which a Director comes.
• To acknowledge an obligation to support the Adrienne Arsht Center not only through informed
commitment of time and talent but also through personal financial contributions.
• To make a personal, leadership gift to each year's annual fund for core/unrestricted support of
the Adrienne Arsht Center and to make a personal gift or pledge — over and above unrestricted
annual giving — for a special, capital, designated or unrestricted purpose, in response to any
Board -approved, special fund-raising campaign or initiative commensurate with one's personal
capacity.
