HomeMy WebLinkAboutExhibit 1AMENDMENT NO. 1 TO EMPLOYEE BENEFITS DENTAL INSURANCE PLAN SERVICES AGREEMENT ("AGREEMENT") BETWWEEN THE CITY OF MIAM! AND METROPOLITAN LIFE INSURANCE COMPANY(METLIFE) This Amendment No. 1 to the Services Agreement dated December 15, 2004, but effective as of January 1, 2005, (the "Agreement") between the City of Miami ("CITY"), and METROPOLITAN LIFE INSURANCE COMPANY ("METLIFE"") for the provision of Employee Benefits Dental Insurance Plans is entered into this day of , 2012. RECITALS WHEREAS, the Agreement was entered into pursuant to the approval of the City Commission by following their award of Request for Proposals ("RFP") No. 03-04-077 which resulted in a finding that Paragon Dental Services , Inc. was the top -ranked firm to provide Employee Benefits Dental HMO Insurance Plan, and that Metropolitan Life Insurance Company ("Metlife") was the top -ranked firm to provide Employee Benefits Dental PPO Insurance Plan, and authorized the City Manager to negotiate the Agreement with Paragon dated December 2, 2004, and the Agreement with Metlife dated December 15, 2004, but both effective January 1, 2005 ; and WHEREAS, on October 6, 2011, RFP No. 273288 for the procurement of an Employee Benefits Dental Insurance Plans was issued by the Purchasing Department at the request of the Risk Management Department; and, WHEREAS, on November 11, 2011, an evaluation committee approved the City Manager selected HUMANA, INC. as the highest ranked provider of Dental HMO Insurance and Dental PPO Insurance Plans; and, WHEREAS, on November 16, 2011, the City Manager acknowledged and approved the evaluation committee's recommendation that . HUMANA, INC. be selected as the successful provider for the City's Dental HMO Insurance and Dental PPO Insurance Plans; and, WHEREAS, on November 23, 2011, a formal protest was timely and properly filed by SOLSTICE BENEFITS, INC., a successor company of Paragon Dental Services and Starmark Benefits, Inc.; and, WHEREAS, under the applicable provisions of the Procurement Code, codified in Chapter 18, Article III, City of Miami City Code, a protest operates as a stay of further solicitation. or award of the procurement in question until such protest is resolved unless the City Manager makes a written determination that the solicitation process -or the contract award must be continued without delay in order to avoid an immediate and. serious danger to the public health,, safety and general welfare; and , WHEREAS, faced with the catastrophic loss of any Dental Coverage for City employees as these protest :procedures were underway, the City Manager on December 23, 2011 made -such an Emergency Finding providing for a Group Benefits Extension of the existing Agreement with "METLIFE for the Dental :PPO Insurance- Plan and with SOLSTICE BENEFITS, INC.. for the ' Dental -HMO 'Insurance -Plan for a -period of four (4) months or until the pending protest is resolved, whichever occurs first. NOW THEREFORE, for -.the considerations hereinafter set. forth: The Agreement dated December 15, 2004 between the City and Metlife for the Dental PPO Insurance Plan, are hereby each amended as follows: 1. The existing provision of the Agreement is amended in the following particulars: MEMORANDUM OF AGREEMENT — ITEM 2 TERM for MetLife The term of this Services Agreement is hereby extended for a four (4) month period commencing on January 1, 2012 and ending on April 30, 2012 , or until the pending Dental Plan Protest is decided by the City Commission per the applicable provisions of the Procurement Code, and no appeal is timely taken, whichever occurs first. 2. All other terms and conditions of the Agreements are in effect and remain unchanged and in full force and effect.
