("FOUNDATION"), CONSISTING OF IMPROVEMENTS, AS DESCRIBED IN "EXHIBIT A," ATTACHED AND INCORPORATED, TO CITY OF MIAMI ("CITY") OWNED PROPERTY LOCATED AT 100 NORTHWEST 17 STREET, MIAMI, FLORIDA, COMMONLY KNOWN AS THE "DORSEY MEMORIAL LIBRARY;" AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND TO EXECUTE A REQUIRED IMPROVEMENTS AND INDEMNIFICATION AGREEMENT, IN SUBSTANTIALLY THE ATTACHED FORM, FOR A ONE-YEAR TERM, WITH THE OPTION TO RENEW FOR ONE ADDITIONAL ONE-YEAR TERM, SUBJECT TO THE FOUNDATION PROVIDING INSURANCE DEEMED APPROPRIATE BY THE CITY'S DEPARTMENT OF RISK MANAGEMENT. WHEREAS, the City of Miami ("City") is the owner of real property located at 100 Northwest 17 Street, Miami, Florida, commonly known as the Dorsey Memorial Library ("Library"); and WHEREAS, on September 25, 2003, the City Commission adopted Resolution No. 03-1027, accepting a donation of in -kind services from the Turkel Resource Foundation Inc. ("Foundation"), consisting of $50,000 worth of improvements to the Library; and WHEREAS, the Foundation is poised to continue with the restoration of the Library and has applied for, and anticipates receiving $250,000 in General Obligation Bond funding from Miami -Dade County, to continue the restoration; and WHEREAS, said improvements consist of the following: repairs and/or improvements to sidewalks, concrete work, carpentry, lumber, masonry, doors and frames, insulation, hardware, windows, shutters, lath and plaster, drywall, wood floors, ceramic tiles, painting, plumbing, HVAC, electric including project administration and design ("Improvements"); and WHEREAS, the Foundation wishes to contract for the appropriate professional construction and other services and oversee the work of the Improvements, at no cost to the City; and WHEREAS, the Foundation wishes to donate the Improvements to the City; and WHEREAS, the City Commission finds it in the best interest of the City to accept donation of such Improvements; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by City of Miami Page 1 of 2 Printed On: 7/5/2006 Re Number: 06-01022 reference and incorporated as if fully set forth in this Section. Section 2. The donation of in -kind services valued at approximately $250,000, from the Foundation, consisting of the improvements to City -owned property located at 100 Northwest 17 Street, Miami, Florida, commonly known as the "Dorsey Memorial Library," are accepted. Section 3. The City Manager is authorized{1} to negotiate and to execute the required Improvements and Indemnification Agreement, in substantially the attached form, for a one-year term, with the option to renew for one additional one-year term, subject to the Foundation providing insurance deemed appropriate by the City's Department of Risk Management. Section 4. This Resolution shall become effective immediately upon its adoption and signature of the Mayor.{2} APPROVED AS TO FORM AND CORRECTNESS: JORGE L. FERNANDEZ 0 CITY ATTORNEY Footnotes: {1} The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code provisions. {2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar days from the date it was passed and adopted.
