A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
BY A FOUR -FIFTHS (4/5THS) AFFIRMATIVE VOTE, AFTER AN ADVERTISED
PUBLIC HEARING, RATIFYING, APPROVING AND CONFIRMING THE CITY
MANAGER'S DETERMINATION THAT COMPETITIVE BIDDING
PROCEDURES ARE NOT PRACTICABLE OR ADVANTAGEOUS, WAIVING
THE REQUIREMENTS FOR SAID PROCEDURES; AUTHORIZING THE
ACQUISITION OF SURETY/EXTENDED WARRANTY SUPPORT SERVICES
FOR THE CITY OF MIAMI'S NX5800 CLEARPATH SYSTEM, FROM UNISYS
CORPORATION ("UNISYS") FOR THE DEPARTMENT OF INFORMATION
TECHNOLOGY; FURTHER AUTHORIZING THE CITY MANAGER TO
EXECUTE A PROFESSIONAL SERVICES AGREEMENT, IN SUBSTANTIALLY
THE ATTACHED FORM, WITH UNISYS, FOR SAID SERVICES, FOR A TWO-
YEAR PERIOD, WITH THE OPTION TO EXTEND FOR AN ADDITIONAL ONE-
YEAR PERIOD, IN AN ANNUAL AMOUNT NOT TO EXCEED $388,497;
ALLOCATING FUNDS FROM ACCOUNT CODE NO. 001000.460101.6.670,
SUBJECT TO BUDGETARY APPROVAL.
WHEREAS, the City Manager is authorized to execute a Professional Services Agreement ("
Agreement") with Unisys Corporation ("Unisys") to acquire surety/extended warranty support
services for the City of Miami's ("City") NX5800 Clearpath System, for the Department of
Information Technology; and
WHEREAS, the NX5800 Clearpath System platform is the computing platform used to support
a vast majority of the City's mission critical applications such as Police Dispatch, Fire Dispatch,
Payroll, and Accounts Receivable; and
WHEREAS, the NX5800 Clearpath System platform was originally procured from, configured,
and installed by Unisys, who has provided the surety/warranty on this proprietary platform for the
past five (5) years; and
WHEREAS, due to Unisys' experience level with this platform and the City's specific
implementation of the platform, the complexity and high degree of integration with supporting
hardware components, and the proprietary architecture of the NX5800 Clearpath System, the
Department of Information Technology and City Manager believe the continued procurement of
the surety/warranty on the NX5800 Clearpath System from Unisys Corporation is most practical,
advantageous and in the City's best interests; and
WHEREAS, funding, in an annual amount not to exceed $388,497, for a two-year period, with
the option to extend for an additional one-year period, is available from Account Code No.
001000.460101.6.670;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:

Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted
by reference and incorporated as if fully set forth in this Section.
Section 2. By a four -fifths (4/5ths) affirmative vote, after an advertised public hearing, the City
Manager's determination that competitive sealed bidding procedures are not practicable or
advantageous, waiving the requirements for said procedures is ratified, approved and confirmed,
and the acquisition of surety/extended warranty support services for the City's NX5800 Clearpath
System from Unisys for the Department of Information Technology, is authorized.
Section 3. The City Manager is authorized{1} to execute an Agreement, in substantially the
attached form, with Unisys, for said services, for a two-year period, with the option to extend for an
additional one-year period, in an annual amount not to exceed $388,497, with funds allocated from
Account Code No. 001000.460101.6.670, subject to budgetary approval.
Section 4. This Resolution shall become effective immediately upon its adoption and signature
of the Mayor.{2}

{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City
Charter and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall
become effective immediately upon override of the veto by the City Commission.
