MESSAGE FROM MAYOR TOMAS REGALADO While I disagree, in principle, with waiving any conflict of interest the law firm of Morgan, Lewis & Bockius LLP has in representing JP Morgan Chase in proceedings contemplated to be filed by the City of Miami in the United States District Court, Southern District of Florida, I have determined that I will not veto this resolution. Rather, out of respect for the City Attorney and her judgment in recommending that this waiver be granted and in deference to the members of the City of Miami Commission Voting in favor of granting this waiver. This resolution shall take effect without my signature. I do so with the understanding and belief that the City Attorney and Morgan, Lewis & Bockius LLP, through its authorized representatives, has negotiated the following: 1. Going forward and effective immediately, the City will pay a lower rate for the services of Morgan, Lewis, Bockius LLP on all matters which the firm is currently handling on behalf of the City of Miami pre -approved by the City attorney. This blended rate is not to exceed $370 by billable hour. 2. The City will not waive any additional conflicts of interest with the firm nor engage the firm while the firm represents any party or parties adverse to the City of Miami. 3. The City Attorney will limit the firm's representation on the matter to which the waiver applies to a consulting role in cases where the City Attorney determines that the firm's counsel is necessary in order to serve the City's best interest. 4. The City Attorney will provide the Mayor's Office, as well as Commissioners who may request such, with monthly reports on work performed which will be evaluated in three months effective from the date on which the resolution becomes effective.
