Purpose of Item:
A Resolution of the Miami City Commission, with attachment(s), calling for a referendum special
municipal election to be held on November 6, 2012, for the purpose of submitting to the qualified
electors of the City of Miami, for their approval or disapproval, the execution of a lease agreement
between the City of Miami ("City") and David One, LLC for the renovation, management and
operation of the marina and outdoor casual restaurant located at 3385 Pan American Drive, Miam,
Florida 33133, for an initial period of forty (40) years, with one ten-year renewal term, subject to
David One, LLC paying to the City the greater of a minimum annual rent of $720,000 payable on a
monthly basis or a percentage rent with annual base rent increasing to $840,000 by lease year three
(3), with terms and conditions more particularly set forth in the lease; designating and appointing the
City Clerk as the official representative of the City Commission with respect to the use of voter
registration books and records; further, directing the City Clerk to cause a certified copy of this
resolution to be delivered to the supervisor of elections of Miami -Dade County, Florida, not less than
45 days prior to the date of such referendum special election.

Subject: Acceptance of the Referendum Ballot Language for the Marina/Casual Outdoor Restaurant
RFP No. 11-12-025. for 3385 Pan American Drive, Miami FL.33133
Background Information:
On March 16, 2012, the City Administration issued Request for Proposals (RFP) No. 11-12-025 to
solicit bidders for the lease, renovation, management and operation of 3385 Pan American Drive,
Miami Florida ("Property") as a Marina and Casual Outdoor Restaurant. The proposed uses include a
marina, casual restaurant, dry rack storage, tourist pier and boat fueling. As required by the City's
Code, this RFP was advertised and issued. A total of five (5) proposals were received and deemed
responsive in accord with the RFP's terms and conditions. The Selection Committee appointed by the
City Manager met on June 20 and 22, 2012 for the review and evaluation of the proposals and, based
on the RFP's requirements, recommended that the City Manager negotiate and execute a Lease
Agreement with the top ranked company, David One, LLC ("Selected Proposer"). The term of the
Lease is for an initial period of forty (40) years, with one (1) ten (10) year renewal 'term. Rent
payments shall include the payment of the greater of, a minimtun annual base rent of $720,000.00,
increasing to $840,000.00 by lease year three, or percentage rent, payable on. a monthly basis. The
size of the lease area is comprised of 4.78 acres of upland and 0.47 acres of submerged lands.
As per the City Charter, leases of waterfront property require approval by City residents at a
referendum. The RFP does not confer any contractual rights upon said Proposer unless and until there
has been a favorable vote by the electorate as required by City Charter Section 29-C and the proposed
Lease has been executed by the City of Miami. Pursuant to the RPF issued for, this Property, the
Selected Proposer is required to pay for the costs related to presenting the proposed lease of the
Property as a referendum item.
