Re: Updated- Letter of Intent for Grove Village MUSP
Dear Mr. Rodriguez:
On behalf of Grove Village LLC, applicant/developer we are submitting revisions to the
previously filed Major Use Special Permit ("MUSP") filed in May 2010. The Grove Village
project encompasses six (6) blocks along Grand Avenue in Coconut Grove, including a parcel
owned by the City of Miami, which has joined our application. The update to the plans originally
filed include revision to the Paradise Island, Grand Bahama, Freeport and Bimini blocks as
specifically detailed in attached Exhibit "A". There will be an Alternative A for the Freeport
block, Alternative B and Alternative C for the Bimini block as reflected on Exhibit "A". The
two remaining blocks have not been modified Freeport and Abaco, and will remain with the
same development proposal originally filed.
Our original application included applicable rezoning, Class II and Class I permits which
are still being incorporated and updated accordingly. Furthermore, the comprehensive plan
amendments originally filed have been processed and approved by the City Commission on
October 28, 2010 by Ordinance Nos. 13220, 13221, 13222, 13223 and 13224. See attached
copies.

STATUTES, BY CHANGING THE LAND USE DESIGNATION OF THE ACREAGE
DESCRIBED HEREIN OF REAL PROPERTIES LOCATED AT APPROXIMATELY
3400 GRAND AVENUE; 3435, 3441, 3445 AND 34,19 HIBISCUS STREET; 3454,
3441, 3439, 3407, 3460, 3452, 3440 AND 3430 THOMAS AVENUE; AND 3420,

WHEREAS, the Miami Planning, Zoning and Appeals Board, at its meeting on October 6, 2010,
Item No. 2, following an advertised public hearing, adopted Resolution No. PZAB-R-10-041 by a vote
of seven to zero (7-0), recommending DENIAL of an amendment to Ordinance No. 10544, as
amended;
NOW, THEREFORE, BE IT ORDAINED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Ordinance are adopted by
reference and incorporated as if fully set forth in this Section.
Section 2. The Future Land Use Map of Ordinance No.10544, as amended, the Miami
Comprehensive Neighborhood Plan, pursuant to small scale amendment procedures subject to
§163.3187, Florida Statutes, for 2.272± acres of real properties located at approximately 3400 Grand
Avenue, 3435, 3441, 3445 and 3449 Hibiscus Street, 3454, 3441, 3439, 3407, 3460, 3452, 3440 and
3430 Thomas Avenue, 3420, 3454 and 3456 Elizabeth Street, Miami, Florida, more particularly
described in attached "Exhibit A", is hereby amended by changing the land use designation from
"Single -Family Residential" and "Duplex Residentia"I to "Restricted Commercial", except with
transitions as presentedbythePlanningDepartment and attached -as"Exhibit-B".
Section 3. It is found that this Comprehensive Plan designation change:
(a) Is necessary due to changed or changing conditions;
(b) Is one which involves property that has not been the specific subject of a Comprehensive Plan
change within the prior twelve months;

(c) Is one which does not involve the same owner'sproperty within 200 feet of property that has
been granted a Comprehensive Plan change within the prior twelve months;
(d) The proposed amendment does not involve a text change to goals, policies, and objectives of
the local government's comprehensive plan, but proposes a land use change to the future land use
map for a site -specific development;
(e). Is one which is not located within an area of critical state concern, unless the project subject to
the proposed amendment involves the construction of affordable housing units meeting the criteria of
• §420.0004(3), Florida Statutes, and is located within an area of critical state concem designated by
§380.0552, Florida Statutes or by the Administration Commission pursuant to §380.05(1), Florida
Statutes, Such amendment is not subject•to the density limitations of sub -subparagraph f., .and shall
be reviewed by the state land planning agency for consistency with the principles for guiding
development applicable tb the area of critical state concem where the amendment. is located and shall
not become effective until a final order is issued under § 380.05(6), Florida Statutes; and
(f) Density will be Restricted Commercial, 150 dwelling units per acre, as per the Miami
Neighborhood Comprehensive Plan, as amended, and intensity will be as established rin Article 4,
Section 4.01, "T6-80" Urban Core of the City of Miami Zoning Ordinance 13114, as amended.
(g) The proposed amendment complies with the applicable acreage and density limitations set
forth in the Local Govemment Comprehensive
Planning and Land Development Regulation Act including, without limitation, §163.3187,
Florida Statutes.
Section 4. The City Manager is directed to instruct the Director of the Planning Department to
promptly transmit a certified copy of this Ordinance after its adoption on second reading to: the
Secretary, Florida Department of Community Affairs; the Executive Director, South Florida Regional
Planning Council, Hollywood, Florida; and any other person or entity requesting a copy.
Section 5. If any section, part of section, paragraph, clause, phrase, or word of this Ordinance is
declared invalid, the remaining provisions of this Ordinance shall not be affected.
Section 6. This Ordinance shall become effective thirty-one (31) days after second reading and
adoption thereof pursuant and subject to §163.3187(3)(c), Florida Statutes. {1}

{1} This Ordinance shall become effective as specified herein unless vetoed by the Mayor within ten
- days from the date it was passed and adopted: If the Mayor vetoes this -Ordinance 1t shall become

NOW, THEREFORE, BE IT ORDAINED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:

(e) Is one which is not located within an area of critical state concern, unless the project subject to
the proposed amendment involves the construction of affordable housing units meeting the criteria of
§420.0004(3), Florida Statutes, and is located within an area of critical state.concem designated by
§380.0552, Florida Statutes or by the Administration Commission pursuant to § 380.05(1), Florida
Statutes. Such amendment is not subject to the density limitations of sub -subparagraph f., and shall
be reviewed by the state land planning agency for consistency with the principles for guiding
development applicable to the area of critical state concern where the amendment is located and shall
not become effective until a final order is issued under §380.05(6), Florida Statutes; and
(f) Density will be "Restricted Commercial", 150 dwelling units per acre, as per the Miami
Neighborhood Comprehensive Plan, as amended, and intensity will be as established in Article 4,
Section 4.01, "T6-80" Urban Core of the City of Miami Zoning Ordinance 13114, as amended.
(g) The proposed amendment complies with the applicable acreage and densitylimitations set
forth in the Local Govemment Comprehensive Planning and Land. Development Regulation Act
including, without limitation, §163.3187, Florida Statutes.
Section 4. The City Manager is directed to instruct the Director of the Planning Department to
promptly transmit a certified copy of this Ordinance after its adoption on second reading to: the
Secretary, Florida Department of Community Affairs; the Executive Director, South Florida Regional
Planning Council, Hollywood, Florida; and any other person or entity requesting a copy.
Section 5. If any section, part of section, paragraph, clause, phrase, or word of this Ordinance is
declared invalid, the remaining provisions of this Ordinance shall not be affected.
Section 6. This Ordinance shall become effective thirty-one (31) days after second reading and
adoption thereof pursuant and subject to §163.3187(3)(c), Florida Statutes. {1)

WHEREAS, the Miami Planning, Zoning and Appeals Board, at its meeting on October 6,'2010,
Item No. 4, following an advertised public hearing, adopted Resolution No. PZAB-R-10-043 by a vote
of seven to zero (7-0), recommending DENIAL of an amendment to Ordinance No. 10544, as
amended;
WHEREAS; the Miami Planning, Zoning and Appeals Board, at its meeting on October 6, 2010,
Item No. 4, following an advertised public hearing, adopted. Resolution No. PZAB-R-10-043a by a vote
of five to two (5-2), recommending APPROVAL to City Commission to consider, as per the Letter of
Intent of the applicant, dated September 22, 2010, where there is a transition from the "Restricted
Commercial High Density" to "Medium Density" and ultimately "Restricted Commercial Low Density"
fronting Florida Avenue;
NOW, THEREFORE, BE IT ORDAINED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Ordinance are adopted by
reference and incorporated as if fully set forth in this Section. -
Section 2. The Future Land Use Map of Ordinance No.10544, as amended, the Miami
Comprehensive -Neighborhood Plan, —pursuant -to -small scale amendment -procedures -subject to
§163.3187, Florida Statutes, for 0.0689± acres of real properties located at approximately 3361
Hibiscus Street, 3472, 3440, 3422, 3412, 3400 Florida Avenue, Miami, Florida, more particularly
described in attached "Exhibit A", is hereby amended by changing the land use designation from
"Single -Family Residential" to "Restricted Commercial", except with transitions as presented by the
Planning Department and attached as "Exhibit B".
Section 3. It is found that this Comprehensive Plan designation change:

(a) Is necessary due to changed or changing conditions;
(b) Is one which involvesproperty that has not been the specific subject of a Comprehensive Plan
change within the prior twelve months;
(c) Is one which does not involve the same owner's property within 200 feet of property that has
been granted a Comprehensive Plan change within the prior twelve months;
(d) The proposed amendment does not involve a text change to goals, policies, and objectives of
the local governments comprehensive plan, but proposes a land use change to the future land use
map for a site -specific development;
(e) Is one which is not located within an area of critical state concern, unless•the project subject to
the proposed amendment involves the construction of affordable housing units meeting the criteria -of

not become effective until a final order is issued under § 380.05(6),. Florida Statutes; and
(f) Density will be "RestrictedCommercial", 150 dwelling units per acre, as per the Miami
Neighborhood Comprehensive Plan, as amended, and intensity will be as established in Article 4,
Section 4.01, "T6-8O" Urban Core of the City of Miami Zoning Ordinance 13114, as amended.
(g) The proposed amendment complies with the applicable acreage and density limitations set
forth in the Local Government Comprehensive Planning and Land Development Regulation Act
including, without limitation, §163.3187, Florida Statutes.
Section 4. The City Manager is directed to instruct the Director of the Planning Department to
promptly transmit a certified copy of this Ordinance after its adoption on second reading to: the
Secretary, Florida Department of Community Affairs; the Executive Director, South Florida Regional
Planning Council, Hollywood, Florida; and any other person or entity requesting a copy.
Section 5. If any section, part of section, paragraph, clause, phrase, or word of this Ordinance is
declared invalid, the remaining provisions of this Ordinance shall not be affected.
Section 6. This Ordinance shall become effective thirty-one (31) days after second reading and
adoption thereof pursuant and subject to §163.3187(3)(c), Florida Statutes. {1)

WHEREAS, the Miami Planning, Zoning and Appeals Board, at its meeting on October 6, 2010,
Item No. 6, following an advertised public hearing, adopted Resolution No. PZAB-R-10-045 by a vote
of seven to zero (7-0), recommending DENIAL of an amendment to Ordinance No. 10544, as
amended;
WHEREAS, the Miami Planning, Zoning and Appeals Board, at its meeting on October 6, 2010,
Item No. 6, following an advertised public hearing, adopted Resolution No. PZAB-R-10-045a by a vote
of seven to zero (7-0), recommending APPROVAL to City Commission to consider, as per the Letter of
Intent of the applicant, dated September 22, 2010, requesting that the Comprehensive Plan
amendment include along the north side of Grand Avenue to expand the existing "Restricted
Commercial High Density", which fronts Grand Avenue, and transition from the "Restricted
Commercial High Density" to "Medium Density" and ultimately "Restricted Commercial Low Density"
fronting on Florida Avenue; furthermore, the south side of Grand Avenue proposes to expand the
existing "Restricted Commercial High Density", which fronts on Grand Avenue and transition to
"Restricted Commercial Medium Density";
NOW, THEREFORE, BE IT ORDAINED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Ordinance are adopted by
reference and incorporated as if fully set forth in this Section.
Section 2. The Future Land Use Map of Ordinance No.10544, as amended, the Miami
Comprehensive Neighborhood Plan, pursuant to small scale amendment procedures subject to
§163.3187, Florida Statutes, for 0.11± acres of real property located at approximately 3558 Florida
Avenue, Miami, Florida, more particularly described in attached "ExhibitA", is hereby amended by
changing the land use designation from "Single -Family Residential" to "Restricted Commercial",
except with transitions as presented by the Planning Department and attached as "Exhibit B".

Section 3. It is found that this Comprehensive Plan designation change:
(a) Is necessary due to changed or changing conditions;
(b) Is one which involves property that has not been the specific subject of a Comprehensive Plan
change within the prior twelve months;
(c) Is one which does not involve the same owner's property within 200 feet of property that has
been granted a Comprehensive Plan change withinthe prior twelve months;
(d) The proposed amendment does not involve a text change to goals, policies, andobjectives of
the local government's comprehensive plan, but proposes a land use change to the future land use
map for a site -specific development;
(e) Is one which is not located within an area of critical state concern, unless the project subject to
the 'proposed amendment involves the construction of affordable housing units meeting the criteria of
§420.0004(3), Florida Statutes, and is located within an area of critical state concern designated by
§380.0552, Florida Statutes or by the Administration Commission pursuant to §380.05(1), Florida
Statutes. Such amendment is not subject to the density limitations of sub -subparagraph f., and shall
be reviewed by the state land planning agency for consistency with the principles for guiding
development applicable to the area of critical state concern where the amendment is located and shall
not become effective until a final order is issued under §380.05(6), Florida Statutes; and
(f) Density will be "Restricted Commercial", 150 dwelling units per acre, as per the Miami
Neighborhood Comprehensive Plan, as amended, and intensity will be as established in Article 4,
Section 4.01, "T6-80" Urban Core of the City of Miami Zoning Ordinance 13114, as amended.

Please accept the following as the City of Miami's consent and limited power of attorney to file
on its behalf an application for a Major Use Special Permit entitled Grove Village including the
City of Miami property located at 3400 Grand Avenue ("Park Property"). This consent and
limited power of attorney is conditioned on the following:
1. That the inclusion of the property located at 3400 Grand Avenue in the Major Use
Special Permit application does not grant any title interests in the Park Property; and
2. That upon the approval of the Major Use Special Permit the owner, Grove Village LLC
will apply to the City of Mianii for the conveyance of the Park Property in accordance
with City Charter Section 29B; and
3. That upon the approval of the Major Use Special Peuiiit and approval of the surplus of
the Park Property, that Grove Village, LLC will be dedicating a park of like size to the

4. That the City of Miami reserves the right to withdraw its consent at any time.

Re: Request for inclusion in application for Major Use Special Permit and an exchange -conveyance
of parcel of land located at 3400 Grand Avenue, Miami, Florida.
Dear Mr. Manager:
As you are aware, Grove Village, LLC is developing six blocks fronting along Grand Avenue between
Plaza Street and Margaret Street entitled Grove Village. Pursuant to our discussions, we are requesting that the
City of Miami join in the Major Use Special Permit ("MUSP") application in order to include the parcel of land
located 3400 Grand Avenue which is owned by the City of Miami and operated as a park ("Park Property"). The
Park Property is being rezoned from Parks and Recreation to SD-2 as part of the MUSP application.
Furthermore, we understand that the City's inclusion in the MUSP application is conditioned upon the following:
1, Relocation of the park site to the site legally described in Exhibit "A" and depicted on the site
plan attached as Exhibit "B";
2, Installation of public restrooms to be available to patrons of the park; and
3. Maintenance of the park, however the City will be responsible for the regular trash collection of
the park.
4. Grove Village will be responsible for the title costs associated with the conveyance of the Park
Property to Grove Village, as well as the title costs from Grove Village to the City of Miami for
new proposed park location. Title costs include those costs which are customary to a transfer
of property, including title search/due diligence, title opinion and recording fees.
5. That the new proposed park shall be conveyed to the City, in no less size than the Park
Property and in the event that new park property is required to be platted, Grove Village will
agree to be responsible for the platting of the tract of land and its associated fees, or in the
alternative dedicate to the City of Miami the entire current platted tracts.
Upon the approval of the MUSP, we are requesting that the City of Miami process the approval for the
exchange of the current park located at 3400 Grand Avenue for the new proposed park location depicted in
Exhibit "A." This conveyance is permitted in accordance with the Charter of the City of Miami Section 29-B
which permits the conveyance of non -waterfront City owned land which is 7,500 square feet or less to be
disposed to an adjacent property owner without the need for a referendum, public bid process or advertisement.
We are requesting for a simultaneous transfer from the City of Miami to Grove Village LLC of the land located at
3400 Grand Avenue and a transfer from Grove Village LLC to the City of Miami of the land described in Exhibit
"A.
Furthermore, in the event that the property exchange does not occur, we agree to amend the MUSP to
remove the Park Property, as well as process the application for the rezoning of the Park Property to Park and
Recreation or its equivalent at the time. We would greatly appreciate your consideration of this request at your
earliest convenience. Thank you very much `for your attention to this matter.

THIS CAUSE having come on upon the Stipulation
of Settlement made by the Plaintiff, CITY OF MIAMI, and the
Defendant, STIRRUP PROPERTIES, INC. , a copy of which is
attached hereto, and it appearing to the Court that the parties
were authorized to enter into such Stipulation, and the Court
finding that the Defendant -owner consents to the immediate
entry of .c Final Judgment as to its interest in full compensation
for the property taken, excluding attorney's fees, expenses
and costs, it is
ORDERED AND ADJUDGED that:
1. An accurate description of the property
taken or involved in this.Judgmunt is as -follows:

provided in the Stipulation of Settlement.
3. Within twenty (20) days from the date of this
Final Judgment the Plaintiff shall deposit in the Registry
of this Court the sums necessary to cover 'payment for the
compensation' provided herein.
4. Upon deposit of said sums by the Plaintiff,
the Clerk of this Court shall pay the sum set•, out in Paragraph
three above, less any sums previously paid, by delivery of his
check therefor to the Defendant, STIRRUP PROPERTIES, INC., or
its attorneys of record.
5. The Order of Taking heretofore entered in this
cause on December 12, 1978, is hereby ratified, approved and
confirmed.
6. All provisions set out in the Settlement
Agreement attached hereto are incorporated herein and made
a part of this Final Judgment.
7. This Court retains jurisdiction to assess
defendant's attorney's fees and costs
and to award interest
in accordance with the Stipulation of Settlement.

FRONTING ON GRAND AVENUE BETWEEN PLAZA AND MARGARET STREETS, REQUIRING A
MAJOR USE SPECIAL PERMIT (MUSP) AS FURTHER DESCRIBED BELOW, FOR CLARITY AND

Florida, the subject proposal for GROVE VILLAGE located as described above in Coconut Grove,
Florida, has been submitted and reviewed to allow an application for Major Use Special Permit,
subject to all applicable criteria;

APPLICATION FOR MAJOR USE SPECIAL PERMIT SUBJECT TO COMPLIANCE WITH
ZONING ORDINANCE 11000 AND THE CITY CODE, AS AMENDED, AND TO ALL
APPLICABLE CRITERIA, CONSIDERATIONS AND/OR OTHER REGULATIONS
The proposed development "GROVE VILLAGE" will be comprised of six (6) mixed used
buildings as shown in the attached Development Program.
Note:
• For the base development program, the project will provide 1,820 off-street parking spaces
where 1,622 are required after applying parking reductions as per Section 917.7.1. on Nassau and
Grand Bahama buildings, and Section 917.7.2 on Paradise Island and Abbaco buildings.
Alternate developments will provide off-street parking as shown on plans.
• For the base development program, the project will provide 263 residential units (4 SF, 18 TH,
and 241 Multifamily), where 1,518 are allowed. Alternate developments will provide residential
and hotel units as shown on plans.
• For the base development program, the project will provide 284,800 square feet of residential
space, 173,929 square feet of Retail space, and 247,532 square feet of Office space, where
779,632 square feet is allowed. Alternate developments will provide residential, hotel, retail and
office space square feet as shown on plans.
• Maximum height of all mixed used structures will be 62 feet 0 inches AGL at mid span between
the roof ridge and eave (Freeport, Nassau, Grand Bahama, Bimini, and Abaco).
• Maximum height of Paradise Island structure will be 82 feet 0 inches AGL at mid span between
the roof ridge and eave.
• Approval of this Major Use Special .Permit is contingent upon the rezoning of the four
designated blocks as proposed on MUSP application.
® The Grove Village overall development capacity cannot exceed or fall short the following
thresholds:
1. Maximum allowed density: 1,518 DU
2. Maximum allowed F.A.R: 799,750 SF
3. Minimum required Parking Spaces: 1,567
4. Minimum required Open Space: 74,319 SF
MAJOR USE SPECIAL PERMIT, as per ARTICLE 17. Section 1701, (1), to allow a residential
development involving in excess of two hundred (200) dwelling units;
MAJOR USE SPECIAL PERMIT, as per ARTICLE 17. Section 1701, (2), to allow a non-residential
development involving in excess of two hundred thousand (200,000) square feet of floor area;
MAJOR USE SPECIAL PERMIT, as per ARTICLE 17. Section 1701, (7), for any single use or
combination of uses requiring or proposing to provide in excess of five hundred (500) off-street parking
spaces;
MAJOR USE SPECIAL PERMIT, as per ARTICLE 17. Section 1701, (11), to allow a multi -phase
development;
SPECIAL EXCEPTION, as per ARTICLE 8, Section 803.6.3, to allow a large-scale retail
establishment;
SPECIAL EXCEPTION, as per ARTICLE 9, Section 917.7.2, to allow reduc"ion hn parking
requirements for multifamily residential development when located in Community Revitalization
Districts (CRD), particularly for blocks Paradise Island and Bimini;
THIS MAJOR USE SPECIAL PERMIT encompasses the following SPECIAL PERMITS and
REQUESTS:
CLASS II SPECIAL PERMIT, as per ARTICLE 6, Section 602.3.1, to allow new developments in
SD-2 district;
CLASS II SPECIAL PERMIT, as per ARTICLE 6, Section 628.3, to allow new developments in SD-
28 district;
CLASS II SPECIAL PERMIT, as per ARTICLE 9, Section 903.1, to allow a project that is designed
as a single site and it occupies lots divided by a street or alley;
CLASS II SPECIAL PERMIT, as per ARTICLE 9, Section 922.4, to allow maneuvering of trucks on
public rights -of -way with referral to Public Works Director;
CLASS II SPECIAL PERMLIT, as per ARTICLE 9, Section 908.2, to allow driveways of width
greater than 25 feet;
CLASS II SPECIAL PERMIT, as per ARTICLE 9, Section 927, to allow temporary structures,
occupancies, and uses reasonably necessary for construction such as construction fence, covered
walkway andif encroaching public property must be approved by other city depa,.l,.nents;
CLASS I SPECIAL PERMIT, as per ARTICLE 9, Section 906.9, to allow temporary carnival,
festival, fair or similar type event on privately owned or City -owned land such as a wound breaking
ceremony;
CLASS I SPECIAL PERMIT, as per ARTICLE 9, Section 916.2.1, to allow parking for temporary
special event such as ground breaking ceremonies;
CLASS I SPECIAL PERMIT, as per ARTICLE 9, Section 918.2, to allow temporary off-street
offsite parking for construction crews working on a commercial -residential project under construction;
CLASS I SPECIAL PERMIT, as per ARTICLE 9, Section 920.1.2, to allow construction trailer(s)
and other- temporary -construction offices such as watchman's quarters, leasing and -sales centers;
CLASS I SPECIAL PERMIT, as per ARTICLE 10, Section 10.6.3.2, SD-2 Coconut Grove Central
Commercial District; Temporary Signs (3) , to allow temporary development signs;
REQUEST, for waiver of CHAPTER 36 NOISE, Section 36-6 Construction Equipment (a)
permitting the operation of construction equipment exceeding the sound level of -a reading of 0.79
weighted average dBA at any time and/or day subject to the City Manager Exception pursuant to
Section 36-6 (c) and all the applicable criteria;
REQUEST for applicable MAJOR USE SPECIAL PERMIT, that the following conditions be
required at the time of issuance of Shell Permit instead of at issuance of Foundation Permit:
The requirement to record in the Public Records a Declaration of Covenants and/or Restrictions
providing that the ownership, operation and maintenance of all common areas and facilities will be
by the property owner and/or a mandatory property owner association;
