Director City I/ 5,, .40,Aret.A0-4,4 Art Pagel of 2 Subject: Concession Agreement ("Agreement") with Ultimate Catering LLC ("Concessionaire") for the operation of the City of Miami Riverside Center cafeteria located at 444 SW 2 Avenue, Miami Florida Background Information: On October 12, 2010, the City of Miami's ("City") Purchasing Department issued a Request for Proposals ("RFP") soliciting proposals from qualified individuals or business entities interested in operating and managing the cafeterias located at the City of Miami Riverside Center ("MRC") located at 444 SW 2 Avenue, Miami, Florida and the City of Miami Police Headquarters building located at 400 NW 2 Avenue, Miami, Florida. Two (2) responsive proposals were received by the City on December 16, 2010. The proposers were N.Y. Roma Pizza & Pasta Corp. and Ultimate Catering LLC. The City Manager appointed the members of the evaluation committee to evaluate proposals received in response to the RFP on January 5, 2011. City staff appointed as part of the evaluation committee conducted site visits, including taste testing, on March 25, 2011 and April 15, 2011, of locations being operated by the two responsive proposers. The full evaluation committee conducted a meeting on June 8, 2011 to review the proposals based on specific criteria in the RFP and evaluations provided from site visits and taste testing. The results of the evaluation committee's findings are as follows, listed in rank order based on total points received. 1. Ultimate Catering LLC 2. N.Y. Roma Pizza & Pasta Corp. The evaluation committee recommended that the City negotiate and execute a Concession Agreement with the top ranked firm, Ultimate Catering LLC, for both locations. This agreement is for the MRC cafeteria. In the event the City is unable to consummate an agreement with Ultimate Catering LLC for both locations, the City is to enter into negotiations with the No. 2 ranked proposer. Should contract negotiations fail with either of the firms, the City shall reject all proposals received and issue a new Request for Proposals. Highlights of the Concession Agreement for the MRC location are as follows: Purpose: To provide for the management and operation of the food service concession at the MRC cafeteria. Term: Five (5) years. Options: One (1) additional five (5) year term. Monthly Use Fee: $350.00 plus State of Florida Use Tax, if applicable Percentage Fee: First Year Second Year Third Year Fourth Year Fifth Year Zero Percent (0%) Three Percent (3%) Six Percent (6%) Eight Percent (8%) Ten Percent (10%) The approval of this Agreement is contingent on the separate approval of the Concession Agreement for the City of Miami Police Headquarters building cafeteria. The City has agreed to waive the payment of the Monthly Use Fee of $350.00 for the first three full months at this location only, whrto the Concessionaire is diligently repairing and making alterations with respect to obtaining all required licenses to operate the cafeteria, at his sole cost and expense. The revenue generated for the First Year will be Monthly Use Fees for seven months of the fiscal year totaling $2,450.00,. Thereafter, the annt'al revenues generated will be $4,200.00 plus three (3%) percentage fees of gross sales. Paget of 2
