A RESOLUTION OF THE MIAMI CITY COMMISSION, BY A FOUR -FIFTHS
(4/5THS) AFFIRMATIVE VOTE, AFTER AN ADVERTISED PUBLIC HEARING,
RATIFYING, CONFIRMING, AND APPROVING THE CITY MANAGER'S
RECOMMENDATION AND WRITTEN FINDINGS, PURSUANT TO SECTION 18-85
OF THE CODE OF THE CITY OF MIAMI, FLORIDA, AS AMENDED, WAIVING THE
REQUIREMENTS FOR COMPETITIVE SEALED BIDDING AS NOT BEING
PRACTICABLE OR ADVANTAGEOUS TO THE CITY OF MIAMI ("CITY"), FOR
CONSULTING SERVICES FOR CHIEF FIRE OFFICER, FIRE CAPTAIN, AND FIRE
LIEUTENANT EXAMINATION PROCESSES; AUTHORIZING THE CITY MANAGER
TO EXECUTE AN AMENDMENT TO THE PROFESSIONAL SERVICES
AGREEMENT(S) ("PSA") IN SUBSTANTIALLY THE ATTACHED FORM(S),
BETWEEN THE CITY, AND THE CONSULTING FIRM THAT CURRENTLY HAS A
PSA WITH THE CITY, EB JACOBS, LLC., TO PROVIDE AND ADMINISTER THE
PROMOTIONAL EXAMINATION PROCESSES FOR THE CLASSIFICATIONS OF
CHIEF FIRE OFFICER, FIRE CAPTAIN, AND FIRE LIEUTENANT, FOR THE
DEPARTMENT OF HUMAN RESOURCES, FOR A MAXIMUM AMOUNT OF
$380,972, AS STATED HEREIN.
WHEREAS, the City of Miami ("City") Department of Human Resources is required by Collective
Bargaining and the Civil Service Rules to provide promotional examination processes for the Civil
Service promotional classifications in the Department of Fire -Rescue; and
WHEREAS, the City had delays in the execution of agreements due to the May 7, 2009, hiring
freeze and collective bargaining negotiations; and
WHEREAS, in an effort to meet the timing requirements of the of the promotional examination
needs for development, implementation and administration, scoring and reporting, the Department of
Human Resources has determined that it is not practicable and advantageous to the City to adhere to
competitive bidding and therefore waive competitive bidding to provide consulting services for Chief
Fire Officer, Fire Captain, and Fire Lieutenant examination processes to the City and has presented
this determination to the City Manager; and
WHEREAS, the City wishes to execute Professional Service Agreement ("PSAs") between the City
and the consulting firm with existing contracts with the City, EB Jacobs, LLC., for said purpose; and
WHEREAS, pursuant to Section 18-85, of the Code of the City of Miami, Florida,. as amended
("City Code"), the City Manager has waived competitive sealed bidding methods by making the written
finding containing the reasons supporting his conclusion herein that, in this instance, competitive
sealed bidding or competitive sealed requests for proposal are not practicable or are not
.advantageous to the City; and said conclusion is subject to being ratified, confirmed, and approved by
the City Commission by a four -fifths (4/5ths) affirmative vote after and advertised public hearing;

NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by
.reference and incorporated as if fully set forth in this Section.
Section 2. By a four fifths (4/5ths) affirmative vote, after an advertised public hearing, the City
Manager's recommendation and written findings, pursuant to Section 18-85 of the City Code, waiving
the requirements for competitive sealed bidding methods as not being practicable or advantageous to
the City, for consulting services for the Chief Fire Officer, Fire Captain, and Fire Lieutenant
examination processes, are ratified, approved and confirmed.
Section 3. The City Manager is authorized{1} to execute an amendment to the PSAs, in
substantially the attached form(s), between the City and the consulting firm that currently has a PSA
with the City, EB Jacobs, LLC., to provide and administer, the development, implementation, scoring
and reporting of promotional examinations for the civil service classifications of Chief Fire Officer, Fire
Captain, and Fire Lieutenant, for the Department of Human Resources, for a term of six (6) months
from the anticipated contract expiration, which extends the contract from February 26, 2012, through
August 26, 2012, with fees, costs and reimbursable expenses to EB Jacobs LLC., in the not to exceed
maximum amount of $380,972.18, for the extension period of the PSA. The extended time period of
the PSA will commence on February 27, 2012 through August 23, 2012. These funds will be paid from
moneys previously allocated to all firms for these professional services, in total not to exceed amount
of $380,972.18, as already approved by the City Commission pursuant to Resolution No. 06-0031,
adopted January 12, 2006, with no additional increase in funds from the previously approved amount
by Resolution No. 06-0031.
Section 3. All other terms and conditions of the PSAs, including compensation and reimbursable
expenses, will remain in effect.
Section 4. This Resolution shall become effective immediately upon its adoption and signature of
the Mayor.{2}

Footnotes:
{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City
Charter and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City -Commission.
