Subject: Revocable License Agreement with Dade Heritage Trust for the occupancy of City of Miami -owned
property located at 190 SE 12 Terrace
Purpose of Item:
A Resolution of the Miami City Commission, with attachments, authorizing the City Manager to execute a
Revocable License Agreement ("Agreement"), in substantially the attached form, between the City of Miami,
("City") and the Dade Heritage Trust, Inc., a Florida non-profit corporation ("Licensee"), for the use of
approximately 1,457 square feet of City -owned property located at 190 SE 12 Terrace, Miami, Florida
("Property"), for the purpose of providing space for Licensee's operation, commencing from the Effective
Date, with the licensee to pay a monthly use fee to the city of $50.00, plus State of Florida Use Tax (if
applicable), with additional terms and conditions as more particularly set forth in said Agreement.

Subject: Revocable License Agreement with Dade Heritage Trust for the occupancy of City of Miami -owned
property located at 190 SE 12 Terrace
Background Information:
The City -owned property located at 190 SE 12 Terrace, also known as the Dr. Jackson House and Surgery,
("Property"), is a property designated as a Historic Resource/Site by the City of Miami and is listed in The
National Register as a historic landmark. The Property was originally the doctor's office and surgical facility of
Dr. James M. Jackson, a Miami pioneer who moved to the City in the latter part of the 19th Century and became
the City's first doctor serving all residents.
The Licensee's organizational purpose is to promote historic preservation within the City of Miami and
throughout Miami -Dade County. The Licensee has occupied the Property since December 5, 1977, under a
Lease Agreement ("Lease") with the City of Miami, which provided for an initial 10-year Lease term and one
additional 10-year renewal term, for which the Licensee paid the City $1.00 per year. The Lease expired and the
Licensee expressed an interest in continuing to utilize the property as its headquarters to further its
organizational purpose.
The City and the Licensee have negotiated the terms of the Agreement and desire to enter into the Agreement,
which includes such terms as Licensee occupying the Property for a term of one year, with an option to renew
for nine additional one-year terms, remitting a monthly Use Fee payment to the City of $50.00, plus State of
Florida Use Tax (if applicable), creating and maintaining a special Reserve/Maintenance Fund, providing audited
financial statements, and other additional terms and condition more specifically set forth in the Agreement.
