HomeMy WebLinkAboutR-11-0394City of Miami Legislation Resolution: R-11-0394 City Hall 3500 Pan American Drive Miami, FL 33133 www.miamigov.com File Number: 11-00796 Final Action Date: 10/13/2011 A RESOLUTION, OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), AUTHORIZING THE CITY MANAGER TO EXECUTE A REVOCABLE LICENSE AGREEMENT, IN SUBSTANTIALLY THE ATTACHED FORM, BETWEEN THE CITY OF MIAMI ("CITY") AND THE DADE HERITAGE TRUST, INC., A FLORIDA NON-PROFIT CORPORATION ("LICENSEE"), FOR THE USE OF APPROXIMATELY 1,457 SQUARE FEET OF CITY -OWNED PROPERTY LOCATED AT 190 SOUTHEAST 12 TERRACE, MIAMI, FLORIDA, FOR THE PURPOSE OF PROVIDING SPACE FOR LICENSEE'S OPERATION, COMMENCING FROM THE EFFECTIVE DATE, WITH THE LICENSEE TO PAYA MONTHLY USE FEE TO THE CITY OF FIFTY DOLLARS ($50), PLUS STATE OF FLORIDA USE TAX (IF APPLICABLE), WITH ADDITIONAL TERMS AND CONDITIONS AS MORE PARTICULARLY SET FORTH IN SAID AGREEMENT. WHEREAS, the City of Miami ("City") owns certain real property located at 190 Southeast 12 Terrace, Miami, Florida, also known as the Dr. Jackson House and Surgery ("Property"), originally the doctor's office and surgical facility of Miami pioneer Dr. James M. Jackson, and is both listed in the National Register as a historic landmark and designated as a Historic Resource/Site by the City; and WHEREAS, the Dade Heritage Trust, Inc.'s ("Licensee") organizational purpose is to promote historic preservation within the City and throughout Miami -Dade County; and WHEREAS, Licensee has expressed its interest in utilizing the Property to further its organizational purpose; and WHEREAS, the City and the Licensee desire to enter into a Revocable License Agreement ("Agreement") for the Licensee's use of the Property; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. The City Manager is authorized {1} to execute an Agreement, in substantially the attached form, between the City and the Licensee, for the use of approximately 1,457 square feet of the City -owned Property, for the purpose of providing space for Licensee's operation, commencing from the effective date, with the Licensee to pay a monthly use fee to the City of Fifty Dollars ($50), plus State of Florida Use Tax (if applicable), with additional terms and conditions as more particularly set forth in said Agreement. This Resolution shall become effective immediately upon its adoption and signature of the Mayor. {2} Footnotes: {1} The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code provisions. {2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective immediately upon override of the veto by the City Commission.
