A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO ACCEPT A DONATION VALUED AT
APPROXIMATELY $59,450, FROM FLORIDA COMMUNITY LIGHTING, INC., FOR
THE INSTALLATION OF STREET LIGHTING POLES ALONG RICE STREET
BETWEEN FLORIDA AVENUE AND OAK AVENUE, MIAMI, FLORIDA; FURTHER
AUTHORIZING THE CITY MANAGER TO EXECUTE AN ACCESS,
INDEMNIFICATION AND ACCEPTANCE AGREEMENT, IN SUBSTANTIALLY THE
ATTACHED FORM, COVERING THE DONATION, TEMPORARY ACCESS RIGHTS
AND ONE (1) YEAR MAINTENANCE WARRANTY.
WHEREAS, the City of Miami ("City") is the owner of public Right -of -Way located along Rice Street
between Florida Avenue and Oak Avenue, Miami, Florida; and
WHEREAS, Florida Community Lighting, Inc. has graciously agreed to donate street lighting poles
to the City as a demonstration project to showcase their product and services; and
WHEREAS, said donation includes the installation of the lighting poles, service connection,
associated restoration and a one (1) year maintenance warranty; and
WHEREAS, the City wishes to accept the donation which has a value of approximately $59,450;
and
WHEREAS, the City Commission authorizes the City Manager to execute the attached Access,
Indemnification and Acceptance Agreement between the City and Florida Community Lighting, Inc.
covering the acceptance of the donation, temporary access rights and one (1) year maintenance
warranty;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by
reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized{1} to accept a donation valued at approximately
$59,450, from Florida Community Lighting, Inc., for the installation of street lighting poles along Rice
Street between Florida Avenue and Oak Avenue, Miami, Florida.
Section 3. The City Manager is authorized{1} to execute an Access, Indemnification and
Acceptance Agreement, in substantially the attached form, covering the acceptance of the donation,
temporary access rights and one (1) year maintenance warranty.
Section 4. This Resolution shall become effective immediately upon its adoption and signature of

Footnotes:
{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City
Charter and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission.
