A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), BYA
FOUR -FIFTHS (4/STHS) AFFIRMATIVE VOTE, AFTER AN ADVERTISED PUBLIC
HEARING, RATIFYING, APPROVING AND CONFIRMING THE CITY MANAGER'S
RECOMMENDATIONS AND FINDINGS THAT COMPETITIVE NEGOTIATION
METHODS AND PROCEDURES ARE NOT PRACTICABLE OR ADVANTAGEOUS
PURSUANT TO SECTION 18-85 (A) OF THE CODE OF THE CITY OF MIAMI,
FLORIDA AS AMENDED; WAIVING THE REQUIREMENTS FOR SAID
PROCEDURES; APPROVING THE RECOMMENDATIONS AND FINDINGS OF THE
CITY OF MIAMI'S DEPARTMENT OF GRANTS ADMINISTRATION, EDUCATION
INITIATIVES THAT EXCEPTIONAL CONSULTING EDUCATIONAL LEADERS, INC.
AND CONEE, INC., BOTH FLORIDA FOR -PROFIT CORPORATIONS, ARE THE
MOST QUALIFIED FIRMS TO PROVIDE INSTRUCTION, FAMILY ACTIVITIES,
MENTORING, COMMUNITY WORKSHOPS AND OTHER SUCH ACTIVITIES IN
CONJUNCTION WITH PARENTING SERVICES AT VARIOUS CHILD CARE
CENTERS WITHIN THE CITY FOR THE FAMILIES FIRST PARENTING PROGRAM;
AUTHORIZING THE CITY MANAGER TO NEGOTIATE AND TO EXECUTE, AFTER
CONSULTATION WITH THE CITY ATTORNEY, SERVICE AUTHORIZATION
LETTERS, PROFESSIONAL SERVICES AGREEMENTS, AND AMENDMENTS,
EXTENSIONS AND MODIFICATIONS IN COMPLIANCE WITH THE RELATED
FORM OF THE CHILDREN'S TRUST CONTRACT, RESPECTIVELY, WITH:
EXCEPTIONAL CONSULTING FOR EDUCATIONAL LEADERS, INC, IN AN
AMOUNT NOT TO EXCEED $72,000 AND CONEE, INC., IN AN AMOUNT NOT TO
EXCEED $18,000, EACH FORA PERIOD COMMENCING AUGUST 1, 2011
THROUGH JULY 31, 2012, WITH THE OPTIONS TO RENEW FOR UP TO TWO (2)
ADDITIONAL SIMILAR PERIODS AT THE SAME NOT TO EXCEED AMOUNTS,
UNDER THE SAME TERMS AND CONDITIONS; SUBJECT TO CONSULTATION
WITH THE CITY ATTORNEY AND BUDGETARY APPROVAL AT THE TIME OF
NEED.
WHEREAS, the City of Miami's ("City") Department of Grants Administration, Education Initiatives
(the "Department") has been awarded a reimbursement grant from The Children's Trust (the "Trust")
for the City's Families First Parenting Program (the "Program"), in an amount not to exceed $153,162
(the "Grant'), for the period from August 1, 2011 through July 31, 2012 for services for the Program to
be provided at various child care centers within the City, and pursuant to the negotiated form of
contract, (the "Trust Contract"), between the City and the Trust for said purposes; and
WHEREAS, pursuant to a Resolution, adopted today on July 28, 2011, the City Commission has
accepted the Grant award, authorized the negotiation and execution of the Trust Contract, and
authorized related appropriations, allocations and creation of the related Special Revenue Project for
"The Children's Trust Grant for Education Initiatives 2011-2012 Families First Parenting Program" for
funding the Program; and

WHEREAS, the Program is comprised of a cooperative effort between the Department and two
(2) Florida for -profit organizations, Exceptional Consulting for Educational Leaders, Inc., and Conee,
Inc., (collectively, the "Service Providers") for its successful implementation; and
WHEREAS, the goals of the Program are to improve literacy skills, parent -child activities,
strengthen oral language development, give parents a venue to share concerns, learn new behavior
strategies, and connect parents to a variety of support for family stability; and
WHEREAS, the 2011-2012 Children's Trust Notice of Funding Application required that the City
have established relationships with the Service Providers identified in the application; and
WHEREAS, Exceptional Consulting for Educational Leaders, Inc., was determined to be the most
advantageous for -profit organization, in the City's best interest, to provide programmatic instruction at
various child care centers within the City; and
WHEREAS, Conee, Inc., was determined to be the most advantageous for -profit organization, in
the City's best interest, to provide fitness enrichment component instruction at various child care
centers within the City; and
WHEREAS, the City Manager has approved the recommendations and findings of the
Department, and has made findings that pursuant to Section 18-85 (a) of the Code of the City of
Miami, Florida, as amended (the "Code"), that competitive negotiation methods and procedures are
not practicable or advantageous for obtaining said services, and has recommended to the City
Commission that the recommendations and findings be adopted and that competitive bidding
methods and procedures be waived for the program; and
WHEREAS, the City Manager and the Department are requesting for the City Commission to
authorize the City Manager, after consultation with the City Attorney, to negotiate and execute Service
Authorization Letters, Professional Service Agreements ("Agreements"), and any amendments,
extensions, and modifications in compliance with the related form of Trust Contract, respectively, with:
Exceptional Consulting for Educational Leaders, Inc., for an amount not to exceed $72,000; and,
Conee, Inc. for an amount not to exceed $18,000, each for the period from August 1, 2011 through
July 31, 2012 with the option to extend for up to two (2) additional similar periods for the same not to
exceed amounts, under the same terms and conditions; subject to consultation with the City Attorney
and budgetary approval at the time of need;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble of this Resolution are adopted by
reference and incorporated as if fully set forth in this Section.
Section 2. By a four -fifths (4/5ths) affirmative vote, after an advertised public hearing, the City
Manager's recommendations and findings that competitive negotiation methods and procedures are
not practicable or advantageous pursuant to Section 18-85 (a) of the Code, waiving the requirements
for said procedures, is ratified, approved and confirmed and the recommendations and findings of the
City's Department of Grants Administration Education Initiatives that Exceptional Consulting for
Educational Leaders, Inc. and Conee, Inc., both Florida for -profit organizations, are the most qualified

firms to provide instruction, family activities, mentoring, community workshops, and other such
activities in conjunction with educational services at various child care centers within the City for the
Families First Parenting Program, are approved.
Section 3. The City Manager is authorized to {1} negotiate and to execute, after consultation with
the City Attorney, Service Authorization Letters, Professional Service Agreements ("Agreements"),
and amendments, extensions, and modifications in compliance with the related form of Trust
Contract, respectively, with: Exceptional Consulting for Educational Leaders, Inc. for an amount not to
exceed $72,000; and Conee, Inc. for an amount not to exceed $18,000; each for a period
commencing August 1, 2011 through July 31, 2012, with the options to renew for up to two (2)
additional similar periods at the same not to exceed amounts, under the same terms and conditions;
subject to consultation with the City Attorney and budgetary approval at the time of need
Section 4. This Resolution shall become effective immediately upon its adoption and signature of
the Mayor. {2}
Footnotes:
{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter
and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar
days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission.
