NON -RECOURSE, This Agreement is non -recourse to the CRA. In the event of breach of this Agreement by the CRA, the PROVIDER may only seek specific performance of this Agreement and any recovery shall be limited to the amount set forth in Section 4(a) of this .,Agreement. 12. INDEMNIFICATION. The PROVIDER. shall indemnify, defend and hold harmless the CRA, the City of Miami and its officials, employees and agents (collectively referred to as "Indemnities") from and against any and all loss, costs, penalties, fines, damages, claims, expenses (including attorney's fees), or liabilities (collectively referred to as "Liabilities"). arising out of, resulting from, or in ebrinectibn With: (i) the performance or non-performance of the Services. contemplated" by this Agreement which is or is alleged to be directly or indirectly caused, in whole or in part; by any act, omission, default or negligence (whether active or passive) of the PROVIDER or its employees, agents or subcontiaetors (collectively referred to as "PROVIDER."); (ii) the failure of the PROVIDER to comply with any of the paragraphs .Here; (iii) the failure of the PROVIDER to conform to statutes, ordinances, or other regulations or requirements of any governmental authority, federal or state; in connection with the performance of this Agreement; or (iv) fire defense of. any such claim or in the investigation thereof.
