From the initial announcement of the Miami Central Station project and through its expansion with the CRA's award of Block 56 in September of 2013, AAF has repeatedly demonstrated its desire to both advance its project and the welfare of the Overtown community. Today, we are proud to expand upon our current partnership with the CRA through our joint support of the South Florida Regional Transportation Authority's ("SFRTA") effort to introduce regional commuter rail service to downtown Miami and Overtown via the Downtown Miami Link. AAF has committed to this effort, among other contributions, the following: (i) countless staff and third -party consultant time to help SFRTA advance construction of the Tri-Rail platform improvements; (ii) easements upon which the platform will be constructed and which will be utilized by SFRTA for perpetual access to the station; and (iii) pro-rata cost sharing of those Miami Central Station infrastructure improvements serving both Tri-Rail and AAF. As a complement to its commitment to support the Tri-Rail Improvements, AAF also desires to expand its existing commitment to the Overtown community. A summary of these commitments are attached hereto (the "Enhanced Community Benefits"). These Enhanced Community Benefits represent a substantial expansion of our existing partnership efforts with the CRA and the Overtown community. We look forward to working with you and the CRA staff to help bring Tri-Rail service to downtown Miami and maximize this opportunity for the benefit of Overtown. Respectfully, P. Hannon, City Clerk Clarence Woods, SEOPW CRA Executive Director Clerk of the Board Clerk of the Board ENHANCED COMMUNITY BENEFITS 1. Provision of community flex space. AAF will provide the CRA with a 600 sq. ft. space prominently located near the entrance to Overbuild 2 of the Miami Central Station for community use. The space will be delivered in shell condition ready for the CRA to build -out the interior. All uses introduced into the space must be approved by AAF, which approval shall not be unreasonably withheld. The space will be leased to the CRA for a 10-year base term and four (4) one-year options renewable at the option of AAF. The lease shall be in a form customarily used by AAF in letting other commercial space within the Miami Central Station. AAF would charge the CRA a monthly rent of $1,400, which amount would cover the operating expenses (proportional share of real estate taxes, insurance and CAM) and provide AAF with a nominal administrative fee. 2. Free Wi-Fi in the community flex space. AAF will ensure that the free Wi-Fi available elsewhere within the Miami Central Station is similarly available within the community flex space. 3. DBE/SBE participation for construction of the Tri-Rail Platform. AAF is committed to a DBE/SBE participation rate of 12% for the construction of the entire Miami Central Station project, inclusive of the Tri-Rail platform and related improvements. 4. Local hiring for construction of the Tri-Rail platform within the CRA boundaries. AAF will: a. Commit to local hiring goal of 40% for unskilled laborers working on the construction of the Tri-Rail platform, exclusive of the scope of work performed by the train infrastructure contractor. b. Draw unskilled laborers from the eligible zip codes identified in the attachment to this letter title, "Miami Central Station Local Workforce Prioritization" (the "Eligible Zip Codes"). 5. Continuous paid summer internship opportunities. AAF will establish a paid summer internship program in coordination with the CRA to provide high school students living within the redevelopment area and elsewhere in the Eligible Zip Codes. 6. Sig,nage and advertising opportunities for historic resources/sites within the redevelopment area. AAF will incorporate information about historic resources within the CRA, including but not limited to, the Lyric Theater and Black Police Museum, in the computer kiosks and manned kiosks deployed throughout the Miami Central Station. 7. Discounted lease space for tenants from within the SEOPW CRA. AAF will provide one (1) leased space at the market rate for a tenant from within the redevelopment area identified by AAF in consultation with the CRA. AAF further commits to conclude the tenant selection process by May of 2016 to ensure that the selected tenant will open in conjunction with the anticipated station opening date. Clerk of the Board 8. Business opportunities for small business. AAF will support not less than one (1) food truck to provide for small business opportunities in the food/beverage and entertainment. 9. Local hiring commitment for permanent employment opportunities. AAF will hire redevelopment area residents and individuals living within the Eligible Zip Codes for 20% of the future permanent employment opportunities. AAF's commitment is limited to station operations owned or controlled by AAF and shall not apply to "on -board" operations of AAF or portions of AAF's transit -oriented development project beyond the station improvements. Items 3 and 4 shall remain obligations of AAF throughout the construction period of the Tri-Rail platform. The balance of the items — 1, 2, 5, 6, 7, 8 and 9 — shall remain obligations of AAF through March 31, 2030. #4305902 vl
