Our office is headquartered in Dora!, and consists of three owners (myself - Founding Partner, Johann Beckford - COO, & Eddie Leon - CMO), an account management team, and core team of artists. My company specializes in the creation of dynamic, visually appealing interactive websites/mobile applications, 3D animations, and 3D renderings for advertising agencies, real estate developers, architects, and world -class destinations. With regards to working on projects of similar scope, I will cite the following examples: Downtown Miami In 2006, the Miami Downtown Development Authority selected SPINE as their preferred vendor to assist in creating marketing materials that would explore how new development would transform the downtown area. This contract was instrumental in helping get my business off the ground. We constructed a highly detailed base model of the existing buildings from a combination of photographs and blueprints obtained from the city, and then incorporated all the proposed developments into this model to study the impact on the downtown area with respect to vehicular traffic, pedestrian movement, how it would shape the aesthetic of the city, and for creating a series of marketing materials for the The City of Miami. The area of this model included the Performing Arts Center, Design District, Brickell area, Biscayne corridor, & Centennial Park, with the epicenter residing between 1-95 and the beach. This model can serve as a foundation to add new information at no additional cost to the The City of Miami should we work with you on this new opportunity. IFD In 2008, SPINE was contracted by Gensler to produce a large master planning animation for their client, Millennium Developers. The International Financial District was located in Malaysia, and involved showing each phase of this proposed city building out of the ground. Silver Spring In 2012, SPINE was contracted by Kettler to produce an interactive neighborhood map to showcase the points of interest that surrounded their proposed residential tower in Silver Spring, MD. This map was derived from aerial photographs and was fully developed in 3D. Destination Medical Community In 2012, SPINE produced an interactive map of Rochester, MN to help convince the Mayo Clinic to stay. The purpose was to highlight how the existing conditions would transform into a state of the art medical destination. With that said, we have evolved quite a bit since being contracted to work with the The City of Miami. Our studio has grown to over 30+ full time architecturally trained artists & project managers, we have a new interactive agency partner (which will enable us to re -purpose any assets we produce for mobile applications, touch screens, websites, etc.), and the quality of our work has been elevated to a whole new level, which you will see throughout the pages of this proposal. Smith Founding Partner, SPINE Miami Marlins Ballpark FIRM PROFILE SPINE was founded in 2000, after the three owners decided to leave Spillis Candela DMJM (now AECOM) to open up their own studio to meet the growing market demand for real estate marketing materials. We excel at creating 3D renderings & animations of architectural environments. Our full -service studio is staffed with seasoned professionals and award - winning creative talent, & our architecturally -trained account managers, designers, 3D & graphic artists, and programmers all have the expertise necessary for conceiving new and innovative ideas, as well as the savvy to create presentations that are both feasible and make business sense. When real estate development heated during the condo boom, we outsourced the majority of our work to our other offices (we had other studios in Washington D.C., Dallas, New York City, & Shenzhen). Our biggest clients at that time were the The City of Miami, Terra Group, Related Group, Fortune International, Key International, Royal Palm Communities, Majestic Properties, & Leviev Boymelgreen. While we were able to grow the company significantly & become an industry leader, it became harder to manage the staff, communications with our clientele was difficult, and the quality leveled off. To make matters worse, we had all of our eggs in one basket, in that the lion share of accounts we served were real-estate based. The Great Recession forced us to downsize, consolidate operations in Doral, re -build, and ultimately transform SPINE into a more stable & profitable company. As a result, we have a much more diverse studio today, with steady accounts that range from Norwegian Cruise Line & Sandals Resorts (hospitality), Stryker (medical products), SIMON Property Group (retail), and Crescent Communities (real estate) to name a few. We can build a dedicated production & management team to meet with you as needed (in our office or yours), are set up for GoTo Meetings where you can keep an eye on progress remotely if needed, we have the capability to add a higher level of detail & quality to our existing 3D model of the downtown area (which is like no other), and have a greater understanding of your mission & desire to see it succeed because it's in our backyard. The vision for the DMC initiative was to transform Rochester into one of America's model destination cities. The downtown will become an epicenter of the growth in development and services to create a vibrant, world -class destination community. This growth will be centered around core districts, which will be the focal point of private investment in the community. SPINE was contracted to model & render each of the districts shown below. MANAGEMENT PRODUCTION PERSONNEL The Founding Partner, Kevin Smith deals with contracts & negotiation. Eddie Leon deals with marketing. SPINE's COO, Johann Beckford, oversees not only the entire production team, but also is responsible for quality control. When a rendering project comes in approved, an Account Manager is assigned who has the most experience with the project type. When it comes to setting up the camera views & going over composition, lighting, and the choice of entourage, this is a team effort between the Lead 3D Artist & Lead Photoshop Artist. There are teams of artists that are assigned to each Account Manager. With animation projects, we can have a professional storyboard artist to draw up mood boards for client approval prior to setting up wireframe animatics & camera paths. ARCHITECTS ON BOARD SPINE prides itself on the fact that it's owners all have Masters degrees in Architecture. Additionally, the Account Managers all have degrees in Architecture as well and previous experience in working with various firms. Plain & simple; we speak the language of architecture and can easily interface with your architects, interior designers, and landscape architects during the production process. If needed, our architectural backgrounds allow for us to assist in developing design concepts if CAD documentation is not yet available. CLIENT INTERACTION Our production & account management team will be by your side. Consider us to be part of the family. Also responsible for creative direction & will serve as the Principal -in -Charge. Headed up the Advanced Technologies division at AECOM prior to joining SPINE. Eddie Leon: CMO/Partner (M.Arch, '98 FIU) - In charge of the creative process & will oversee quality control. Serves on 3D World magazine's advisory board, as well as the FIU Council of 100. Won the Torch Award in 2009. Also served on the Board of Advisors for Miami Film & Entertainment office. Diego Saavedra: Senior Account Manager (B.Arch, '04 FIU) - Prime focus will be on handling the day to day management of the The City of Miami projects. Will be responsible for communicate with the The City of Miami team when it comes to edits, comments, and keeping you informed on scheduling. He will also coordinate very closely with the artists throughout the process. Raul Castillo: Lead 3D Artist - In charge of overseeing the 3D modeling and animation tasks for each project. Will provide assistance with overall creative direction and the creation of the storyboards. Gloria Gonzalez: Lead Photoshop Artist - Responsible for supervising the graphic team and making sure all edits are taken care of during the post -imaging phase of production. Point of Contact (POC) A designated representative of SOPW will be assigned to communicate with Spine3D, LLC and will make final decisions regarding all matters pertaining to this project. B. Schedule Following Spine3D, LLC's review & approval of all required files & information, an architecturally -trained Account Manager (AM) from Spine3D, LLC will provide SOPW's representative (POC) with a detailed schedule that wiii clearly outline the project's official production start date, all production milestones, client approvals and the projected final delivery date of the visualization products. C. Benchmarks The AM will be in constant contact with POC and will provide samples of work progression in stages called "Levels". There are different levels and each must be approved in order to advance to the subsequent level. Level approvals are intended to eliminate or reduce change orders and keep the project on schedule. Delays on sign -off of level approvals may affect the production schedule and any subsequent deliverables. Schedules will be evaluated upon completion of each level and any necessary adjustments will be communicated to the POC in writing. D. Change Orders If SOPW requests major changes to the project scope, a change order fee may be assessed based on the percentage of existing visualization work that needs to be edited. Spine3D, LLC will notify SOPW regarding any applicable fees and schedule changes associated with making such changes. Any change order fees will be handled as a flat fee rather than an hourly rate. Changes will not be made until their associated fees and/or adjusted scheduling are approved by the SOPW's PDC. E. Assets All client -provided information and files shall be provided to SpIne3D, LLC in a digital format, and consist of the required information specified in the project checklist provided by Spine3D, LLC. Additionally, we shall be provided with all necessary files & information that SOPW considers a representation of the design to be shown in the renderings and animation. F, Deliverables We will provide SOPW (6) six renderings and (105-seconds) ! 1.75 minutes of animation: HD: 1280 x 720 (720p). The final materials will be completed within 8-10 weeks from project start date. 2. In addition, there is a blow-up map of each node which provides more info, including assumptions for what available resources they (and their developer partners) may already have, which can help in the modeling process. It is assumed that 15 seconds will be allocated for the introductory flyover, with 15 seconds dedicated to each of the six nodes (90 seconds). 3. Terms & Conditions A. In exchange for the goods and services to be provided by Spine3D, LLC as described in this agreement, SOPW agrees to pay the amount of ($83,500.00) . B. The first 50% retainer payment ($41,750.00) shall be paid to Spine3D, LLC at project commencement. The second 30% retainer payment ($25,050.00) shall be made at the project midpoint. The third & final 20% payment ($18,700.00) shall be paid upon completion of the project. NOTE: Spine3D, LLC reserves the right to withhold or watermark the final deliverables if any retainer payments are outstanding at the time of delivery. C. This agreement shall be governed by, and construed in accordance with, the law of the State of Florida, without regard to conflicts of law principles and the venue for any disputes shall be in the courts of Miami -Dade County, Florida. D. If any legal action or other proceeding is brought for the enforcement of this agreement because of any alleged dispute, breach, default or misrepresentation in connection with any provisions of this agreement, the successful or prevailing party shall be entitled to recover reasonable attorney's fees, court costs and all expenses, including but not limited to appellate proceedings, even if not taxable as court costs, incurred in that action or proceeding, in addition to any other relief to which such party or parties may be entitled. E. Any provisions of this agreement which are unenforceable or invalid in any jurisdiction in which this agreement is sought to be enforced shall be of no effect, and in such case all remaining terms and provisions of this agreement shall subsist and be fully effective according to the tenor of this agreement as though no such invalid portion had ever been included herein_ F. This agreement can only be extended, waived or modified by a writing signed by both parties. There are no representations, promises, warranties, covenants or undertakings other than those contained in this agreement. This agreement contains the entire agreement between the parties concerning the subject matter hereof, and supersedes any pre-existing agreement and any oral or written communications between the parties concerning the subject matter hereof. G. Spine3D, LLC's liability shall in no event exceed the Total Price set forth herein. Spine3D, LLC, SHALL NOT BE SUBJECT TO AND CLIENT RELEASES Spine3D, LLC, FROM: (i) ANY OTHER OBLIGATIONS OR LIABILITIES ARISING OUT OF BREACH OF CONTRACT (INCLUDING NEGLIGENCE AND STRICT LIABILITY) OR ARISING UNDER OTHER THEORIES OF LAW WITH RESPECT TO PRODUCTS SOLD OR SERVICES RENDERED BY Spine3D, LLC, OR ANY UNDERTAKINGS, ACTS, OR OMISSIONS RELATING THERETO, AND (ii) ALL CONSEQUENTIAL, INCIDENTAL, AND CONTINGENT DAMAGES WHATSOEVER. Without limiting the generality of the foregoing, Spine3D, LLC, specifically disclaims any liability for penalties (including administrative penalties), special or punitive damages, damages for lost profits or revenues, Joss of use of products or any associated equipment, cost of capital, facilities, or services, downtime, shut -down, or slowdown costs, spoilage of material, or for any other types of economic loss.. H. All contracts will be subject to the following cancellation charges: 10% of the total price set forth above after order entry; 20% of the total price after or during production If the project is put on hold for a period that extends beyond the schedule defined in this agreement, Spine3D, LLC reserves the right to bill SOPW for all work that has been completed to date.
