A RESOLUTION THE BOARD OF COMMISSIONERS OF THE SOUTHEAST
OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY, WITH
ATTACHMENTS, AUTHORIZING THE EXECUTIVE DIRECTOR OF THE
SOUTHEAST OVERTOWN/PARK VVEST COMMUNITY REDEVELOPMENT
AGENCY TO EXECUTE AN AMENDMENT TO THE DECLARATION OF
RESTRICTIONS REGARDING BLOCK 45 WITH MIAMI-DADE COUNTY, FLORIDA
TO EXTEND THE TIME FRAME FOR COMMENCEMENT OF VERTICAL
CONSTRUCTION OF THE RETAIL COMPONENT AND THE RESIDENTIAL
COMPONENT BY SIX (6) MONTHS FROM MAY 15, 2016 TO NOVEMBER 15, 2016
AND GRANTING A SIX (6) MONTH EXTENSION OF THE DATE OF REVERTER TO
THE COUNTY IF VERTICAL CONSTRUCTION DOES NOT COMMENCE BY THE
VERTICAL CONSTRUCTION DEADLINE FROM MAY 15, 2016 TO NOVEMBER 15,
2016.
WHEREAS, the Southeast Overtown/Park West Community Redevelopment Agency ("CRA") is
a community redevelopment agency created pursuant to Chapter 163, Florida Statutes, and is
responsible for carrying out community redevelopment activities and projects within its Redevelopment
Area in accordance with the 2009 Southeast Overtown/Park West Redevelopment Plan ("Plan"); and
WHEREAS, the Southeast Overtown/Park West Community Redevelopment Agency (the
"CRA") previously entered into a Declaration of Restrictions regarding Block 45 (the "Declaration"); and
WHEREAS, the CRA has entered into a Development Agreement with Overtown Gateway
Partners, LLC ("Overtown Gateway") with respect to the development of Block 45; and
WHEREAS, Overtown Gateway has requested that the CRA and Miami -Dade County, Florida
(the "County") amend the Declaration to extend the time frame for commencement of Vertical
Construction of the Retail Component and the Residential Component by six (6) months from May 15,
2016 to November 15, 2016 and granting a six (6) month exter -pion of the date of reverter to the
County if Vertical Construction does not commence by the Vertical Construction deadline from May 15,
2016 to November 15, 2016 (the "Requested Changes"); and
WHEREAS, the County has approved the Requested Changes in accordance with the
Resolution attached hereto as Exhibit "A" (the "County Approval"); and
WHEREAS, it is in the best interest of the CRA that the CRA authorize an amendment to the
Declaration consistent with the County Approval.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF THE
SOUTHEAST OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY:
Section 1. The recitals and findings contained in the Preamble to this Resolution are

adopted by reference and incorporated herein as if fully set forth in this Section.
Section 2. The Board of Commissioners hereby authorizes the Executive Director to enter
into an amendment to the Declaration incorporating the terms of the County Approval with the County.
Section 3. This Resolution shall become effective immediately upon its adoption.
