A RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE SOUTHEAST
OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY
AUTHORIZING THE EXPENDITURE OF FUNDS IN THE TOTAL AMOUNT NOT TO
EXCEED $1,000,000, FOR THE RENOVATION AND REHABILITATION OF THE
OVERTOWN SHOPPING CENTER, 1490 N.W. 3RD AVENUE, MIAMI, FLORIDA
("PROPERTY"); RATIFYING THE ISSUANCE OF A REQUEST FOR
QUALIFICATIONS FOR DESIGN -BUILD SERVICES FOR THE RENOVATION AND
REHABILITATION OF THE PROPERTY; ACCEPTING THE RECOMMENDATION TO
SELECT TGSV ENTERPRISES, INC. ("TGSV") AS THE TOP RANKED FIRM;
FURTHER AUTHORIZING THE EXECUTIVE DIRECTOR TO ENTER INTO AN
AGREEMENT WITH TGSV TO CONDUCTA PHASE I EVALUATION AND
ASSESSMENT OF THE PROPERTY, ATA COST OF $25,000; FURTHER
AUTHORIZING THE EXECUTIVE DIRECTOR TO ENTER INTO NEGOTIATIONS
WITH TGSV FOR THE REMAINING PHASES OF THE RENOVATION AND
REHABILITATION OF THE PROPERTY, BASED UPON THE RESULTS OF THE
PHASE I EVALUATION AND ASSESSMENT; FURTHER AUTHORIZING THE
EXECUTIVE DIRECTOR TO EXECUTE ALL DOCUMENTS NECESSARY FOR SAID
PURPOSE; ALLOCATING FUNDS FROM SEOPW, "CONSTRUCTION IN
PROGRESS," ACCOUNT CODE NO. 10050.920101.670000.0000.00000.
WHEREAS, the Southeast Overtown/Park West Community Redevelopment Agency ("CRA") is
responsible for carrying out community redevelopment activities and projects within its Redevelopment
Area in accordance with the 2009 Southeast Overtown/Park West Redevelopment Plan ("Plan"); and
WHEREAS, Principle 1, at page 13, of the Plan provides that "neighborhood -serving
commercial uses, such as pharmacies, grocery stores, bank branches, dry cleaners, restaurants, day
care facilities, and entertainment establishments ... should be incorporated into the neighborhood
fabric to serve the population;" and
WHEREAS, Principle 10, at page 16, of the Plan, also provides that "sound urban design,
attractive buildings, and streetscapes are essential to having streets that are both functional and
visually attractive;" and
WHEREAS, on January 23, 2013, the CRA issued a Request for Qualifications for design -build
services for the renovation and rehabilitation of the Overtown Shopping Center, 1490 N.W. 3rd
Avenue, Miami, Florida ("Property"); and
WHEREAS, the CRA received four (4) responses, and TGSV Enterprises, Inc. was deemed the
top ranked firm; and
WHEREAS, an evaluation and assessment of the condition of the Property is necessary in
order to properly negotiate the terms and conditions of a design -build agreement for the renovation
and rehabilitation of said Property;

WHEREAS, as a part of its proposal, TGSV has offered to conduct a Phase I evaluation and
assessment of the Property at a cost of $25,000, and said evaluation can be used by the CRA to
determine the nature and extent of the renovations to the Property; and
WHEREAS, CRA staff has budgeted $1,000,000 for the renovation and rehabilitation of the
Property, and does not intend to exceed this amount; and
WHEREAS, the Board of Commissioners finds that the adoption of this Resolution would
further the aforementioned redevelopment goals and principles; and
WHEREAS, the Board of Commissioners wishes to authorize the expenditure of funds in a total
amount not to exceed $1,000,000, for the renovation and rehabilitation of the Property, ratify the
issuance of the request for qualifications for design -build services for renovation and rehabilitation of
the Property, and accept the selection of TGSV as the top ranked firm; and
WHEREAS, the Board of Commissioners also wishes to authorize the Executive Director to
enter into an agreement with TGSV to conduct a Phase I evaluation and assessment of the Property,
at a cost of $25,000, and wishes to further authorize the Executive Director to negotiate with TGSV for
the remaining phases of the renovation and rehabilitation of the Property, based upon the results of
the Phase I evaluation and assessment;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF THE
SOUTHEAST OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated herein as if fully set forth in this Section.
Section 2. The expenditure of funds in the total amount not to exceed $1,000,000, for the
renovation and rehabilitation of the Overtown Shopping Center, 1490 N.W. 3rd Avenue, Miami, Florida
("Property"), is authorized.
Section 3. The issuance of a request for qualifications for design -build services for the
renovation and rehabilitation of the Property is authorized.
Section 4. The selection of TGSV Enterprises, Inc. as the top ranked firm responsive to the
Request for Qualifications is hereby accepted.
Section 5. The Executive Director is authorized to enter into an agreement with TGSV to
conduct a Phase I evaluation and assessment of the Property, at a cost of $25,000.
Section 6. The Executive Director is further authorized to enter into negotiations with TGSV
for the remaining phases of the renovation and rehabilitation of the Property, based upon the results of
the Phase I evaluation and assessment.
Section 7. The Executive Director is authorized to execute all documents necessary for
said purpose.
Section 8. Funds are to be allocated from SEOPW Tax Increment Fund, "Construction in

Section 9. This Resolution shall become effective immediately upon its adoption.
