A RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE SOUTHEAST OVERTOWN/PARK
WEST COMMUNITY REDEVELOPMENT AGENCY AUTHORIZING THE EXECUTIVE DIRECTOR TO
ACCEPT A QUIT CLAIM DEED FROM THE CITY OF MIAMI ("CITY"), FOR THE PROPERTY LOCATED
AT 1490 NW 3RD AVENUE, MIAMI, FLORIDA ("OVERTOWN SHOPPING CENTER"); AUTHORIZING
PAYMENT OF CUSTOMARY CLOSING COSTS; FURTHER AUTHORIZING THE EXPENDITURE
FROM THE BUDGET RESERVE OF AN AMOUNT, NOT TO EXCEED $100,000, FOR ROUTINE
MAINTENANCE AND INSURANCE OF THE OVERTOWN SHOPPING CENTER; AND FURTHER
AUTHORIZING THE EXECUTION OF ALL DOCUMENTS NECESSARY FOR SAID PURPOSE, IN A
FORM ACCEPTABLE TO GENERAL COUNSEL; ALLOCATING FUNDS FROM THE SEOPW TAX
INCREMENT FUND, ACCOUNT CODE N0. 10050.920101.883000.0000.00000.
WHEREAS, the Southeast Overtown/Park West Community Redevelopment Agency ("CRA") is responsible for
carrying out community redevelopment activities and projects within its Redevelopment Area in accordance with its approved
Redevelopment Plan; and
WHEREAS, Section 4, at pages 62 through 65, of the 2009 Southeast Overtown/Park West Redevelopment Plan
identifies the West Overtown Neighborhood Center, generally bounded by N.W. 22ND Street on the north, 1-395 Overpass on
the south, N.W. 1st Place on the east, and N.W. 4th Avenue on the west, as a redevelopment focus/project area ("Focus
Area"); and
WHEREAS, the Focus Area is intended to serve as a "starting point" for projects within the Redevelopment Area,
with redevelopment expenditures and efforts "... [focused] in small areas to totally transform them ... "; and
WHEREAS, the City of Miami ("City") owns the property located at 1490 NW 3rd Avenue, Miami, Florida ("Overtown
Shopping Center"), which is within the Focus Area; and
WHEREAS, to aid the CRA in its redevelopment efforts, the City wishes to transfer title of the Overtown Shopping
Center to the CRA; and
WHEREAS, the Board of Commissioners wishes to authorize the Executive Director to accept a quit claim deed from
the City of the Overtown Shopping Center, pay the customary closing costs, and further authorizes the expenditure of an
amount, not to exceed $100,000, for routine maintenance and insurance of the Overtown Shopping Center;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF THE SOUTHEAST
OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and
incorporated herein as if fully set forth in this Section.
Section 2. The Executive Director is authorized to accept a quit claim deed from the City for the property located at

1490 Northwest Third Avenue, Miami, Florida, the Overtown Shopping Center, and pay the customary closing costs.
Section 3. The Executive Director is authorized to use funds from the Budget Reserve, in an amount not to exceed
$100,000, for routine maintenance and insurance of the Overtown Shopping Center.
Section 4. The Executive Director is authorized to execute all documents necessary for said purpose, in a form
acceptable to General Counsel.
Section 5. Funds are to be allocated from the SEOPW Tax Increment Fund, Account Code No.
10050.920101.883000.0000.00000.
Section 6. This resolution shall become effective immediately upon its adoption.
