A RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE SOUTHEAST
OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY ("CRA"),
WITH ATTACHMENT(S), AUTHORIZING THE EXECUTION OF AN AMENDMENT
("FIRST AMENDMENT"), IN SUBSTANTIALLY THE ATTACHED FORM, TO THAT
CERTAIN GRANT AGREEMENT DATED MAY 13, 2010 BETWEEN THE CRA AND
CAMILLUS HOUSE, INC.
WHEREAS, the Southeast Overtown/Park West Community Redevelopment Agency ("CRA") is
responsible for carrying out community redevelopment activities and projects within its Redevelopment
Area in accordance with its approved Redevelopment Plan; and
WHEREAS, the Board of Commissioners, by Resolution No. CRA-R-10-0040, passed and
adopted on May 13, 2010, authorized the issuance of a grant, in an amount not to exceed Ten Million
and No/100 Dollars ($10,000,000.00) to Camillus House, Inc. (the "Grantee") to aid Grantee in its
proposed relocation to a new facility located at NW 7th Avenue, Miami, Florida, (the "New Facility")
and the permanent closing of the existing homeless shelter located at 726 NE 8th Street and 700 NE
1st Street, Miami, Florida (collectively, the "Old Facility"); and
WHEREAS, Grantee has requested certain revisions to the Grant Agreement to facilitate
construction of the New Facility as a result of problems Grantee has had in obtaining financing for the
construction of the New Facility; and
WHEREAS, to accommodate the request of Grantee and to prevent the cessation of
construction of the New Facility, as a result of funding shortfalls, the CRA and Grantee desire to
modify and amend certain terms and provisions of the Grant Agreement in accordance with the First
Amendment to Grant Agreement in the form attached hereto as Exhibit "A" (the "First Amendment");
and
WHEREAS, the Board of Commissioners wishes to authorize execution of the First
Amendment substantially in the form attached.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF THE
SOUTHEAST OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY OF THE CITY
OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted
by reference and incorporated herein as if fully set forth in this Section.
Section 2. The execution of the First Amendment, in substantially the attached form, is
authorized.
Section 3. This resolution shall become effective immediately upon its adoption.
