HomeMy WebLinkAboutCRA-R-10-0040 Backup 5-13-2010EXECUTIVE SUMMARY OF GRANT AGREEMENT BY AND BETWEEN SOUTHEAST OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY (THE "CRA") AND CAMILLUS HOUSE, INC. ("CAMILLUS HOUSE") The following is a summary of the key provisions of the Grant Agreement: 1. The CRA agrees to make a grant to Camillus House in the amount of Ten Million and No/100 Dollars ($10,000,000.00) to be paid in five consecutive installments of Two Million and No/100 Dollars ($2,000,000.00) each commencing on March 15, 2011 (the "Grant"). 2. The Grant is to be utilized by Camillus House together with other funding sources to complete Buildings B, D, and F of the New Facility located in the NW 7th Avenue Corridor. The New Facility is anticipated to be completed within the next 16 months. Upon completion of the New Facility, the existing homeless shelter located at 726 NE 1st Avenue is to be closed and the improvements demolished subject to the consent being obtained by the landlord with respect to a portion of the property. 3. Up to Two Million and No/100 Dollars ($2,000,000.00) of the Grant will be made available to Camillus House to complete the New Facility provided Camillus House is able to establish that it has sufficient funds available to complete the New Facility. In such event, the Rinds will be disbursed in accordance with a funding agreement acceptable to the Executive Director and the CRA funds will be disbursed in accordance with procedures typically utilized by construction lenders in Miami -Dade County, Florida. No portion of the Grant can be utilized unless the Executive Director is satisfied that Camillus House has the funds to complete the New Facility. 4. The balance of the Grant, in the amount of Eight Million and No/100 Dollars ($8,000,000.00), will not be available to Camillus House until the New Facility is completed and the Existing Facility is closed and demolished (subject to landlord's approval being obtained). 5. Camillus House and its Affiliates will execute a Restrictive Covenant pursuant to which they covenant and agree that once the New Facility is completed, that Camillus House and its Affiliates will not operate a homeless shelter or food distribution service within the Redevelopment Area other than the New Facility and Phase 2 of the New Facility. 6. Camillus House and its Affiliates agree that within one hundred twenty (120) days of completion of the New Facility the Existing Facility will be permanently closed and the improvements demolished, subject to obtaining landlord's consent. 7. The CRA is granted an option to purchase the Existing Facility which must be exercised on or before February 1, 2011. The purchase price for acquiring the Existing Facility will be the appraised value of the Existing Facility. If the CRA exercises the option, the closing will occur ninety (90) days after completion of the New Facility. 8. The CRA is given a right of first refusal to acquire the Existing Facility. 9. Camillus House anticipates approximately 350 people will be employed in connection with the construction of the New Facility of which approximately 150 will be newly employed persons hired by the Contractor and its subcontractors. Camillus House has agreed to give hiring priority on the following basis: a. First priority to job candidates meeting the minimum criteria who are low income residents living within a five mile radius of the New Facility. b. Second priority will be given to job candidates meeting the minimum criteria who reside within a five mile radius of the New Facility. c. Third priority will be given to job candidates meeting the minimum criteria who reside in the City of Miami d. Fourth priority will be given to job candidates meeting the minimum criteria who reside in Miami -Dade County, Florida. To the extent that the Contractor and its subcontractors do not implement the Priority Program, they will be required to pay liquidated damages in the amount of One Thousand and No/100 Dollars ($1,000.00) per occurrence with a cap of One Hundred Twenty Five Thousand and No/100 ($125,000.00). 10. Camillus House has committed to cause the Contractor and its subcontractors to implement an Apprenticeship Program. If the Contractor and its subcontractors fail to implement a meaningful Apprenticeship Program as reasonably determined by the Executive Director of the CRA, the Contractor will be required to pay Camillus House Twenty Five Thousand and No/100 ($25,000.00) and the Grant will be reduced by that amount. 11. Camillus House has committed to hold a minimum of two (2) job fairs in the Culmer/Overtown Community Center or another location in the Redevelopment Area for construction jobs. 12. Camillus House has committed to hold a minimum of two (2) job fairs at the Culmer/Overtown Community Center for permanent jobs at the New Facility. # 9463632_v2 2
