A RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE OMNI
REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT AGENCY
AUTHORIZING A GRANT, IN AN AMOUNT NOT TO EXCEED $1,800,000, TO THE
MIAMI WOMAN'S CLUB FOR REPAIR AND 40-YEAR RECERTIFICATION OF THE
BUILDING AT 1737 NORTH BAYSHORE DRIVE, MIAMI, FLORIDA; DIRECTING
THE EXECUTIVE DIRECTOR TO INCLUDE IN THE FUNDING BALANCE AS A LINE
ITEM IN THE FISCAL YEAR 2009 OMNI CRA BUDGET FOR DISCUSSION AND
APPROVAL BY THE BOARD WITH THE FOLLOWING CONDITIONS, PROVIDED
THAT THE WOMAN'S CLUB AGREES TO A DEED RESTRICTION THAT IT
CANNOT SELL THE BUILDING AND LAND, TWO (2) PROVIDED THAT THE
WOMAN'S CLUB GIVES THE CRA THE NEEDED RIGHTS -OF -WAY ALONG THE
BAY WALK, THREE (3) PROVIDED THAT WOMAN'S CLUB MAKE ITS PARKING
PUBLICLY ACCESSIBLE FOR FREE FOR AT LEAST SIX CRA EVENTS PER YEAR,
INCLUDING MEETINGS , THE CLUB MAKES ITS PARKING AVAILABLE FOR
MEETINGS AND ITS BUILDING WHEN THEY'RE NEXT DOOR TO THE DOUBLE
TREE , FOUR (4) PROVIDED THAT IF THE WOMAN'S CLUB PREVAILS IN ITS
LAWSUIT WITH THE FORMER TENANT, THE ART SCHOOL, THAT THE CLUB
CLAIMS WAS RESPONSIBLE FOR MAINTAINING THE BUILDING , IT SHOULD
REPAY THE CRA GRANT. THESE ARE THE CONDITIONS SET FORTH.
AUTHORIZING THE EXECUTIVE DIRECTOR, AT HIS DISCRETION, TO DISBURSE
THE GRANT ON A REIMBURSEMENT BASIS, OR DIRECTLY TO SUPPLIERS AND
VENDORS, UPON RECEIPT OF INVOICES AND SATISFACTORY
DOCUMENTATION; AUTHORIZING THE EXECUTIVE DIRECTOR TO EXECUTE
ALL DOCUMENTS NECESSARY FOR SAID PURPOSE, IN A FORM ACCEPTABLE
TO GENERAL COUNSEL; FUNDS TO BE ALLOCATED FROM OMNI TAX
INCREMENT FUND, "OTHER GRANTS AND AIDS," ACCOUNT CODE NO.
10040.920101.883000.0000.00000.
WHEREAS, the building occupied by the Miami's Women's Club at 1737 North BAYSHORE
Drive, Miami, Florida, is located within the Omni Redevelopment District Community Redevelopment
Agency's ("CRA") redevelopment area, and has received designation as a historic site by the Miami
City Commission and the State of Florida, and is listed in the National Register of Historic Places; and
WHEREAS, the Miami Women's Club is identified as a structure of "historic and/or
architectural significance" within the redevelopment area in the Omni Redevelopment Plan, at page
21, Section IV. E., "Historic Preservation Plan;" and
WHEREAS, on January 28, 2008, the Miami Woman's Club made a presentation to the Board
of Commissioners and requested $3,750,000 to underwrite the costs associated with repair and
40-year recertification of its building at 1737 North BAYSHORE Drive, Miami, Florida; and

WHEREAS, the Board of Commissioners directed the Executive Director to present a
resolution for a grant, in the amount of $1,800,000, to assist with the costs associated with repair and
40-year recertification of its building at 1737 North BAYSHORE Drive, Miami, Florida; and
WHEREAS, the Board of Commissioners wishes to authorize the grant;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF COMMISSIONERS OF THE
OMNI REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are
adopted by reference and incorporated herein as if fully set forth in this Section.
Section 2. A grant, in an amount not to exceed $1,800,000, to the Miami Women's Club for repair and
40-year recertification of the building at 1737 North BAYSHORE Drive, Miami, Florida, Directing the
Executive Director to include in the funding balance as a line item in the fiscal year 2009 Omni CRA
budget for discussion and approval by the board with the following conditions, provided that the
Woman's Club agrees to a deed restriction that it cannot sell the building and land, two (2) provided
that the Woman's Club gives the CRA the needed rights -of -way along the bay walk, three (3)
provided that Woman's Club make its parking publicly accessible for free for at least six CRA events
per year, including meetings , the club makes its parking available for meetings and its building when
they're next door to the double tree , four (4) provided that if the Woman's Club prevails in its lawsuit
with the former tenant, the art school, that the club claims was responsible for maintaining the
building , it should repay the CRA grant. These are the conditions set forth, is authorized.
Section 3. The Executive Director is authorized, at his discretion, to disburse the grant on
a reimbursement basis, or directly to suppliers and vendors, upon receipt of approved invoices and
satisfactory documentation.
Section 4. The Executive Director is authorized to execute all documents necessary for
said purpose, in a form acceptable to General Counsel.
Section 5. Funds are to be allocated from Omni Tax Increment Fund, "Other Grants and
Aids," Account Code No. 10040.920101.883000.0000.00000.
Section 6. This Resolution shall become effective immediately upon its adoption.
