A JOINT RESOLUTION OF THE BOARDS OF COMMISSIONERS OF THE
SOUTHEAST OVERTOWN/PARK WEST AND OMNI REDEVELOPMENT
DISTRICT COMMUNITY REDEVELOPMENT AGENCIES ("CRAS") CREATING A
CAPITAL IMPROVEMENT AND BEAUTIFICATION ADVISORY COMMITTEE, FOR
A TERM NOT TO EXCEED ONE-YEAR, TO IDENTIFY AND PRIORITIZE
SIGNIFICANT AND ACHIEVABLE CAPITAL PROJECTS, TO BE FUNDED WITH
THE PROCEEDS OF A PROSPECTIVE BOND ISSUE, THAT WILL IMPROVE THE
QUALITY OF LIFE, INFRASTRUCTURE, AND AESTHETICS IN THE CRA
REDEVELOPMENT AREAS; PROVIDING THAT THE COMMITTEE WILL SERVE
IN AN ADVISORY CAPACITY TO THE BOARDS ON PROJECT FUNDING,
INCLUDING THE SELECTION OF BOND COUNSEL AND UNDERWRITERS;
DIRECTING THE COMMITTEE TO CONSIDER THE OBJECTIVES OF THE CRAS'
RESPECTIVE REDEVELOPMENT PLANS, THE DOWNTOWN DEVELOPMENT
AUTHORITY'S MASTER PLAN, AND THE CITY OF MIAMI'S PARKING
SURCHARGE PROGRAM IN ITS DELIBERATIONS; FURTHER APPOINTING THE
CRAS' VICE CHAIR TO SERVE AS CHAIRPERSON OF THE COMMITTEE.
WHEREAS, the Boards of Commissioners for the Southeast Overtown/Park West and Omni
Redevelopment District Community Redevelopment Agencies ("CRAs") desire to create a capital
improvement and beautification committee, for a term not to exceed one-year, to serve in an advisory
capacity on the selection and funding of future capital projects;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARDS OF COMMISSIONERS OF THE
SOUTHEAST OVERTOWN/PARK WEST AND OMNI REDEVELOPMENT DISTRICT COMMUNITY
REDEVELOPMENT AGENCIES:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted
by reference and incorporated herein as if fully set forth in this Section.
Section 2. The "Community Redevelopment Agency Capital Improvement and Beautification
Committee" ("Committee") is established.
Section 3. The purpose, powers, and duties of the Committee are:
(1) To serve in an advisory capacity to the Boards of Commissioners to identify and prioritize
significant and achievable capital projects that will improve the quality of life, infrastructure,
and aesthetics of the CRA redevelopment areas;
(2) To serve in an advisory capacity to the Boards of Commissioners on project funding,
including the selection of bond counsel and underwriters;

(3) To conduct public meetings with the residents and businesses of both CRAs to gather
community input regarding proposed capital projects;
(4) To coordinate identification of capital projects with the administration of the City of Miami;
(5) To provide quarterly reports to the Boards of Commissioners on the status and
effectiveness of the Committee.
(6) To prepare a final report for the CRAs' Boards of Commissioners recommending capital
projects within the redevelopment areas to be funded with a prospective bond issue.
Section 4. The Committee shall serve without compensation.
Section 5. The CRAs' Vice -Chair shall serve as Chairperson of the Committee and shall
appoint such number of members as she deems necessary.
Section 6. The members of the Committee shall have an outstanding reputation for community
pride, interest, integrity, responsibility, and business and professional ability. The members of the
Committee shall comply with all applicable ethics and conflict of interest provisions contained in the
Code of the City of Miami, the Miami -Dade County Code, and Florida State law.
Section 7. Each member shall serve a maximum term of one year, unless removed for cause.
Section 8. Any vacancy occurring during the existence of the Committee shall be filled for the
remainder of the term in the same manner as the original appointment.
Section 9. All meetings of the Committee shall be open to the public and public notice shall be
provided pursuant to applicable law. The Committee members present shall constitute a quorum for
the purpose of convening any meeting. An affirmative vote of not Tess than 50% of the members
present and voting at any meeting is required for any action to be taken by the members.
Section 10. The provisions of Section 2-886 of the Code of the City of Miami shall apply to the
members of the Committee except that the provisions may be waived by the Chairperson of the
Committee.
Section 11. It shall be the duty of the CRAs' General Counsel to provide legal counsel to the
Committee.
Section 12. It shall be the duty of the CRAs' Executive Director to provide full cooperation and
sufficient administrative support to the Committee.
Section 13. It shall be the duty of the Clerk of the Board to comply with applicable laws related
to public notice and recordation of meetings. The Clerk of the Board shall also provide personnel to
keep minutes of meetings, maintain Committee correspondence, file reports and perform all other
necessary related support functions.
Section 14. The Committee shall be dissolved one year after its creation and shall deliver its
final report to the CRAs' Boards of Commissioners on or before April 23, 2007.

Section 15. This Resolution shall become effective immediately upon its adoption.
