THIS LEASE AGREEMENT is made and entered into by and between THE CITADEL ARENA
CORPORATION, a Florida Corporation ("LANDLORD") and SOUTHEAST OVERTOWN/
PARK WEST COMMUNITY REDEVELOPMENT AGENCY . AND THE OMNI
REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT AGENCY ("TENANT")

WITNFSSETH:
Article I
Basic Lease Provisions
Section 1.01- Lease Premises
Landlord hereby demises and leases to the Tenant, and Tenant rents from the Landlord, the premises
described as follows (hereinafter the "PREMISES" or "LEASED PREMISES"):
Approximately 10,000 gross rentable square feet of space designated as the first floor of a building
containing approximately 50,000 gross rentable square feet of space which is known as The Citadel
Arena Building ("Building"), which Premises have an address of 49 NW 5th Street, Miami, Miami -
Dade County, Florida. The legal description of the Building is set forth in Exhibit A attached hereto.
Section 1.02- Use of Additional Areas
The use and occupation by the Tenant of the leased premises shall include the use in common with
others entitled thereto of the common areas, parking areas, service roads, loading facilities, and
sidewalks as such common areas now exist or as such common areas may hereafter be constructed,
an other facilities as may be designated from time to time by the Landlord, subject, however, to the
terms and conditions of this Lease and to reasonable rules and regulations for the use thereof as
prescribed from time to time by the Landlord. Tenant shall have exclusive use of sixteen (16)
dedicated parking spaces.
Section 1.03- Term
This Lease shall be for the term of TWO (2) years, commencing on September 1, 2003 (hereinafter
"Commencement Date") and ending on August 31, 2005, subject to extension by Tenant's exercise
of option to renew pursuant to Article XXIII hereof.
Section 1.04- Commencement of Rent and Term
The Term of this Lease and Tenant's obligations hereunder shall commence on the Commencement
Date; provided, however, that the Term shall not continence, and Tenant shall have no right to
possession of the Premises, until the "Security Deposit" (as defined herein) has been delivered to

Article XXIII
Option to Renew
The Landlord grants to the Tenant the right and option to renew the Lease for three (3) additional
one year periods upon the terms and conditions as set forth herein.
The Fixed Minimum Rent for each year of the renewed term shall be as set forth below, payable in
advance monthly in the manner and together with additional rent due, pursuant to Article H.
FIRST YEAR $13,561. 67/100 PER MONTH
SECOND YEAR $13,968.52/100 PER MONTH
THIRD YEAR $I4,387.58/100 PER MONTH
Tenant shall notify Landlord in writing of its intention to renew thirty (30) days before expiration of
the initial term or subsequent renewal.
Article XXJV
Waiver of Trial By Jury
It is mutually agreed by and between Landlord and Tenant that the respective parties hereto shall be
and they hereby do waive trial by jury in any action, proceeding, or counterclaim brought by either
of the parties hereto against the other on any matters whatsoever arising out of or in any way
connected with this Lease, the relationship of Landlord and Tenant, Tenant's use or occupancy of
the premises and/or any claim of injury or damage, and any emergency or other statutory remedy.
IN WITNESS WHEREOF, Landlord and Tenant have signed and sealed this Lease on the day and
year first above written.
