A RESOLUTION OF THE BOARD OF DIRECTORS OF THE OMNI
REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT AGENCY ("CRA
"), AUTHORIZING A GRANT TO URBAN ONE DEVELOPMENT, LLC ("URBAN
ONE"), IN AN AMOUNT NOT TO EXCEED $100,000, FOR INSTALLATION OF
WATER MAINS AND FIRE HYDRANTS, AND RESTORATION OF ASPHALT AND
SIDEWALKS, REQUIRED FOR THE CONSTRUCTION OF THE PARC LOFTS.
AND AUTHORIZING A GRANT, IN AN AMOUNT NOT TO EXCEED $12,000, TO
FILLING STATION LOFTS, LLC FOR REMOVAL OF POWER POLES TO ALLOW
CONSTRUCTION OF THE FILLING STATION LOFTS, BOTH RESIDENTIAL
PROJECTS AT APPROXIMATELY NORTHEAST 17TH STREET AND NORTH
MIAMI AVENUE, MIAMI, FLORIDA, CONTINGENT UPON: (1) THE GRANTS
BEING PAID ON A REIMBURSEMENT BASIS; (2) THE IMPROVEMENTS HAVING
BEEN APPROVED AND ACCEPTED BY THE APPLICABLE AUTHORITIES; (3)
DEMONSTRATION TO THE SATISFACTION OF THE CRA THAT FULL PAYMENT
HAS BEEN MADE FOR THE IMPROVEMENTS; AND (4) URBAN ONE AGREEING
THAT ALL REIMBURSEMENTS DUE URBAN ONE OR ITS MANAGERS,
MEMBERS, AFFILIATES, PARTNERS OR SUBSIDIARIES, FROM THE MIAMI-
DADE COUNTY WATER AND SEWER DEPARTMENT FOR INSTALLATION OF
THE WATER MAINS AND FIRE HYDRANTS WILL BE PAID TO THE CRA;
FURTHER AUTHORIZING THE EXECUTIVE DIRECTOR TO EXECUTE ALL
DOCUMENTS NECESSARY FOR SAID PURPOSE; ALLOCATING FUNDS FROM
OMNI TAX INCREMENT FUND, "OTHER GRANTS AND AIDS," ACCOUNT CODE
NO. 686001.590320.6.940.
WHEREAS, the Omni Redevelopment District Community Redevelopment Agency (the "CRA")
is responsible for carrying out community redevelopment activities and projects within the OMNI
Redevelopment Area in accordance with its Redevelopment Plan; and
WHEREAS, providing adequate public utilities and services for the Omni area's residents and
businesses and providing incentives for construction of new housing to attract downtown workers are
stated objectives of the Omni Redevelopment Plan; and
WHEREAS, Urban One Development, LLC ("Urban One") is nearing completion of Parc Lofts,
a residential development in the Omni Redevelopment Area; and in 2006, Filling Station Lofts, LLC will
commence construction of The Filling Station Lofts, a residential development also in the Omni
Redevelopment Area (the "Projects"); and
WHEREAS, the existing infrastructure is insufficient to support the Projects and Miami -Dade
County Water and Sewer Department has required Urban One to replace certain water mains and fire
hydrants along Northeast 17th Street, between North Miami Court and First Avenue, necessitating the
restoration of asphalt paving and sidewalks; and

WHEREAS, construction of The Filling Station Lofts will require the removal of four power
poles located within an adjacent alley; and
WHEREAS, Urban One has requested a grant in an amount not to exceed $100,000 to offset a
portion of the costs of the replacement of the water main and fire hydrants; and
WHEREAS, Filling Station Lofts, LLC has requested a grant for the cost of removing the power
poles; and
WHEREAS, the Board of Directors wishes to authorize these grants;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE OMNI
REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF
MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted
by reference and incorporated herein as if fully set forth in this Section.
Section 2. A grant to Urban One Development, LLC, in an amount not to exceed $100,000, for
installation of water mains and fire hydrants, and restoration of asphalt and sidewalks required for the
construction of the Parc Lofts, and a grant, in an amount not to exceed $12,000, to Filling Station
Lofts, LLC for removal of power poles to allow construction of The Filling Station Lofts, both residential
projects at approximately Northeast 17th Street and North Miami Avenue, Miami, Florida, are
authorized contingent upon: (1) the grants being paid on a reimbursement basis; (2) the improvements
having been approved and accepted by the applicable authorities; (3) demonstration to the satisfaction
of the CRA that full payment has been made for the improvements; and (4) Urban One agreeing that
all reimbursements due Urban One or its managers, members, affiliates, partners or subsidiaries, from
the Miami -Dade County Water and Sewer Department for installation of the water lines and fire
hydrants will be paid to the CRA
Section 3 The Executive Director is authorized to execute all documents necessary for said
purpose.
Section 4. Funds are to be allocated from OMNI Tax Increment Fund, "Other Grants and Aids,"
Account Code No. 686001.590320.6.940.
Section 5. This Resolution shall become effective immediately upon its adoption.
