ZION MISSIONARY BAPTIST CHURCH ("MT. ZION") CONVEYING THE FOUR (4) CRA-OWNED PROPERTIES AT 318 NORTHWEST 10TH STREET, MIAMI, FLORIDA (FOLIO NUMBERS: 01-0102-070-1040, 01-0102-070-1041, 01-0102-070-1042, AND 01-0102-070-1043) (THE "PROPERTIES") TO MT. ZION FOR THE AMOUNT OF ONE DOLLAR ($1.00), CONTINGENT UPON MT. ZION ALLOWING THE GENERAL PUBLIC TO USE THE PROPERTIES FOR PARKING WHEN NOT BEING UTILIZED BY MT. ZION. WHEREAS, on October 17, 2003 the Southeast Overtown/Park West Community Redevelopment Agency ("CRA"), received a proposal from the Historic Mt. Zion Missionary Baptist Church ("Mt. Zion") to acquire the CRA-owned properties at 318 Northwest 10th Street, Miami, Florida (Folio Numbers: 01- 0102-070-1040, 01-0102-070-1041, 01-0102-070-1042, and 01-0102-070-1043) (the "Properties") for use "as a parking lot for its members and visitors/guests;" and WHEREAS, pursuant to Resolution No. SEOPW/CRA R-04-03, passed and adopted January 26, 2004, the CRA issued a Notice of Disposition and Request for Proposals for the Properties; and WHEREAS, no responses to the Request for Proposals were received; and WHEREAS, the Board of Directors, by Resolution No. SEOPW/CRA R-04-25, passed and adopted on January 26, 2005, directed the Executive Director to negotiate a Purchase and Sale Agreement with Mt. Zion for the conveyance of the Properties contingent upon Mt. Zion allowing the general public to use the Properties for parking when they are not being utilized by Mt. Zion; and WHEREAS, the Board of Directors wishes to authorize the Executive Director to execute the Purchase and Sale Agreement; NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE SOUTHEAST OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated herein as if fully set forth in this Section. Section 2. The Executive Director is authorized to execute a Purchase and Sale Agreement, in substantially the attached form, with the Historic Mt. Zion Missionary Baptist Church ("Mt. Zion") conveying the four (4) CRA-owned properties at 318 Northwest 10th Street, Miami, Florida (Folio City of Miami Page I of 2 Printed On: 7/15/2005 File Number: 05-00288 Numbers: 01-0102-070-1040, 01-0102-070-1041, 01-0102-070-1042, and 01-0102-070-1043) (the "Properties"), for the amount of One Dollar ($1.00), contingent upon Mt. Zion allowing the general public to use the Properties for parking when not being utilized by Mt. Zion. Section 3. This Resolution shall become effective immediately upon its adoption.
