A RESOLUTION OF THE BOARD OF DIRECTORS OF THE SOUTHEAST
OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY ("CRA"),
WITH ATTACHMENT(S), AUTHORIZING THE EXECUTIVE DIRECTOR TO
EXECUTE A PURCHASE AND SALE AGREEMENT, IN SUBSTANTIALLY THE
ATTACHED FORM, WITH GREATER BETHEL AFRICAN METHODIST
EPISCOPAL CHURCH ("GREATER BETHEL") CONVEYING THE PROPERTY AT
240 NORTHWEST 9TH STREET, MIAMI, FLORIDA (FOLIO NUMBER
01-0103-050-1060), AND THE PROPERTY APPROXIMATELY 100 FEET WEST
ALONG NORTHWEST 8TH STREET FROM THE INTERSECTION OF
NORTHWEST 8TH STREET AND NORTHWEST 2ND AVENUE, MIAMI, FLORIDA
(FOLIO NUMBER 01-0103-050-1160) (THE "PROPERTIES"), FOR THE AMOUNT
OF ONE DOLLAR ($1.00), CONTINGENT UPON GREATER BETHEL ALLOWING
THE GENERAL PUBLIC TO USE THE PROPERTIES FOR PARKING WHEN NOT
BEING UTILIZED BY GREATER BETHEL.
WHEREAS, on October 20, 2003, the Southeast Overtown/Park West Community Redevelopment
Agency ("CRA") received a letter of interest from BAME Development Corporation of South Florida,
Inc. on behalf of the Greater Bethel African Methodist Episcopal Church ("Greater Bethel") for the
acquisition and development of the CRA-owned property at 240 Northwest 9th Street, Miami, Florida
(Folio Number 01-0103-050-1060), and the CRA-owned property approximately 100 feet west along
Northwest 8th Street from the intersection of Northwest 8th Street and Northwest 2nd Avenue, Miami,
Florida (Folio Number 01-0103-050-1160) (the "Properties"); and
WHEREAS, pursuant to Resolution No. SEOPW/CRA R-04-04, passed and adopted on January
26, 2004, the CRA issued a Notice of Disposition and Request for Proposals for the Properties; and
WHEREAS, two responses were received: a letter of support from The Black Archives, History and
Research Foundation of South Florida, Inc. supporting the transfer to the Church, and a proposal from
First Capital Group, Inc. which was determined to be inconsistent with the Overtown Historic Folklife
Village; and
WHEREAS, the Board of Directors, by Resolution No. SEOPW/CRA R-04-26, passed and
adopted on April 26, 2004, directed the Executive Director to negotiate a Purchase and Sale
Agreement with Greater Bethel for the conveyance of the Properties, contingent upon Greater Bethel
allowing the general public to use the Properties for parking when they are not being utilized by
Greater Bethel; and
WHEREAS, the Board of Directors wishes to authorize the Executive Director to execute the
Purchase and Sale Agreement;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE
SOUTHEAST OVERTOWNIPARK WEST COMMUNITY REDEVELOPMENT AGENCY OF THE CITY

OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by
reference and incorporated herein as if fully set forth in this Section.
Section 2. The Executive Director is authorized to execute a Purchase and Sale Agreement, in
substantially the attached form, with the Greater Bethel African Methodist Episcopal Church ("Greater
Bethel") conveying the property at 240 Northwest 9th Street, Miami, Florida (Folio Number 01-0103-
050-1060), and the property approximately 100 feet west along Northwest 8th Street from the
intersection of Northwest 8th Street and Northwest 2nd Avenue, Miami, Florida (Folio Number 01-0103
-050-1160) (the "properties"), for the amount of one dollar ($1.00), contingent upon Greater Bethel
allowing the general public to use the properties for parking when not being utilized by Greater Bethel.
Section 3. This Resolution shall become effective immediately upon its adoption.
