ARMANDO TRUJILLO .IAHUARY 31. 2006 PROJECT: WARD ROOMING HOUSE PAGE 2 OF 6 1. review of available drawings for the existing construction for the purpose of coordinating it with the proposed temporary bracing and shoring, 2. visual observation of the existing structure as it relates to the proposed temporary bracing and shoring, 3. consultation and coordination with you and the Building Official, 4. research of the building code and other local ordinances effecting structural design for this work, 5. coordination and review of foundation recommendations from the geotechnicai engineer, 6. participation in necessary design phase meetings, including one meeting with the Building Official, 7. structural analysis and design, 8. preparation of structural engineering drawings (specifications will be in the form of notes on the drawings), 9. preparation of a package of structural calculations for submission to the Building Department, 10. responses to any Building Department review comments, 11. review of required shop drawing and other structural submittals, 12. responses to reasonable questions from the contractor during construction, and 13. up to five construction site observation visits with written reports (for the purpose of general monitoring of the structural construction). ADDITIONAL SERVICES All services not specifically indicated In the "Scope of Basic Services," any significant additions to the project or to our scope of services, structural systems different from those described above, construction phase site visits and meetings in excess of five and any changes to work already accomplished will be considered additional services. SERVICES BY OTHERS It is also understood that it will be necessary for the owner to obtain the services of a geotechnical engineer to perform soils exploration, testing and analysis and to prepare a written report of findings and foundation recommendations. Douglas Wood & Associates, inc. will coordinate with this consultant to provide suggested boring locations and provide projected structural requirements. You and the owner will provide to us a copy of all drawings, reports and other documentation which you and the owner have or which are available from the Building Department which are relevant to this project. Unless otherwise informed by you or the owner, we will rely upon the accuracy of these documents. It is understood that all construction activities and the conformance of the construction to the structural drawings and Building Coda will be the responsibility of the owner's contractor. It will be the contractor's responsibility to assure that all required inspections have been completed prior to continuing with subsequent construction work. It is recognized that any inspections performed by Douglas Wood & Associates, Inc. in no way relieve the contractor from his responsibility to construct In accordance with his contract documents and the Building Code. As an inspecting engineer, Douglas Wood & Associates, inc. exercises no control over any of the contractor's activities. Furthermore, it is recognized that an inspecting engineer can not directly observe every aspect of the structural construction, nor can an inspecting engineer monitor actions by the contractor when the ) see cting engineer is not performing an inspection. LIMITATIONS it must be understood that our review of the existing construction will be only for the purpose of coordinating it with the proposed temporary bracing and stabilization. We will not be verifying its adequacy and will not assume any responsibility for it. Hidden Conditions and Hazardous Materials A structural condition is hidden if concealed by existing finishes or if it cannot be investigated by reasonable visual observation. If Douglas Wood & Associates, Inc. has reason to believe that such a condition may exist, Douglas Wood & Associates, Inc. will notify you who shall obtain authorization for payment for all costs associated with the investigation of such a condition and, if necessary, all costs necessary to correct said condition. If (1) you fail to obtain such authorization for investigation or correction after due notification, or (2) Douglas Wood & Associates, Inc. has no reason to believe that such a condition exists, the owner will be responsible for all risks associated with this condition, and Douglas Wood & Associates, Inc. shall not be responsible for the existing condition nor any resulting damages to persons or property. Douglas Wood & Associates, Inc. shall have no responsibility for the discovery, presence, handling, removal, disposal or exposure of persons to hazardous materials of any form. agg Our fee for the performance of the "Scope of Basic Services" for the front porch only will be a lump sum fee of 46,350.00. �.... ;-d �L---�_�-- - -• down by phase as follows: This fee can be broken These fee include reasonable out-of-pocket project expenses for coordination between our offices. Reproduction expenses for permitting, owner review and construction will be billed at our cost plus 10%. Additional services will be billed at our standard hourly rates at the time the services are performed. If it becomes necessary for portions of our Basic Services to be performed more than twenty-four months after the date of this proposal, our lump sum fees for those remaining services will be idjusted to reflect increases in our standard billing rates at that time. The amount of each invoice will be based on our estimated percent complete of the "Basic Services" plus any appropriate charges foradditional services and out- of-pocket project expenses and overdue invoice charges. Payment of invoices will be due upon receipt. We reserve the right to withhold services and documents, and/or file a lien on the real property pending receipt of appropriate payment. Any invoices, which remain unpaid after sixty days from the date of the invoice, will accrue interest at the rate of 1.50% per month. In the event any portion of an account remains unpaid 90 days after billing, the costs of collection, including reasonable attorneys' fees will be billed, and due upon receipt of the invoice. Access to Site Unless otherwise stated, Douglas Wood & Associates, Inc. will have access to the site for activities necessary for the performance of the services. Douglas Wood & Associates, Inc. will take precautions to minimize damage due to these activities, but the owner will be responsible for the cost of restoration of any resulting damages. ;Termination of Services This agreement may be terminated upon to perform his obligations hereunder. In Associates, Inc. for all services rendered reasonable termination expenses. Ownership of Documents All documents produced by Douglas Wood & Associates, Inc. under this agreement shell remain the property of Douglas Wood & Associates, Inc. and may not be used for any other endeavor without the written consent of Douglas Wood & Associates, Inc. Dispute Resolution Any claim or dispute between you and Douglas Wood & Associates, Inc. shall be submitted to non- binding mediation, subject to the parties agreeing to a mediatorlsl. This agreement shall be governed by the laws of the principal place of business of Douglas Wood & Associates, Inc. Any claim for professional negligence whether directly or by way of a cross complaint, against Douglas Wood & Associates, Inc. shall be preceded by a written certification executed by an independent registered engineer currently practicing structural engineering in Ronda. This certificate shall contain: a) the name and license number of the certifier; b} specify the acts or omissions that the certifier contends are not in conformance with the standard of care for a structural engineer under similar circumstances; and ci state in detail the basis for the certifier's opinion that such acts or omissions do not conform to the standard of care. Lin International/H.J. Ross in the amounts of $600,000.00 for the r r 4110 Ward Rooming House and $500,000.00 for the Church of the Divine Mission; and WHEREAS, the Board of Directors wishes to direct the Executive Director to seek funding for this purpose through the City of Miami Department of Community Development; and WHEREAS, the Board of Directors wishes to further direct that should funding through the Department of Community Development be unavailable, the Executive Director shall allocate tax increment funds in amounts stated above for this purpose in the CRA's Fiscal Year 2005 Budget; NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF SOUTHEAST OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF MIAMI, FLORIDA: Section 1.
