RESOLUTION NO. SEOPW/CRA 02-38
A RESOLUTION OF THE BOARD OF DIRECTORS OF THE COMMUNITY
REDEVELOPMENT AGENCY ("CRA") I) APPROVING THE SELECTION
OF DESIGN BUILD -INTER AMERICAN, MCM ENGINEERS AND
GENERAL CONTRACTOR, AND TLMC ENTERPRISES, INC., (THE "CM
AT RISK"), PURSUANT TO A REQUEST FOR QUALIFICATIONS ("RFQ"),
FOR CONSTRUCTION MANAGER AT RISK SERVICES SUBJECT TO THE
AVAILABILITY OF FUNDS, AND II) AUTHORIZING THE CRA TO ENTER
INTO SEPARATE CONTRACTS WITH THE SELECTED CM AT RISK IN A
FORM . ACCEPTABLE TO THE CRA GENERAL COUNSEL WITH THE
TERMS OF THE AGREEMENT RESULTING FROM THE SUBJECT RFQ
FOR A PERIOD OF TWO YEARS WHICH MAY BE RENEWED FOR TWO
ADDITIONAL ONE YEAR PERIODS IF MUTUALLY AGREED TO IN
WRITING, IN AN AMOUNT NOT TO EXCEED $10,000,000 THROUGH THE
TERMS OF THE CONTRACTS.

OF THE SOUTHEAST OVERTOWN/PARK WEST
COMMUNITY REDEVELOPMENT AGENCY ("CRA")
INCREASING CONSTRUCTION FUNDING FOR THE
FOLLOWING THREE OVERTOWN PROJECTS TO A
TOTAL OF $1,068,000.00 BROKEN DOWN AS
FOLLOWS: JACKSON SOUL FOOD RESTAURANT -
$780,000.00, TWO GUYS RESTAURANT -
$156,000.00, JUST RIGHT BARBER SHOP -
$132,000.00; CONTINGENT UPON THE
EXECUTIVE DIRECTOR NEGOTIATING NEW
GRANT AGREEMENTS WITH THE THREE
BUSINESSES WHICH WILL RESCIND THE
EXISTING GRANT AGREEMENTS; FURTHER
REQUIRING THAT THE NEW GRANT AGREEMENTS
BE APPROVED BY THE CRA BOARD OF
DIRECTORS PRIOR TO EXECUTION; FUNDS TO
BE ALLOCATED FROM FY' 04 SEOPW TIF FUND,
ACCOUNT CODE NO., 689001.550108.6.860.
WHEREAS, the Southeast Overtown/Park West Community
Redevelopment Agency ("CRA") is responsible for carrying
out community redevelopment activities within the Southeast
Overtown/Park West Redevelopment Area; and
WHEREAS, the CRA entered into grant agreements to
assist in the renovation and/or expansion of Jackson Soul
Food, Two Guys Restaurant, and Just Right Barber Shop; and

WHEREAS, additional costs will be incurred in
accomplishing the renovations and/or expansion contemplated
in the grant agreements; and
WHEREAS the CRA desires to increase the funding
provided by the CRA to accomplish the renovations and/or
expansion of the businesses.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF.
DIRECTORS OF THE SOUTHEAST OVERTOWN/PARK WEST COMMUNITY
REDEVELOPMENT AGENCY OF THE CITY OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in
the Preamble to this Resolution are adopted by reference
and incorporated herein as if fully set forth in this
Section.
Section 2. The Board of Directors authorizes the
Executive Director to increase construction funding for the
following three Overtown projects to a total of
$1,068,000.00 broken down as follows. Jackson Soul Food
Restaurant - $780,000.00, Two Guys Restaurant -
$156,000.00, Just Right Barber Shop - $132,0000.00 all
contingent upon the Executive Director negotiating new
grant agreements with the three businesses which will
rescind the existing grant agreements and further provided
that the new grant agreements be approved by the Board of

Directors prior to execution.
Section 3. Funds to be allocated from FY'04 SEOPW
TIF Fund, "Construction In Progress," Account Code No.
689001.550108.6.860.
Section 4. This Resolution shall become effective
immediately upon its adoption.

It is recommended that each Respondent visit each project site.
E. MISCELLANEOUS CONSTRUCTION PROJECTS
The CRA may have the Construction Manager construct or manage other projects during the term of this
Agreement, where construction costs does not exceed $200,000, subject to the availability of funds. An
exhibit or amendment to the Agreement shall be developed for each additional project, setting forth the
terms, scope of work, construction plans, construction specifications, list of on -site management and/or
supervisory personnel, construction schedule, and schedule of values.
F. DUTIES AND RESPONSIBILITIES OF CONSTRUCTION MANAGER AT RISK
The basic duties and responsibilities of the CM may include, but shall not be limited to, the following.
The duties and responsibilities of the Construction Manager at Risk may be adjusted to suit the particulars
of each project.
1. Provide general Services such as supervision, clerical, field office, sanitary facilities,
electrical, water, telephone, road access, safety barricades and construction fences,
construction testing, site vehicles, as -built drawings, compliance with OSHA requirements,
performance, payment and warrantee bonds, insurance.
2. Monitor all projects for compliance to the comprehensive safety program.
3. Responsible for security at each project, including all materials, supplies, equipment and
tools until the project is substantially complete and accepted by the CRA.
4. If plans and specifications are complete, review them and provide a construction estimate
to determine if the project as designed is within the budget. If the construction estimate
exceeds the budget, work with CRA Project Manager to bring the project within budget.
5. If plans and specifications have not yet been completed, CM is responsible for
engaging/hiring a competent Architect and Engineer subject to approval by the CRA who
will work as a subcontractor of the CM at Risk to complete the project to meet established
budgets and timeline.
6. Make recommendations to the CRA to meet the budget requirements of the CRA (e.g. site
considerations, material selections, cost reductions for material and labor, and construction
feasibility and practicality) - Any proposed redesign or revised budget must be approved
by the CRA.
