A RESOLUTION OF THE BOARD OF DIRECTORS OF THE SOUTHEAST
OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY
AUTHORIZING THE EXECUTIVE DIRECTOR TO COMMENCE NON -BINDING
NEGOTIATIONS WITH ROYAL PALM ENTERTAINMENT, LLC CRPE") FOR THE
DEVELOPMENT OF AN OFFICE BUILDING ON RPE-OWNED PROPERTY ON
THE SOUTH SIDE OF THE GRAND PROMENADE BETWEEN NORTH MIAMI
AVENUE ON THE WEST AND THE U-HAUL PROPERTY ON THE EAST TO
INCLUDE PERMANENT OFFICES FOR THE SOUTHEAST OVERTOWN/PARK
WEST AND OMNI REDEVELOPMENT DISTRICT COMMUNITY
REDEVELOPMENT AGENCIES AND AN "ENVIRONMENTAL HOTEL" FOR THE
CLUBS ALONG THE GRAND PROMENADE; FURTHER DIRECTING THE
EXECUTIVE DIRECTOR TO PRESENT THE RESULTS OF THE NEGOTIATIONS
TO THE BOARD OF DIRECTORS FOR REVIEW AND CONSIDERATION
WHEREAS, the Southeast OvertownlPark West Community Redevelopment Agency ("CRA") is
responsible for caning out community redevelopment activities and projects in accordance with
its Redevelopment Plan; and
WHEREAS, Royal Palm Entertainment, LLC (RPE' has proposed that the CRA and RPE
collaborate to develop an office building on RPC-owned property on the south side of the Grand
Promenade between North Miami Avenue on the west and the U-Haul properly on the east, to
include permanent offices for the Southeast Overtown/ Park West and Omni Redevelopment
District Community Redevelopment Agencies and an "Environmental Hotel" for the clubs along the
Grand Promenade; and
WHEREAS, it is the wish of the Board of Directors that the Executive Director commence
non -binding negotiations with RPE, and submit the results to the Board of Directors for review and
consideration;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE
SOUTHEAST OVERTOWN/PARK WEST COMMUNITY REDEVELOPMENT AGENCY OF THE
CITY OF MIAMI, FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted
by reference and incorporated as if fully set forth in this Section.
Section 2. The Executive Director is authorized to commence non -binding negotiations with
Royal Palm Entertainment, LLC to develop an office building on RPE-owned property on the south
side of the Grand Promenade between North Miami Avenue on the west and the U-Haul property
on the east, to include permanent offices for the Southeast Overtown/Park West and Omni
Redevelopment District Community Redevelopment Agencies and an "Environmental Hotel" for

the clubs along the Grand Promenade.
Section 3. The Executive Director is directed to present the results of the negotiations to the
Board of Directors for review and consideration.
Section 4. This Resolution shall become effective immediately upon its adoption.
