On the 24th day of April 2014, the Board of Commissioners of the OMNI Community
Redevelopment Agency of the City of Miami met in regular session at Miami City Hall, 3500 Pan
American Drive, Miami, Florida. The meeting was called to order by Chair Sarnoff at 12:42
p.m. and was adjourned at 12:47p.m.

CRA RESOLUTION
A RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE OMNI
REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT AGENCY,
WITH ATTACHMENT(S), DE -ALLOCATING $ 6,463,526 IN CARRYOVER
FUNDS ASSOCIATED WITH PREVIOUSLY AUTHORIZED PROJECTS, AS
MORE SPECIFICALLY SET FORTH IN ATTACHMENT "A"; AND ALLOCATING
SAME TO THE MIAMI ENTERTAINMENT COMPLEX, MUSEUM PARK, AND
THE DOG RUN/MARGARET PACE PARK PROJECTS.

Pieter Bockweg (Executive Director, Omni Community Redevelopment Agency): Mr. Chair,
thank you. Good afternoon. The first item before you is the de -allocation of projects that either
have, "A," been completed, or "B, " were over -budgeted, and you will see in the attachment that
it will also include the remaining funds to fund the MEC (Miami Entertainment Complex), which
is, I'm happy to say, in progress as we speak, as well as some additional funds to Museum Park
and Margaret Pace Park to increase the quality of life for the area.
Chair Sarnoff All right. Is there a motion?
Vice Chair Suarez: Move it.
Board Member Gort: Second.
Chair Sarnoff. Motion by Commissioner Suarez; second by Commissioner Gort. Any

Vice Chair Suarez: Real quick. I just want to say that again -- and I've said this every time I've
talked about this, you know. I know that the Commissioner went out on a limb -- you know what
I mean -- in a sense and has really staked his reputation on this project to a certain extent, and I
-- you know, I'm a believer, and I'm hopeful that it will be as successful as he wants it to be.
Thank you.
Chair Sarnoff Well, the jury, Commissioner, I'm sure will be out for some time on this, but at
least we will learn whether Miami can be film friendly and film compliant, and any impediment
that somebody says we don't have the proper studio space is gone. We'll either find out if we're
real or not for real. Anyone else want to --?
Board Member Gort: Commissioner, I'd like to tell you that we have -- the Hemispheric
Congress is going to take place in June 2 to the 4th, and then we going to have the film
entertainment center if you guys participate on it. We have people from China; we have people
from Poland. They going to come here, and they want to invest in movies and programs here in
the City of Miami. So congrats. It took a long time, but you got it done.
Chair Sarnoff Well, I -- this is not -- first place, you guys have been there from the inception.
Commissioner Suarez and Commissioner Gort, you guys have been big film proponents, so let's
call this "our project." Commissioner Hardemon. Well, you're part of it now. This is it. As they
say, you could even pick the color maybe of the building, you know. What -- pink, yellow, green,
who knows.
Board Member Hardemon: I just really wish good luck for this program, for this project. I
really do want -- I mean, it's just amazing what's happening in this area, and I like to call it -- I
mean, we -- this is the downtown corridor, really. This is what attaches our downtowns to our
Overtowns and our Park Wests and our -- and Midtowns. And all this -- this all comes together.
And so to create an industry in this fashion for the City of Miami I think is an amazing thing to
do, and I'm going to do whatever I can, especially in the Overtown CRA, to help supplement,
provide resources, human capital, train people, things like that, so we can make this really work
in the City of Miami.
Chair Sarnoff And I think, Commissioner Gort, you complete about the same time I do, don't
you? Your Commission is completed?
Chair Board Member: I have one more term.
Chair Sarnoff One more term, okay.
Board Member Gort: And hopefully --
Chair Sarnoff So all of you up here then --
Board Member Gort: -- I'm in good health and --
Chair Sarnoff All of you -- then all of you up here will make sure that whatever is built in the
bricks and mortar, as Commissioner Hardemon said, will have the human capital necessary to
make us a great film studio.
Board Member Hardemon: Yes.
Chair Sarnoff All right. So with that said, we have a motion and we have a second. Any
further discussion?
Mr. Bockweg: I'm sorry, Mr. Chair. I just want to remind Commissioner Gort that we are a part

CRA RESOLUTION
A RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE OMNI
REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENT AGENCY
("CRA"), WITH ATTACHMENT(S), AUTHORIZING THE EXECUTIVE
DIRECTOR TO ALLOCATE FUNDS IN AN AMOUNT NOT TO EXCEED
SEVENTY-FIVE THOUSAND DOLLARS ($75,000.00) ("GRANT") AND TO
AWARD SUCH GRANT TO THE CITY OF MIAMI, FLORIDA ("GRANTEE") TO
FUND CONSTRUCTION MANAGEMENT SUPPORT SERVICES AS
OWNERS REPRESENTATIVE FOR THECONSTRUCTION AND
DEVELOPMENT OF THE CRA OWNED MIAMI ENTERTAINMENT COMPLEX
("MEC") PROPERTY, LOCATED AT 50 NORTHWEST 14TH STREET, MIAMI,
FLORIDA; FURTHER AUTHORIZING THE EXECUTIVE DIRECTOR TO
EXECUTE A MIAMI ENTERTAINMENT COMPLEX CAPITAL IMPROVEMENTS
PROGRAM CONSTRUCTION MANAGEMENT SUPPORT SERVICES GRANT
AGREEMENT FOR OWNERS REPRESENTATIVE ("GRANT AGREEMENT"),
IN SUBSTANTIALLY THE ATTACHED FORM, AND ANY AND ALL
NECESSARY DOCUMENTS, IN A FORM ACCEPTABLE TO THE CITY
ATTORNEY AS GENERAL COUNSEL TO THE CRA, FOR AMENDMENTS,
MODIFICATIONS, AND EXTENSIONS OF THE GRANT, SUBJECT TO
BUDGETARY APPROVAL AT TIME OF NEED.

Chair Sarnoff. Okay, CRA (Community Redevelopment Agency) 2.
Pieter A. Bockweg (Executive Director, Omni Community Redevelopment Agency):
Commissioner and Mr. Chair, in spirit of the MEC (Miami Entertainment Center), we feel it's
vital, 'cause the CRA does not have that expertise in-house, that we have an owner's rep for the
construction of the movie facility, who will be the liaison between the CRA office as well as the
developers. I have worked with Robert Fenton in the past. I believe all of you know who he is,
and I worked with him, and under the guidance of Mark Spanioli, the CIP (Capital
Improvements Program) director. The item before you is a grant agreement with the CIP for
$75, 000 for owner's rep services for Robert Fenton.
Chair Sarnoff All right. Is there a motion?

Board Member Gort: No, we getting -- no, no, that's fine. I want to establish we going to be
coming back at 2:30. We're going directly upstairs, because we have --
Chair Sarnoff. Does anybody know about this executive session? 'Cause I'm -- everybody's --
I'm getting like yelled at by the Manager, "Didn't you know?" Did you guys know about an
executive session? Commissioner Gort, do you know about an executive session?
Board Member Gort: We don't?
Chair Sarnoff No, I -- we do apparently, but I -- but it's news to my office.
Board Member Gort: (UNINTELLIGIBLE).
Chair Sarnoff Two -thirty?
Board Member Gort: You guys going to be able to be here?
Todd B. Hannon (City Clerk): I would defer to the Administration. Is the executive session
scheduled for 2 o'clock or 2:30?
William Bloom (Special Counsel/Community Redevelopment Agency): Commissioners, I believe
the notice went out last week for 2:30.
