Purpose of Item:
A Resolution of the Miami City Commission, with attachments, authorizing the City Manager to execute a
Lease Agreement ("Lease"), in substantially the attached form, between the City of Miami ("City or Lessor")
and Miami -Dade County ("Lessee or Tenant"), for the continued use of City -owned property located at 1009
NW 5 Avenue, Miami, Florida ("Demised Premises"), as a public health facility, at an annual rental of $1.00
per year, said Lease being for a period of five years and six months, commencing on the Effective Date with
one option to extend for one additional five-year term, with additional terms and conditions more particularly
set forth in said Lease.

Subject: Lease Agreement with Miami -Dade County for its use of City -owned property located at 1009 NW 5
Avenue for the operation of a primary health care facility.
Background Information:
During the 1989 legislative session, the Florida State Legislature recognized the need for extended primary care
services in the Little Havana and Overtown neighborhoods within the city of Miami ("City"). A total of $400,000
was allocated to the State of Florida Department of Health and Rehabilitative Services ("HRS") for the planning
and design of two facilities. Subsequently, on June 19, 1990, the Miami -Dade County Board of Commissioners
approved a Grant Agreement with HRS providing for Miami -Dade County's participation in these two facilities.
On February 7, 1990, the City Commission adopted Resolution No. 90-0134, authorizing the City Manager to
execute a Lease Agreement ("Lease") with Miami -Dade County ("Lessee or Tenant") for the use of a portion of
the Culmer Center, located at 1009 NW 5 Avenue, for the construction of a facility to use of a public health
clinic. The Lease became effective on October 1, 1990 for a term of twenty years and witha consideration of
$1.00 per year.
The Lease expired on September 30, 2010. The City and the Lessee wish to enter into a new Lease for a period
of five years and six months, with one option to renew for one successive five-year period, with a consideration
of $1.00 per year. Lastly, the Lease, as previously agreed, requires the Public Unit of HRS to provide
maintenance for the facility as well as all utility costs.
In exchange for the City allowing the Lessee to continue with a consideration of $1.00 per year, the Lessee is
allowing the City to modify an existing lease agreement, in which the Lessee is the Lessor and the City is the
Lessee for. a 400 square foot area on the rooftop of the Stephen P. Clark Center, located at 111 NW 1 Street, for
an antenna. In said lease agreement, the City's rental was $14,000.00 per year. The modification will reduce the
rental to $1.00 per year.
