Subject: Lease Agreement with Miami -Dade County for the continued use of County owned property located at
111 NW 1 Street by the City of Miami for a 400 square foot area on the rooftop for an antenna and related
equipment.
Purpose of Item:
A Resolution of the Miami City Commission, with attachments, authorizing the City Manager to execute a
Retroactive Amendment to Lease Agreement ("Lease"), in substantially the attached form, between the City
of Miami ("City" or "Lessee") and Miami -Dade County ("County" or "Lessor"), to reduce the annual rental
from $14,000.00 per year to $1.00 per year with an Effective Date of October 1, 2010, and for the continued
use of the property located at 111 NW 1 Street, Miami, Florida ("Premises"), for a rooftop antenna and
related equipment. The Amendment renews and extends the lease for a period of five years with an option to
extend for one additional five-year term, commencing on May 1, 2011, with additional terms and conditions
set forth in said Lease.

Subject: Lease Agreement with Miami -Dade County for the continued use of Miami -Dade County owned
property located at 111 NW 1 Street by the City of Miami for a rooftop antenna and related equipment.
Background Information:
On July 18, 1985, the City Commission adopted Resolution No. 85-730, authorizing the City Manager
to execute a Lease Agreement ("Lease") with Miami -Dade County ("County" or "Lessor") and the City of
Miami ("City or Lessee") for the use of the property located at 111 NW 1 Street, Miami, Florida, also
known as the Stephen P. Clark Center ("Premises"), for a rooftop antenna and related equipment. The
Lease became effective on September 3, 1985 for a term of two years commencing upon the start of
installation and with an annual rental fee of $19,800.00 per year. The Lease is currently in the twenty-
fifth renewal option period, and the latest Lease renewal period will expire on April 30, 2011. The
current annual rental fee is $14,000.00 and the City wishes to pursue a new Lease with the County.
The County leases two properties from the City, located at 971 NW 2 Street, a portion of Henderson
Park, and 1009 NW 5 Avenue, a portion of Culmer Center, Miami, Florida, for a consideration of $1.00
per year each, that are used as health clinics. The new lease agreements for these properties are for a
period of five years and six months, with an Effective Date of October 1, 2010 through April 30, 2016,
with an option to renew for one (1) additional five-year period.
In exchange for the City renewing the leases for the two health clinics for consideration of $1.00 per
year, the County has agreed to reduce the annual rental of this lease from $14,000.00 to $1.00. The
City and County are therefore entering into a new lease agreement for a period of five years from May
1, 2011 through April 30, 2016, with an option to renew for one (1) additional five-year period and an
amendment reducing the annual rental to $1.00 with a retroactive date of October 1, 2010.
