The meeting was called to order by Chair Suarez at 12: 06 p.m. and was adjourned at 12:10 p.m. ALSO PRESENT: Pieter Bockweg, Executive Director, CRA Veronica Xiques, Assistant General Counsel, CRA Todd B. I'd like to call to order the Midtown Community Redevelopment Agency meeting. Mr. Executive Director, can you please present --? We're going to begin with item number 1. Can you please present the findings of the external audit report for fiscal year 2012? Pieter Bockweg (Executive Director, Community Redevelopment Agency): Mr. Chair, thank you. I'm happy to report that the Midtown CRA (Community Redevelopment Agency) had a clean audit. And I've asked Richie, our external auditor, here to do his presentation before you. Richie Tandoc: Good afternoon, Chair and board members. My name is Richie Tandoc. I'm partner with Sansone Kline Jacomino & Tandoc & Gamarra. I'm in charge of the Midtown audit CRA's audit engagement for the fiscal year ending September 30, 2012. I'll make my presentation very brief. If I could just go over a couple points, a couple required communications regarding our responsibilities as your auditors under generally accepted auditing standards and government auditing standards. Our responsibility is to express an opinion on the agency's financial statements based on our audit in accordance with generally accepted auditing standards and government auditing standards. We have issued an unqualified opinion, which is a clean opinion, on the agency's basic financial statements for the year ended September 30, 2012. In addition, we're required to report on the agency's internal control over financial reporting and on compliance in other matters. However, providing assurance on internal control and compliance with certain laws, provisions, regulations and agreements is not an objective of our audit. We have issued our report on the agency's internal control over financial reporting and on compliance in other matters. We noted no material weaknesses or noncompliance issues. And both of those reports were dated December 3, 2012. With regards to fraud and illegal acts, we are required to inform those charged with governance about any and all fraud and illegal acts involving senior management and any fraud and illegal acts that cause a material misstatement to the financial statements. We are not aware of any fraud or illegal acts that occurred during the fiscal year involving senior management or any fraud or illegal acts involving any employees that would cause a material misstatement of the financial statements. With regards to our independence, we are independent of the agency. There are no relationships between us and the agency or the City that may reasonably be thought to impede our City of Miami Page 2 Printed on 6/26/2013 Midtown Community Redevelopment Agency Meeting Minutes February 28, 2013 RESOLUTIONS 2. 13-00256 independence. And we have not performed any non -audit services for the agency during the fiscal year ending September 30, 2012 or thereafter. And lastly, with regards to our management letter, we have issued a management letter in accordance with the rules of the auditor general of the state of Florida, which is also dated December 3, 2012. We had one observation -- or one recommendation that we made with this -- which is with regards to a new government accounting standard that's coming out that we just want to make sure management is aware of. If you have any specific questions about our audit, I'd be happy to address those. Commissioner Suarez: Thank you. Is there any questions? MCRA RESOLUTION A RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE MIDTOWN REDEVELOPMENT DISTRICT COMMUNITY REDEVELOPMENTAGENCY ("CRA"), WITH ATTACHMENT(S), APPROVING AND ADOPTING THE CRA'S AMENDED TAX INCREMENT FUND BUDGET AND GENERAL OPERATING BUDGET FOR THE FISCAL YEAR COMMENCING OCTOBER 1, 2012 AND ENDING SEPTEMBER 30, 2013; FURTHER DIRECTING THE EXECUTIVE DIRECTOR TO TRANSMIT COPY OF THE AMENDED BUDGETS TO THE CITY OF MIAMI AND MIAMI-DADE COUNTY. 13-00256 Cover Memo.pdf 13-00256 Legislation.pdf 13-00256 Exhibit 1.pdf Motion by Board Member Sarnoff, seconded by Vice -Chair Gort, that this matter be ADOPTED PASSED by the following vote. Votes: Aye: Vice Chair Gort, Commissioner Spence -Jones, Commissioner Sarnoff and Chair Suarez Absent: Commissioner Carollo M C RA-R-13-0001 Chair Suarez: Item number 2 is a resolution adopting the board of the Midtown Redevelopment Agency's budget. Moved by -- Commissioner Gort: Second. Chair Suarez: -- Board Member Sarnoff, second by Board Member Gort. Any questions? I just want to specify, Mr. Executive Director, that this CRA (Community Redevelopment Agency) is basically a pass -through entity by and large. Pieter Bockweg (Executive Director, Community Redevelopment Agency): As you all know, Mr. Chair, the Midtown CRA, 99 percent of the revenue that is generated for the TIF (Tax Increment Fund) goes to pay off the debt service for the parking garage; 1 percent does go into our general operating budget. Chair Suarez: So any assertion to the effect that the Midtown CRA chairman has any sort of power to do anything would be grossly, grossly misstatement of the facts. Thank you.
