On the 11 th day of February 2010, the Board of Commissioners of the Midtown Community
Redevelopment Agency (MCRA) for the Midtown District of the City of Miami met in regular
session at Miami City Hall, 3500 Pan American Drive, Miami, Florida. The meeting was called
to order by Chair Suarez at 6: 32 p.m. and was adjourned at 6:34 p.m.

A RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE MIDTOWN
COMMUNITY REDEVELOPMENT AGENCY ("CRA") AUTHORIZING PAYMENT,
IN AN AMOUNT NOT TO EXCEED $3,862,462, TO THE MIDTOWN MIAMI
COMMUNITY DEVELOPMENT DISTRICT, IN ACCORDANCE WITH THE
SECOND AMENDMENT TO THE INTERLOCAL AGREEMENT DATED MAY 28,
2004; FUNDS TO BE ALLOCATED FROM THE MIDTOWN TAX INCREMENT
FUND, "OTHER CURRENT CHARGES AND OBLIGATIONS," ACCOUNT CODE
NO. 10000.920101.549000.0000.00000.

Motion by Chair Sarnoff, seconded by Commissioner Gort, that this matter be ADOPTED
PASSED by the following vote.
Votes: Aye: Commissioner Gort, Commissioner Dunn II, Commissioner Suarez and Chair Sarnoff
Absent: Commissioner Carollo

Commissioner Sarnoff. Is the director ready? Mr. Director, I'm going to let you guide us
through this.
James Villacorta (Interim Executive Director, Community Redevelopment Agency): Okay. Item
number one is a resolution of the Midtown Community Redevelopment District authorizing us to
pay over the TIF (Tax Increment Fund) revenues per agreement with the community development
district.
Chair Suarez: I believe I'm the chairman of that, of that entity.
Mr. Villacorta: Yes. Commissioner Suarez is the chair. It's a resolution of the Board of
Commissioners of the Midtown Community Redevelopment Agency authorizing payment in an
amount not to exceed $3,862,462 to the Midtown Community Development District in
accordance with the second amendment to the interlocal agreement dated May 28, 2004. This is
a contractual obligation, and this is something we do as a matter of routine each year.
Chair Suarez: Does it require a public hearing?
Mr. Villacorta: No.

Mr. Villacorta: It does not.
Chair Suarez: Does anyone wish to speak on that item or --? Do I have a motion on that item?
Commissioner Sarnoff So moved.
Chair Suarez: Moved by Commissioner -- Chairman of the City Commission, Sarnoff. I can't
keep track of all these things. Do I have a second?
Vice Chair Gort: Second.
Chair Suarez: Second by Commissioner Gort. All those in favor?
The Commissioners (Collectively): Aye.
Chair Suarez: Motion passes.
Mr. Villacorta: You should now move to adjourn the Midtown Community Redevelopment
Agency.
Chair Suarez: Do I have a motion for adjournment?
Commissioner Sarnoff So move.
Chair Suarez: Motion by Chairman [sic] Sarnoff. Do I have a second?
Commissioner Dunn: Second.
Chair Suarez: Second by Commissioner Dunn. All those in favor, please signify by saying
ave.
The Commissioners (Collectively): Aye.
Chair Suarez: Motion passes unanimously.
A motion was made by Commissioner Sarnoff, seconded by Commissioner Dunn, and was passed
unanimously, with Commissioner Carollo absent, to adjourn today's meeting.
