On the 27th day of October 2008, the Board of Directors of the Midtown Community
Redevelopment Agency of the City of Miami met in regular session at The Lyric Theater, 819
Northwest 2ndAvenue, Miami, Florida. The meeting was called to order by Commissioner
Tomas Regalado at 5:17 p.m. and was adjourned at 5:20 p. m.
ALSO PRESENT:
James H. Villacorta, Interim Executive Director, CRA
Gail A. Dotson, Assistant General Counsel, CRA
Pamela E. Burns, Assistant Clerk of the Board
James H. Villacorta (Interim Executive Director, Community Redevelopment Agency): I guess
we'll call to order the Midtown meeting. Recognize that there's not a quorum.
Commissioner Regalado: Why there's not a quorum?
Mr. Villacorta: I understand that Commissioner Spence -Jones is ill. I believe she's in the
hospital. I was informed that -- by the chiefs ofstafffor Commissioner Sanchez that he was
unable to attend due to another event, I believe the Urban Land Institute. I think he's speaking
there. I'm not sure why the other two Commissioners are not here.
Commissioner Regalado: Well, I think -- of course, I'm just speaking, but I have seen this
advertised in the Miami Herald, Miami Times, Miami Today, and I don't -- How much did we
pay the theater?
Mr. Villacorta: The Theater usually foregoes charging us based on our past contributions to the
theater.
Commissioner Regalado: That's good, in case we have to cancel other meetings. But I think it's
important that the board member -- because, you know, the way the United States function is the
President is ill, the Vice President presides. The Vice President is ill, the president
(UNINTELLIGIBLE) of the Senate presides. There's always a continuity, and I'm sorry for the
people that came here. I'm really sorry. I think it's important that all the board members
understand that if they don't want to do this, they should resign. We should appoint citizens to
run this board, simple as that. If they have other things better than this to do, they just -- we just
should appoint people. As a matter of fact, we should discuss this in the next meeting of the CRA
(Community Redevelopment Agency) because if you don't want to come 'cause you have
something more important, you should appoint somebody who will attend. But I'm sorry to all of
you. I think -- I wish that our Chair feels better, and -- well, there's still cookies out there.
Mr. Villacorta: Do we need to adjourn this meeting and call to order the --?
Pamela E. Burns (Assistant Clerk of the Boarc): Yes. As Commissioner Regalado is the only
member of the board present, if he would adjourn the meeting of the Midtown CRA, and then we
can open the regular CRA and put on the record as to who's there and then adjourn that meeting
too.
Commissioner Regalado: Okay. So what do you want me to do? Open the Midtown?
Ms. Burns: Adjourn Midtown.

Commissioner Regalado: Oh, adjourn. Okay, so the Overtown/Park West Omni CRA meeting
that never took place is adjourned and --
Mr. Villacorta: That was Midtown. And we're calling to order --
Commissioner Regalado: And -- oh, okay. And the Midtown -- also, because we had a Midtown.
Mr. Villacorta: Yeah. Midtown is adjourning, and the Omni Overtown is --
Commissioner Regalado: Midtown is adjourned.

1. 08-01050 MCRA RESOLUTION
A RESOLUTION OF THE BOARD OF COMMISSIONERS OF THE MIDTOWN
COMMUNITY REDEVELOPMENT AGENCY ("CRA"), WITH ATTACHMENTS,
AUTHORIZING PAYMENT, IN AN AMOUNT NOT TO EXCEED $1,114,409,
TO THE MIDTOWN MIAMI COMMUNITY DEVELOPMENT DISTRICT, IN
ACCORDANCE WITH THE SECOND AMENDMENT TO THE INTERLOCAL
AGREEMENT DATED MAY 28, 2004; AUTHORIZING REIMBURSEMENT, IN
AN AMOUNT NOT TO EXCEED $81,708, TO THE CITY OF MIAMI FOR
COSTS INCURRED IN THE FORMATION AND OPERATION OF THE CRA;
APPROVING AND ADOPTING THE CRA'S AMENDED TAX INCREMENT
FUND BUDGET FOR THE FISCAL YEAR COMMENCING OCTOBER 1, 2008
AND ENDING SEPTEMBER 30, 2009; DIRECTING THE EXECUTIVE
DIRECTOR TO TRANSMIT A COPY OF THE AMENDED BUDGETS TO THE
CITY OF MIAMI AND MIAMI-DADE COUNTY; FUNDS TO BE ALLOCATED AS
FOLLOWS: $1,114,409 FROM THE MIDTOWN TAX INCREMENT FUND,
"OTHER CURRENT CHARGES AND OBLIGATIONS," ACCOUNT CODE NO.
