On the 27th day of March 2006, the Board of Directors of the Midtown Community
Redevelopment Agency (MCRA) for the Midtown District of the City of Miami met in special
session at the City of Miami City Hall, Miami, Florida. The meeting was called to order by
acting Vice Chair Spence -Jones at 5:44 p.m. and was adjourned at 5:51 p.m.
Note for the Record: Board Member Michelle Spence -Jones served as acting Vice Chair of
today's Midtown CRA meeting.

APPOINTING FRANK K. ROLLASON EXECUTIVE DIRECTOR OF THE
CRA.

Board Member Regalado: -- meeting.
Mr. Rollason: -- with the Midtown, we do not have a Vice Chair to the Midtown CRA. We
only have a Chair, which is Chairman Winton, so --
Board Member Regalado: So, but he's not here.
Mr. Rollason: That is correct, so amongst you three, you could decide who will chair this
meeting to --
Board Member Regalado: Michelle; she's been doing good.
Unidentified Speaker: OK. Call it to order.
Board Member Sanchez: She'll chair.
Mr. Rollason: Can you call it to order and -- ?
Board Member Sanchez: Call it to order.
Acting Vice Chair Spence -Jones: Call this meeting to order. We don't have to do prayer
and all that.
Priscilla A. Thompson (Clerk of the Board): And for the record --
Mr. Rollason: No, we don't have to do another --
Ms. Thompson: -- just so we'll make the record clear, we're noting that Board Member
Michelle Spence -Jones is the acting, OK, the acting Chair of this particular meeting at this
time for us. Thank you.
Mr. Rollason: OK.
Board Member Regalado: OK.
Mr. Rollason: All right. We have one item, and that item, which has come to me through
the City, is that it's the desire of the City Administration to have me appointed as the
executive director of the Midtown CRA, and to move the administration of that CRA within
where the other CRAs are --
Board Member Sanchez: All right.
Mr. Rollason: -- and 1 have volunteered to do this several times ago, and --
Board Member Regalado: So, you're not going to get paid?
Mr. Rollason: I get paid.
Board Member Sanchez: He gets paid all right, all right, so move the appointment of Frank
K. Rollason, executive director of the CRA -- of the Midtown Community Redevelopment
Agency. So move.
Acting Vice Chair Spence -Jones: I just have a -- I know you got to go. I can't -- am I --

Acting Vice Chair Spence -Jones: OK. I just have a quick question on this before we leave.
Just regarding -- does this mean everything is going to fold all up into the existing CRA that
we have now --
Mr. Rollason: Well, the administrative --
Acting Vice Chair Spence -Jones: -- and the staff will now become avail --
Mr. Rollason: Right, the staff will be --
Acting Vice Chair Spence -Jones: -- available to
Mr. Rollason: That is correct.
Acting Vice Chair Spence -Jones: All right. That was the question.
Mr. Rollason: All right.
Board Member Regalado: OK, now I have a small question. This CRA does not have an
office, right?
Mr. Rollason: The Midtown.
Board Member Regalado: Yeah, Midtown CRA.
Mr. Rollason: No, they don't.
Board Member Sanchez: Doesn't have a what?
Mr. Rollason: An office.
Board Member Regalado: But they do have a board, which is --
Acting Vice Chair Spence -Jones: There's a board.
Mr. Rollason: The Commissioners.
Unidentified Speaker: Commissioners.
Board Member Regalado: -- this board.
Mr. Rollason: That's correct.
Board Member Regalado: Are they -- do they have income now?
Acting Vice Chair Spence -Jones: Yeah, do they?
Mr. Rollason: They do have income, and there's a percentage of that that I'm able to use for
administration, which is very minuscule, and what we will have to do -- and we're going to
have to look at that budget, and we're going to have to see what percentage is so that --
Southeast Overtown/Park West and Omni can't be paying for the time and so forth of the
Midtown, but I think the Midtown is so limited on what they have to do, I think mostly we're
going to be looking at auditing, the annual reports that have to go in, that type of
administrative thing is what we're going to be involved in.
Acting Vice Chair Spence -Jones: What is the amount though?
Mr. Rollason: What is -- ?
Acting Vice Chair Spence -Jones: What -- you said that there's a little -- there's a certain

amount that's been --
Mr. Rollason: I think it's what --
James Villacorta (Assistant General Counsel, Community Redevelopment Agency): About
$60,000.
Mr. Rollason: About --
Acting Vice Chair Spence -Jones: Oh, OK.
Mr. Rollason: -- $60,000.
Board Member Regalado: How much?
Acting Vice Chair Spence -Jones: Sixty.
Board Member Regalado: Sixty thousand dollars?
Mr. Rollason: Right.
Mr. Villacorta:. And there's a limit on -- through the interlocal agreement with the County
and the City, only one and a half percent can be spent on administrative costs --
Board Member Regalado: Six thousand dollars.
Mr. Villacorta: Yeah.
Board Member Regalado: Seven thousand dollars.
Mr. Rollason: Yeah.
Mr. Villacorta: Well, it's going to grow quickly as --
Board Member Regalado: It is going to grow --
Mr. Villacorta: -- the Midtown --
Board Member Regalado: -- and that was my question.
Mr. Villacorta: Yes.
Board Member Regalado: That was the intent of my question. It is going to grow the
sooner they build and the sooner that it gets on-line. It is going to be huge, so my question
is, if they don't have an office and if Frank is going to be the director come next year,
they're going to have to pay half of the office.
Mr. Rollason: They're going to have to pay a portion. I think we'd have to look at --
Board Member Regalado: Or some.
Mr. Rollason: -- what the breakout of staff time and my time is to pay their piece, and from
what the action is in that particular CRA, mainly retiring the bonds that have already been
sold, it's not like we're bringing projects and doing that type of thing. That -- normally, I
think we meet twice a year to get permission of the board to make the bond payments, so I
don't foresee, other than the administrative cost of what the audit will be, what the annual
report, the reporting to the State, those type of things that have to be done. What those
costs are, they'll have to shoulder that --
Board Member Regalado: Yeah, but --
Mr. Rollason: -- expense.

Board Member Regalado: -- that's not the point, Frank. The point is that it's going to be a
huge income in the future.
Mr. Rollason: But that income is limited --
Board Member Regalado: To one percent.
Mr. Rollason: -- by the agreement, and either that has to be revisited or --
Board Member Regalado: No, no, no. One percent of $600,000 will be 60,000.
Mr. Rollason: Right.
Board Member Regalado: Six million dollar will be -- you know, it's --
Mr. Rollason: No, it's a lot --
Board Member Regalado: -- (UNINTELLIGIBLE).
Mr. Rollason: -- but also I'II point out to you that in the Omni CRA -- the Southeast
Overtown/Park West CRA is quiet to this issue about how much can be used for
administration. The Omni CRA, however, speaks that you cannot use more than 20 percent
towards administration, so we've been using the same rule of 20 percent in Southeast
Overtown/Park West as a ceiling and Omni for 20 percent. Currently, we're at about six
percent of that. We don't -- I don't take 20 percent because I can take 20 percent. We take
what our budget is, and as the huge amount of income begins to climb in these two CRAs,
the percentages are going to drop because our administrative costs are relatively staying
the same. There's a slight increase on the office space and so forth, so I would look for the
same thing in the Midtown, and also in the Midtown, there's a provision in there -- and
again, I'm not an expert on it yet, but I believe there's a provision in there where funds that
are not used have to be rebated back to the County and to the City, so it's not like with the
Southeast Overtown --
Board Member Regalado: Frank --
Mr. Rollason: -- and Omni where we've stockpiled the money.
Board Member Regalado: -- that was exactly my point.
Mr. Rollason: OK. Well, you made your point. I got it.
Board Member Regalado: I --
Board Member Sanchez: All right. Call the question.
