The general boundaries of the neighborhood extend north from NW 5" Street to NW 28'' Street, and west from North Miami Avenue to NW 7 Avenue. The neighborhood is intersected by the 1-95 and 1-395 elevated expressways. The major north -south traffic arteries are NW 3" and NW 2" Avenues. The neighborhood consists of local retail .and commercial stores interspersed with residential uses. NW 7' Street (Sawyer's Walk), NW 9" Street (the 9'" Pedestrian Mall) and NW 11' Street (the Grand Promenade) serve as pedestrian oriented corridors. General Information This Request for Proposals is issued in accordance with the requirements of Florida's Community Redevelopment Act of 1969. The Southeast 0vertown/Park West Community Redevelopment Agency ("CRA") gives public notice of its intent to dispose of its interest in the above described property (the "Property"). As required by Florida Statutes Section 163.380 (3)(a), the CRA is inviting proposals from private redevelopers or any persons interested in undertaking to redevelop or rehabilitate the Property or any portion thereof. The Property will be conveyed subject to a covenant running with the land (the "Covenant") which contains certain covenants, conditions and restrictions governing the development of the Property and the approval rights of the CRA. Conveyance of the Property will also be subject to the terms of an Amended and Restated Southeast 0vertown/Park West Lease and Development Agreement (the "Lease") to be executed by and between the CRA and Sawyer's Walk, Ltd. The CRA anticipates executing the Lease on or about March 30, 2006. The CRA has received a proposal from Sawyer's Walk, Ltd. to purchase the Property subject to the Lease and Covenant. The obligation of the CRA to convey the Property as contemplated by this Request for Proposals is contingent upon the execution of the Lease and if the Lease is not executed for any reason, or no reason, the CRA shall not be obligated to convey the Property. The CRA reserves the right not to proceed with this Request for Proposals if the Lease is not executed for any reason, or no reason, even if a successful respondent to the Request for Proposals has been selected and an award has been made. The successful respondent shall be required to execute the Covenant at closing and to develop the Property in acccrdance with the Covenant if the tenant under the Lease defaults in its obligations under the Lease. Notwithstanding the conveyance of the Property, and the assignment of its interest as landlord under the Lease to the successful respondent, the CRA shall retain its rights to the Fifty (50) Subsidized Units, as defined in the Lease, and to all rights of approval regarding the development of the Property as contemplated in the Lease. At the respective time and place the proposals will be publicly opened and read. Late proposals and/or proposals submitted at any other location will not be accepted. It is anticipated that the Executive Director of the CRA will evaluate all proposals and submit his recommendation to the Board of Directors for approval at the regularly scheduled April 2005 CRA Board Meeting. The Board of Directors shall have the right to accept or reject any and all proposals. If the Board elects to select a respondent, conveyance of the Property will not occur until after execution of the Lease. It is anticipated the conveyance would occur in April 2006.
