A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
AUTHORIZING THE CITY MANAGER TO EXECUTE A MAINTENANCE
AGREEMENT, IN SUBSTANTIALLY THE ATTACHED FORM, WITH THE MARLINS
STADIUM DEVELOPER, LLC, TO INSTALL AND MAINTAIN NONSTANDARD
IMPROVEMENTS WITHIN THE PUBLIC RIGHT-OF-WAY AND THE CITY OF
MIAMI OWNED PRIVATE DRIVES AS DESCRIBED IN "EXHIBIT C", ATTACHED
AND INCORPORATED.
WHEREAS, as part of the public infrastructure scope of work for the Marlins Stadium Project, new
street lighting will be installed throughout surrounding streets; and
WHEREAS, the Marlins Stadium Developer, LLC ("Developer") opted for an upgrade to use
decorative light poles/fixtures rather than the standard Florida Power and Light light poles; and
WHEREAS, the Developer has requested permission from the City of Miami ("City") to install and
maintain said street lighting within the public right-of-way and City -owned private drives as described in
"Exhibit C", attached and incorporated; and
WHEREAS, the City has requested the Developer execute and deliver the City a Maintenance
Agreement ("Agreement") as a condition precedent to acting as a permittee and to granting said
permission; and
WHEREAS, at no cost to the City, the Developer shall repair, replace or remove said
improvements as requested by the Director of the Public Works Department;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by
reference and incorporated as if fully set forth in this Section.
Section 2. The City Manager is authorized(1) to execute an Agreement, in substantially the
attached form, with the Developer, to install and maintain nonstandard improvements within the public
right-of-way and the City -owned private drives as described in "Exhibit C", attached and incorporated.
Section 3.This Resolution shall become effective immediately upon its adoption and signature of
the Mayor.{2}

Footnotes:
{1} The herein authorization is further subject to compliance with all requirements that may be imposed
by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code
provisions.
(2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective
immediately upon override of the veto by the City Commission.
