MAINTENANCE AGREEMENT
THIS Maintenance Agreement (hereinafter called the "Agreement") made and entered
into this day of , 20, by and between MARLINS
STADIUM DEVELOPER, LLC (hereinafter called the "Developer"), and the CITY OF MIAMI,
FLORIDA, a municipal corporation of the State of Florida, in the county of Miami -Dade,
(hereinafter called the "City").
WITNESSETH
WHEREAS, The City of Miami is the fee OWNER of: See attached Legal Description
shown in Exhibit "A" (hereinafter called "Property"); and
WHEREAS, Developer has requested permission from City to own, construct and
maintain -nonstandard -improvements, -described-in _Exhibit_B" (hereinafter collectively called_
"Improvements"), within -the -publio-right-of--way- and -City -owned -privatdrives on 14th Avenue.
between NW 3rd Street & NW 7th Street; 16th Avenue between NW 3rd Street & NW 7th Street,
4th Street between NW 14th Avenue & NW 16th Avenue; 6'h Street between NW 14th Avenue &
16th Avenue, adjacent to Property, as more particularly described in the sketch / diagram shown
in Exhibit "C;" and
WHEREAS, City has required the Developer to execute and deliver to City this
agreement as a condition precedent to acting as Pelmittee and to the granting of said permission.
NOW THEREFORE, in consideration of the permission by City to allow the construction
and maintenance of the street lights, the parties agree as follows:
SECTION 1. RECITALS
1.1 The recitals and findings set forth in the preamble of this Declaration are hereby adopted
by reference thereto and incorporated herein as if fully set forth in this Section.
SECTION 2. DEVELOPER'S RESPONSIBILITIES
2.1 Developer shall construct and maintain street lights on the Property, inclusive of all
components within the dedicated public right of way and the City owned private drives.
2.2 Developer hereby covenants and agrees with the City, that Developer shall, -at no cost to
the City, repair, replace or remove the aforementioned Improvements, whenever
requested by, and upon thirty (30) days written notice, as provided in Section 12 hereto,
from the Director of the Department of Public Works of the City. In the event that the
Developer, its successors, or assigns fail to repair, replace or remove the Improvements
when so requested, the Director of the Department of Public Works of the City shall
cause the aforementioned Improvements to be repaired, replaced or removed at the
expense of the Developer; the amount of such repairs, replacements or removal cost shall
be deducted from any monies owed to the Developer by the City, including, without
limitation, deducting or offsetting such amounts (i) from the funds payable to the
Developer and collected by the City from the City Parking Facilities at the new ballpark
(under the City Parking Agreement entered into on -the 15th day of April 2009, which City
Parking Agreement is deemed as being attached hereto and incorporated by reference
herein); and/or (ii) from the City's contribution to the stadium reserve fund, if not directly
paid or reimbursed by the Developer within thirty (30) days of Developer receiving

written notice, as provided in Section 12 hereto, from the City of the amounts owed. The
Developer further agrees, that all recourse against City is hereby expressly waived as to
-- any damage caused; consequential or otherwise; to any =portion; in whole or in part, to the
remainder of Developer's Improvements, resulting from the repairs, replacement or
removal of the aforesaid Improvements from said public right-of-way and/or the City
owned private drives.
2.3 Developer shall provide maintenance and/or replacement of the Improvements as needed
or as directed by the City in accordance with the City's standards and specifications.
SECTION 3. EFFECTIVE DATE AND TERM
3.1 __ -__ This _Agreement "shall take_effect upon_itsexecution and _expiration_ shall_commensurate_
with the termsofthe-Operating-Agreement,, entered -into -on the -15`— day -of-April, 2009
between=Miami=Dade=County,=Marlins= Stadium =Operator, =LLC,= and -the =City, -which
Operating Agreement is deemed as being attached hereto and incorporated by reference
herein.
SECTION 4. INDEMNIFICATION AND -HOLD RRARMLESS
4.1 Developer shall indemnify, defend and hold harmless the City, its officials, and/or
employees, from and against any and all claims, liability, losses and causes of action, of
any nature whatsoever that may arise out of the granting of this permission, the
construction, maintenance and/or removal of the Improvements or out of the acceptance
by the City of this Agreement and/or the use, even if it is alleged that the City, its
officials and/or employees were negligent, unless such injuries or damages are ultimately
proven to be the result of grossly negligent or willful acts or omission on the part of the
City, its officials and/or employees. Developer further agrees to indemnify, defend and

save the City, its officials and/or employees from and against any and all claims, liability,
losses and causes of action, of any nature whatsoever that may arise out of the
Developer's activities under this Agreement,, including,, without limitations all=other acts
or omissions to act on the part of Developer or any person acting for or on Developer's
behalf, and from and against any orders, judgments or decrees that may be entered and
formed and against all costs, attorneys' fees, expenses and liabilities incurred in the
defense of any such claims or in the investigation thereof.
SECTION 5. INSURANCE
5.1 Developer shall keep in full force and effect during the term of this Agreement,
certificate of insurance in accordance to Exhibit D of the agreement. All insurance
carriers affording coverage shall be authorized to do business in the State of Florida and
must possess a management and financial strength rating of at least A- or better per A.M.
Bests' Key Rating Guide, latest edition. All insurance policies associated with this
agreement shall be procured and paid by Developer. The effective date of the policy
shall be prior to or on the effective -date -of -the agreement, —and -the policy term or any
renewals thereof shall remain in effect for the term of the agreement..
5.2 All policies or certificates of insurance shall be subject to the approval of the City's Risk
Manager, or designee, with final agreement approval of the City Attorney.
5.3 A Certificate of Insurance bearing City as "Additional Insured" shall in no way relieve
Developer of its obligation with respect to this agreement. All policies of insurance shall
provide that the City with at least thirty (30) days advance written notice of any material
changes. All other cancellation or non renewal notices shall be in accordance to policy
provisions. In the event of policy cancellation or lapse in coverage, the City shall have

the right to immediately secure adequate policies of insurance relative to the particular
scope at the expense of the Developer, or have the right to deduct all associated cost from
any monies due to the Developer by the City. The Developer agrees to increase from time
to time, as required by the City, and it's Risk Management Department, the limits of
insurance pursuant to this agreement, and upon the written request of the City.
SECTION 6. GENERAL PROVISIONS
6.1 The Developer herein expressly acknowledges that:
6.1.1 Permission granted by the City to construct the Improvements on public right of way and
in City owned private drives is solely for :the -limited -purposes set forth - herein and does
not constitute a lease and that the rights of the Developer hereunder are not. those of a
tenant, but are a mere personal privilege to install street lights on public right of way, and
City owned private drives;
6.1.2 The City retains dominion, possession and control of the public right-of-way and the City
owned private drives and can unilaterally end the permission granted herein to the
Developer, without fault or breach or cause whatsoever,
6.1.3 Developer does not and shall not claim at any time, any interest or estate of any kind or
extent whatsoever in the public right of way and City owned private drives by virtue of
its use hereunder or by virtue of any expenditures incurred in connection herewith; and
6.1.4 In the event that the City endspermission to the Developer; the Improvements shall
remain in place and the City would then own the Improvements.
SECTION 7. DEFAULT AND CANCELLATION
7.1 In the event that the Developer shall fail to materially conform to any of the material
terms, or fails to perform any of its obligations hereunder, the Developer shall be in

default.. Upon the occurrence of a default, the City shall provide the Developer with

notice of such default and provide them with a reasonable opportunity to cure. Should the
Developer fail to cure any default, the City, in addition to all -remedies available to it by
law, may following, upon thirty (30) days written notice, as provided in Section 12
hereto, to the Developer, terminate this Agreement.
7.2 In the event of a default by the Developer, the City may, provided that notice is given to
the Developer and that the Developer has. not cured the default, unilaterally end the
Agreement.
7 3 The City Manager_ may_ also, _at -any -time,_ upon giving _prior.one_hundred and _eighty _(180)
days written notice, as provided in Section 12 hereto, cancel this Agreement for
convenience of the City, without any cause. In the event of a cancellation for
__convenience,._the_parties_will _be_discharged_from_further_performing-their-duties,.afer_the
effective. date of_cancellation..Furthermore, the Developer -.shall have. no_recourse: under
this section.
SECTION 8. UTILITIES
8.1 The City shall pay any and all customary electric utility bills that pertain to the
Improvements on the Property.
SECTION 9. COVENANT
9.1 The express permission granted to the Developer in this Agreement shall be interpretively
understood and enforced as if, it is a covenant that runs with land and recorded as such.
Further, such covenant shall be binding upon the Developer of the Property, its heirs,
successors -in -interest and assigns.
SECTION 10. CONTINUING OBLIGATION

10.1 It is expressly understood and agreed that this instrument shall be binding upon the
Developer,its heirs, -successors -in -interest -or -assigns, -and -shall be -a- condition -implied -in
any conveyance or other instrument affecting this agreement or any portion thereof.
SECTION 11. APPLICABLE LAWS, VENUE AND ATTORNEYS FEES
11.1 The parties shall comply with applicable federal, state and local laws, codes, ordinances,
rules and regulations in performing their respective duties, responsibilities, and
obligations pursuant to this Agreement and with all applicable laws relating to the
project, including without limitations, any and all South Florida Building and Technical
Codes. The parties shall also not unlawfully discriminate in the performance of their
respective duties under this Agreement.
11.2 This Agreement shall be governed by the laws of the State of Florida. Venue in any
proceedings arising out of this Agreement shall be in Miami -Dade, Florida. Each party
shall bear their own respective attomey's fees.
SECTION 12.-NOTICES
- — —12.1 Any-notice,=requests demand; approval=or=consent-given,=or-required=to=be-given,=under
this agreement shall be in writing and shall be deemed as having been given when mailed
by United States registered or certified mail (return receipt requested), when postage has
been paid, and when it has been mailed to the other parties at the address stated below or
at the last changed addresses given by the party to be notified as hereinafter specified:

SECTION 13. SEVERABILITY
13.1 Invalidation of any one of these covenants by judgment of the Court shall not affect any
of the other provisions of this Agreement, which shall remain in full force and effect.
SECTION 14.•COMPLETE AND BINDING AGREEMENT
14.1 This Agreement and its attachments constitute the sole and only agreement of the parties relating
to the subject matter hereof and correctly set forth the rights, duties, and obligations of each party.
Any prior agreements, promises, negotiations, or representations not expressly set forth in this
Agreement are of no force or effect.
