HomeMy WebLinkAboutR-11-0121City of Miami Legislation Resolution: R-11-0121 City Hall 3500 Pan American Drive Miami, FL 33133 www.miamigov.com File Number: 11-00168 Final Action Date: 3/24/2011 A RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S), RESCINDING RESOLUTION NO. 07-0208, ADOPTED APRIL 12, 2007, TO THE EXTENT THAT IT AUTHORIZED THE SALE OF CERTAIN CITY OF MIAMI ("CITY") OWNED PARCELS, AS LEGALLY DESCRIBED IN EXHIBIT "A", ATTACHED AND INCORPORATED, TO PROGRESSIVE VISION COMMUNITY DEVELOPMENT CORPORATION, INC.; AUTHORIZING THE CONVEYANCE, WITH PARCEL REVERTER PROVISIONS, OF SAID CITY -OWNED PARCELS TO TACOLCY ECONOMIC DEVELOPMENT CORPORATION FOR THE DEVELOPMENT OF AFFORDABLE HOUSING; FURTHER AUTHORIZING THE CITY MANAGER TO EXECUTE PURCHASE AND SALE AGREEMENTS, IN SUBSTANTIALLY THE ATTACHED FORM, AND ALL OTHER NECESSARY DOCUMENTS, IN A FORM ACCEPTABLE TO THE CITY ATTORNEY, TO CONSUMMATE SUCH TRANSACTION IN ACCORDANCE WITH THE TERMS AND CONDITIONS OF THE AGREEMENT, WHICH TERMS MAY BE AMENDED BY THE CITY MANAGER AS MAY BE NECESSARY IN ORDER TO MEET THE BEST INTEREST OF THE CITY. WHEREAS, Tacolcy Economic Development Corporation ("TEDC") is a non-profit organization dedicated to the development of affordable housing; and WHEREAS, on February 3, 2011, the City of Miami ("City") received a letter from TEDC requesting a donation by way of Purchase and Sale Agreements of five (5) City -owned parcels of land, legally described in Exhibit "A", attached and incorporated for the development of affordable housing; and WHEREAS, TEDC has established a joint venture agreement with Global Development Initiatives ("GDI") to develop a two -phased affordable housing development with a total of approximately 184 units and ground floor retail/commercial space fronting on Northwest 7th Avenue, Miami, Florida, and the project will be manage by Tacolcy Property Management Corporation, a subsidiary of TEDC; and WHEREAS, TEDC and GDI will apply for both phases of funding during the 2011 tax credit cycle; however, each phase will be funded independently and can operate individually should only one of the phases wins tax credits; and WHEREAS, Phase I will be a family development with 80 units of affordable housing for low to moderate income families and approximately 15,000 square feet of ground floor retail commercial space, and Phase II will be an elderly housing development of approximately 104 units; and WHEREAS, in addition, each phase will pay for its own parking garage and amenity package; and WHEREAS, the sites will be conveyed, with parcel reverter provisions, by way of Purchase and Sale Agreements; and City of Miami Page 1 of 3 File Id: 11-00168 (Version: 1) Printed On: 10/2/2017 File Number: 11-00168 Enactment Number: R-11-0121 WHEREAS, TEDC will have twelve (12) months from the date of conveyance to commence construction and thirty-six (36) months from the date of conveyance to complete construction and rent out units; and WHEREAS, any costs associated with the project paid by the City, will be reimbursed back to the City; and WHEREAS, the Administration recommends: (1) rescinding Resolution No. 07-0208, adopted April 12, 2007, to the extent that it authorized the sale of certain City -owned parcels, as legally described in Exhibit "A", attached and incorporated, to Progressive Vision Community Development Corporation, Inc.; (2) authorizing the conveyance, with parcel reverter provisions, of said City -owned parcels to TEDC for development of affordable housing; NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI, FLORIDA: Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted by reference and incorporated as if fully set forth in this Section. Section 2. Resolution No. 07-0208, adopted April 12, 2007, is rescinded, to the extent that it authorized the sale of certain City -owned parcels legally described in Exhibit "A", attached and incorporated, to Progressive Vision Community Development Corporation, Inc. Section 3. The conveyance, with parcel reverter provisions, of said City -owned parcels of land to TEDC for development of affordable housing, is approved. Section 4. The City Manager is authorized {1} to execute a Purchase and Sale Agreement, in substantially the attached form, and all other necessary documents, in a form acceptable to the City Attorney, to consummate such transaction in accordance with the terms and conditions of the agreement, which terms may be amended by the City Manager as may be necessary in order to meet the best interest of the City. Section 5. This Resolution shall become effective immediately upon its adoption and signature of the Mayor.{2} Footnotes: City of Miami Page 2 of 3 File Id: 11-00168 (Version: 1) Printed On: 10/2/2017 File Number: 11-00168 Enactment Number: R-11-0121 {1} The herein authorization is further subject to compliance with all requirements that may be imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter and Code provisions. {2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar days from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become effective immediately upon override of the veto by the City Commission.
