RESOLUTION OF THE MIAMI CITY COMMISSION, WITH ATTACHMENT(S),
ACCEPTING THE RECOMMENDATION OF THE CITY MANAGER APPROVING
THE FINDINGS OF THE EVALUATION COMMITTEE, PURSUANT TO REQUEST
FOR PROPOSALS NO. 245238, THAT THE TOP -RANKED FIRMS TO PROVIDE
FINANCIAL ADVISORY SERVICES, FOR THE DEPARTMENT OF FINANCE, ARE
THE PFM GROUP AND FIRSTSOUTHWEST, RESPECTIVELY; AUTHORIZING
THE CITY MANAGER TO NEGOTIATE AND EXECUTE PROFESSIONAL
SERVICES AGREEMENTS ("PSA") WITH SAID FIRMS, RESPECTIVELY, IN
ACCORDANCE WITH THE ATTACHED TERM SHEETS AND IN A FORM
ACCEPTABLE TO THE CITY ATTORNEY, FOR A PERIOD OF ONE (1) YEAR,
WITH THE OPTION TO RENEW FOR FOUR (4) ADDITIONAL ONE-YEAR
PERIODS, IN ATOTALAMOUNT NOT TO EXCEED $500,000, FOR EACH PSA,
INCLUSIVE OF THE ORIGINAL TERM AND ALL RENEWAL OPTIONS;
ALLOCATING FUNDS FROM THE VARIOUS SOURCES OF FUNDS OF THE
USER DEPARTMENT, SUBJECT TO THE AVAILABILITY OF FUNDS AND
BUDGETARY APPROVAL.
WHEREAS, on October 14, 2010, Request For Proposal ("RFP") No. 245238 for Financial
Advisory Services was issued and four (4) proposals were received; and
WHEREAS, Section 2.7 of the RFP, indicates that the City of Miami ("City") reserves the right
to execute or not execute, as applicable, a contract with the selected proposer that is determined to be
most advantageous and in the City's best interest; and
WHEREAS, the evaluation committee, appointed by the City Manager, recommended that the
City enter into negotiations with The PFM Group and FirstSouthwest; and
WHEREAS, the City Manager concurred with the findings of the evaluation committee;
NOW, THEREFORE, BE IT RESOLVED BY THE COMMISSION OF THE CITY OF MIAMI,
FLORIDA:
Section 1. The recitals and findings contained in the Preamble to this Resolution are adopted
by reference and incorporated as if fully set forth in this Section.
Section 2. The recommendation of the of the City Manager approving the findings of the
evaluation committee, pursuant to RFP No. 245238, that the top -ranked firms to provide financial
advisory services, for the Department of Finance, are The PFM Group and FirstSouthwest,
respectively, is accepted.
Section 3. The City Manager is authorized {1} to negotiate and execute Professional Services
Agreements ("PSAs") with said firms, respectively, in accordance with the attached term sheets and in

a form acceptable to the City Attorney, for a period of one (1) year, with the options to renew for four
(4) additional one-year periods, in a total amount not to exceed $500,000, for each PSA, inclusive of
the original term and all renewal options, with funds allocated from the various sources of funds of the
user department, subject to the availability of funds and budgetary approval.
Section 4. This Resolution shall become effective immediately upon its adoption and signature
of the Mayor. {2}

Footnotes:
{1} The herein authorization is further subject to compliance with all requirements that may be
imposed by the City Attorney, including but not limited to those prescribed by applicable City Charter
and Code provisions.
{2} If the Mayor does not sign this Resolution, it shall become effective at the end of ten calendar days
from the date it was passed and adopted. If the Mayor vetoes this Resolution, it shall become
effective immediately upon override of the veto by the City Commission.
