C. As of the Effective Date of this Agreement, SFEF has
acquired rights to the Outdoor Advertising Sign and Sign
structure located at N.W. 54th Street and N.W. 17th
Avenue, bearing Florida Department of Trancportation Tag
Nor-0651, identified on Exhibit D to the Settlement
Agreement between the City of Miami and Clear Channel
Outdoor Inc. ("CCO Settlement Agreement), as Sign No. 140
(the "CCO Sign"). The CCO Sign contains four (4) poster
Sign faces. Prior to the Effective Date of this Agreement,
SFEF purchased all of the right, title, and interest in and to
the CCO Sign and all FDOT and City permits for same from
CCO with the intent of permanently removing CCO Sign;
SFEF is the successor -in -interest to the existing CCO Sign
and with regard to this Sign, agrees to be bound by the

terms and conditions of the CCO Settlement Agreement
relating to its removal.
2. Definitions.
k. As used in this Agreement, the definition of
"Mural" shall be the definition provided in s. 62-602,
Miami Code.
As used in this Agreement, the definition of
"Media Tower(s)" shall be the definition provided in s. 62-
618.21, Miami Code.
m. As used in this Agreement, the definition of
"Outdoor Advertising Sign" shall be the definition provided
in s. 62-618.2, Miami Code.
